The River Clyde’s shipbuilding heritage is one of the most significant and influential in the world. For centuries, the Clyde has been a hub of innovation and development in both merchant and naval shipbuilding, producing some of the most significant vessels in history. From the iconic steamships of the 19th century to the world-class warships of the 20th century, the Clyde has played an essential role in shaping maritime history. As such, it is crucial that this rich legacy is preserved, celebrated, and studied to provide an insight into the past and inspire future generations of innovators and designers.
Our charity purposes are to preserve this heritage and are twofold: to advance the appreciation and preservation of shipbuilding heritage through the establishment of an interactive museum and visitor village on the River Clyde, and to promote community development by supporting the regeneration of neglected areas. This will be achieved, in part, by providing accessible start-up spaces within the visitor village for individuals in the wider community who aspire to establish their own businesses but lack the necessary resources to do so.
From 2023 to 30 September 2024, we have:
Engagement with Historic Sites : Collaborated with the National Museum of the Royal Navy (NMRN), National Historic Ships, Vulcan To The Sky , HMS Belfast and other museum sites across the UK, including visits to Portsmouth Dockyard, The Historic Dockyard Chatham, Brunel’s SS Great Britain and The Riverside Museum to shape the museum offering. Their expertise has been invaluable and offered freely.
Government Representation : Advocated for heritage promotion with ministers in the UK, Scottish, Pakistan and Falkland Island Parliaments.
Representations to Public bodies : Ministry of Defence, Scottish Enterprise, Glasgow, Inverclyde and Ayrshire Councils, Planning departments, Community Enterprise Group, Glasgow Life to mention just a few.
Commercial Bodies: Engaged with a variety of commercial companies to promote our vision and support our purposes these include but are not limited to the shipping sector (lift ships), insurance brokers, construction groups, sustainable technologies and media and marketing groups.
Collaborations : Engaged with associations such as the Type 21 Association and Falklands Task Force veterans and reached out to shipbuilders on the Clyde.
Community Engagement : Actively engaged with local and international communities through media platforms, events, meetings and partnerships.
Event Participation : Participated in events such as the Clydebuilt Festival, Govan Fair Day, RAF Hack Green Secret Bunker event in Crewe, Farnborough Conference and Scotland’s Marine Tourism Conferences to promote the project.

We have also been in consultation with Napier and Abertay Universities regarding student input into technologies for the ship.
Structure, governance and management
Constitution
The charity is a Scottish Charitable Incorporated Organisation (SCIO) regulated by its constitution and governed by a Board of Trustees. It is a single tier structure and as such the trustees are the members of the charity. The charity was registered with the Scottish Charity Regulator on 07 September 2023 under reference SC052802.
All decisions affecting the charity are undertaken by the Trustee Board. The Board must have a minimum of three and a maximum of ten trustees. During the period covered by the report nine trustees sat on the Board. The charity has no paid employees but has several volunteers undertaking various roles such as IT, marketing, research, admin.
Trustee recruitment and appointment
Prospective trustees are required to submit a Curriculum Vitae (CV) and covering email/letter explaining what skills they must bring to the organisation. Candidates will be interviewed prior to being put forward to the Board. They will be required to stand for election at the next Annual General Meeting (AGM) together with other trustees.

New trustees are briefed by the chairperson on the functions of the Board, its activities and future plans. Each new trustee is provided with materials relating to the organisation, including a copy of the Constitution and online links to help familiarise themselves with their responsibilities as trustees. As many of the trustees are remote, formal introductions are concluded at the next trustee meeting.
Each trustee gives their time freely as do any volunteers who assist the charity.
Achievements and performance
In this inaugural year for the charity there have been remarkable milestones and achievements as we pursue our mission to preserve and promote the rich maritime heritage of our nation.
• Historic Milestone: In September 2023, an agreement was formalised between the Pakistan Government and Falls of Clyde International to donate the Type 21 frigate, PNS Tariq , to Falls of Clyde International with completion in November 2023. The Pakistan Government further agreed to the legal transfer of title of the ship to the charity, Clyde Naval Heritage (HMS Ambuscade/PNS Tariq) SCIO.
PNS Tariq , formerly HMS Ambuscade is a Type 21 frigate, built on the Clyde at Yarrows shipyard for the Royal Navy and was launched on 1 September 1973. She is currently based in Karachi, Pakistan.
- Enhanced Online Presence :
Significant upgrades to our website and servers have expanded our reach and improved functionality. The site now offers a clear vision of our goals, a roadmap for achieving them, and rich historical insights into Clyde Shipbuilding.
- Engagement: Our community engagement has grown significantly during this period, reaching both local and international audiences through various media platforms — including television, radio, event participation across the UK, and strategic partnerships.
We’ve received encouraging feedback from the public nationwide, with many recognising the charity’s potential to make a meaningful impact in preserving maritime heritage, supporting skilled jobs, and safeguarding traditional skills for future generations.

Engagement in significant events within the Pakistani community— facilitated through the Pakistan Britain Business Council (PBBC), Pakistan Britain UK (PBUK), and the Inverclyde Muslim Council—has clearly demonstrated a substantial interest in the ship and its historical significance to Pakistan. We acknowledge the importance of such cross-cultural initiatives and remain committed to supporting and advancing them with continued events being planned.

Bolton University held a successful Nexus event at the university in December 2024 which reached community leaders, educators and businesses. Those attending our presentation were enthused by the vision for the ship and adjacent museum. Further events are to be scheduled to promote the charity's goals and improve community engagement.

A recognised military historian and volunteer to the charity published an informative book detailing the history of the HMS Ambuscade ships through the centuries with proceeds donated to the charity.
- Media Visibility
The charity goals of promoting the heritage of Clyde Built shipping has received notable media attention across platforms such as Facebook, X, (Twitter), and BBC, as well as extensive coverage in Pakistan, promoting the return of the ship and the significance of our objectives.
Volunteers
We are incredibly grateful to our dedicated volunteers, whose enthusiasm and commitment continue to make a significant difference to our charity.
From transporting equipment and models, supporting campaigning and marketing events, and researching the history of ships on the Clyde, to helping organise fundraising activities, contributing to admin and IT efforts, and much more — your generosity and hard work have not gone unnoticed. A special thank you goes to the Air & Sea Cadets in Crewe and the members of the Type 21 Association for their continued support.

Challenges
- Logistical Delays

Ongoing instability in the Red Sea region significantly impacted our logistical planning for the ship’s relocation from Karachi. Advice from the International Maritime Bureau indicated that travel in the region was inadvisable due to the heightened risk of attacks in the area. The ship is currently in the Pakistan Navy port of Karachi.
• Funding Challenges
The ongoing instability in the Red Sea region has had a material impact on our funding timelines and remains a significant strategic concern. Despite notable progress in our engagements with commercial stakeholders, the evolving situation has presented unforeseen challenges. As regional conditions stabilise, it is essential that we are positioned to act with urgency.
To that end, we are proactively seeking strategic partnerships across a diverse range of industries including defence, maritime, oil and gas, travel, and aviation to safeguard the long-term viability and success of the project. We believe that a broad and resilient support base is critical to ensuring continuity and delivering lasting impact.
Financial review
The financial statements have been prepared in accordance with terms of the Charities and Trustee Investment (Scotland) 2005 Act and the Charities Accounts (Scotland) Regulations 2006 (as amended) and comply with the Articles of Association.
In the financial year 2023/2024 most of our income was derived from donations via our website, fundraising activities across the UK and legacy funding. Whilst there has been significant support commercially for the project worldwide events in the Gulf region have impacted our commercial funding strategies with companies reluctant to commit in a period of uncertainty.
In 2023/2024 our inaugural year, our total income was £5393 made up of Donations - £501, Legacy funding - £1000, fundraising activities - £2855, Memory Wall Engravings - £750.

The trustees are indebted to all donors for their support both financially and in kind, without this it would not have been possible to achieve what we have.
Expenditure
The charity expenditure for 2023/2024 was £833. Made up of upgrades to our IT functionality, Public Liability Insurance, bank charges, marketing and promotional materials and attendance at events and meetings to promote our purposes.
There are no payroll or pensions costs during the financial year as the charity had no employees.
Some of the costs associated with the creation and maintenance of the website, attendance at meetings/events, the sponsorship document, promotional materials, graphics were met by three of our trustees thus helping to reduce charity costs.

There are no tangible fixed assets and there is no cash in hand, all monies held in the bank account.

Independent Examiners Report
The charity’s trustees are responsible for the preparation of the accounts in accordance with the terms of the Charities and Trustee Investment (Scotland) 2005 Act and the Charities Accounts (Scotland) Regulations 2006 (as amended). The charity trustees consider that the audit requirement of Regulation 10(1) (d) of the Accounts Regulations does not apply. It is my responsibility to examine the accounts as required under section 44(1) (c) of the Act and to state whether particular matters have come to my attention.
My examination is carried out in accordance with Regulation 11 of the 2006 Accounts Regulations. An examination includes a review of the accounting records kept by the charity and a comparison of the accounts presented with those records. It also includes consideration of any unusual items or disclosures in the accounts and seeks explanations from the trustees concerning any such matters. The procedures undertaken do not provide all the evidence that would be required in an audit and, consequently, I do not express an audit opinion on the view given by the accounts.
In the course of my examination, no matter has come to my attention

Statement of the charity’s policy on reserves
The purpose of a reserve fund for Clyde Naval Heritage (HMS Ambuscade/PNS Tariq) SCIO is to protect the charity from unforeseen circumstances or financial fluctuations and to enable us to take advantage of emerging opportunities. The fund is a key component of our long-term strategy to ensure the sustainability of the organisation and to support the delivery of our charitable objectives.
The trustees set an optimal reserve level of £1,100 for the period 7 September 2023 to 30 September 2024, representing approximately three months of

unrestricted expenditure. As of 30 September 2024, the level of free reserves (general unrestricted funds) stands at £4,560, exceeding the target but under the confirmed expenditure level of £805. These reserves have been built up through public donations. The charity currently holds no restricted funds.
The charity’s reserve policy will continue to evolve in line with its growth. As budgets expand, it is anticipated that the optimal reserve level will be revised accordingly, and that a proportion of income may be received as restricted funds, to be spent in accordance with donor conditions.
This policy will be reviewed quarterly by the Board of Trustees, or more frequently if circumstances require.
Unrestricted funds (including designated funds) are income or income funds which can be spent at the discretion of the Trustees in furtherance of any of the charity’s objects. If part of an unrestricted fund is earmarked for a particular project it may be designated as a separate fund, but the designation has an administrative purpose only and does not restrict the Trustees’ discretion to spend the funds. Restricted funds are funds subject to specific trusts which may be declared by the donor(s) or with their authority or created through legal process, but still within the wider objects of the charity. Restricted funds may be restricted income funds, which are spent at the discretion of the Trustees in furtherance of some particular aspects of the objects of the charity. Restricted funds may alternatively be endowment funds, where the assets are required to be invested, or retained for actual use, rather than spent. Designated funds are part of the unrestricted funds which Trustees have earmarked for a particular project or use, without restricting or committing the funds legally. The designation may be cancelled by the Trustees if they later decide that the charity should not proceed or continue with the use or project for which the funds were designated

Strengthen collaboration with NMRN, BAE, Babcock’s and Glasgow Life Museums in development of our visitor attraction.

Launch the subscription-based Friends of Ambuscade/Tariq program to deepen community engagement and provide exclusive benefits for members.
This year, we kickstart the revitalisation of the river with the return of HMS Ambuscade/PNS Tariq, transforming it into a dynamic exhibition that captures its storied history with both the Royal and Pakistan Navies, alongside artifacts and exhibits that reflect its time in service.
Our ambitious vision extends beyond this single ship: we aim to create an immersive river-wide experience. This will span various dockyards, showcasing Clyde-built vessels and their legacies, all interconnected by a seamless river bus service. We are already collaborating with donors and benefactors to bring more vessels back to life, each shining a spotlight on different Clyde shipyards. This revitalisation will narrate the extraordinary technological and socio-economic story of the Clyde's meteoric success—and its eventual decline.
Visitors will be swept into history through cutting-edge VR technology, experiencing the river in its heyday as they glide past dockyards and vessels, enriched by engaging narratives. Like a river subway, they can alight at their chosen sites, explore, and rejoin the journey to uncover new stories further upstream. This isn’t just preservation—it’s reinvention, ensuring the Clyde’s legacy sails into the future with pride and purpose.
