Report of the trustees for the year ended 30 April 2025
The trustees, who are also directors of the charity for the purposes of the Companies Act 2006, submit their annual report and the financial statements for the year ended 30 April 2025.
The charity is a charitable company limited by guarantee. It is governed by a memorandum and articles of association.

Trustees and Directors
The directors of the charitable company (the charity) are its trustees for the purpose of charity law and throughout this report are collectively referred to as the trustees.

Structure, governance and management
Governing document
The charity is a company limited by guarantee governed by its Memorandum and Articles of Association dated 15 November 2019.
Trustees
The Board of Trustees are elected at the AGM by the members present. All new trustees are given, in the view of the board, sufficient training and have enough knowledge of their specific field to understand the nature of the charity and fully comply with the charity’s current view of its progression.
Risk management
The trustees have a duty to identify and review the risks to which the charity is exposed and to ensure appropriate controls are in place to provide reasonable assurance against fraud and error.
Objectives and activities
The main object of the charity is to
- 1) advance the Roman Catholic religion in Ireland and the UK by developing and facilitating Catholic focused retreats to young people aged 10 to 30.
Ministry began this year throughout Northern Ireland.
The trustees have read the Commission’s Public Benefit requirement statutory guidance, and have had regard to this when running the charity
Financial review
The charity had unrestricted reserves of £1,624 at 30 April 2025 (£6,614 at 30 April 2024).
The charity does not have a policy on reserves as yet as all monies raised are used to fund the company.
There are no funds held by the charity that are materially in deficit.

For the year ended 30 April 2025 the charity was entitled to exemption from audit under section 477 of the Companies Act 2006 relating to small companies.
Directors’ responsibilities

The members have not required the company to obtain an audit of its financial statements for the year in question in accordance with section 476;

The directors acknowledge their responsibilities for complying with the requirements of the Act with respect to accounting records and the preparation of financial statements.
The financial statements were approved and authorised for issue by the board on 30 December 2025.

1. Accounting Policies
Accounting convention
The financial statements have been prepared in accordance with Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) issued on 16 July 2014 (as updated through Update Bulletin 1 published on 2 February 2016), the Financial Reporting Standard applicable in the United Kingdom and Republic of Ireland (FRS 102), the Charities Act (Northern Ireland) 2008, the Companies Act 2006 and UK Generally Accepted Accounting Practice.
The charity has applied Update Bulletin 1 as published on 2 February 2016 and does not include a cash flow statement on the grounds that it is applying FRS 102 Section 1A.
Company status
The charity is a company limited by guarantee. The members of the company are the trustees named on page 1. In the event of the charity being wound up, the liability in respect of the guarantee is limited to £1 per member of the charity.
Fund accounting
General funds are unrestricted funds which are available for use at the discretion of the trustees in furtherance of the general objectives of the charity and which have not been designated for other purposes.
Incoming resources
All incoming resources are included on the Statement of Financial Activities when the charity is legally entitled to the income and the amount can be quantified with reasonable accuracy.
Resources expended
Expenditure is accounted for on an accruals basis and has been classified under headings that aggregate all cost related to the category. Where costs cannot be directly attributed to particular headings they have been allocated to activities on a basis consistent with the use of resources.

Tangible fixed assets and depreciation
Depreciation is provided at the following annual rates in order to write off the cost less estimated residual value of each asset over its estimated useful life or, if held under a finance lease, over the lease term, whichever is the shorter.

Independent examiner’s report to the trustees of Net Ministries United Kingdom Ltd on the accounts for the year ended 30 April 2025
Respective responsibilities of trustees and examiner
The charity’s trustees are responsible for the preparation of the accounts. The charity’s trustees consider that an audit is not required for this year under section 65(3) of the Charities Act (Northern Ireland) 2008 and that an independent examination is needed.
It is my responsibility to

examine the accounts under section 65 of the 2008 Act,
-
to follow the procedures laid down in general directions given by the Charity Commission (under section 65 of the 2008 Act), and
-
to state whether particular matters have come to my attention.
Basis of independent examiner’s statement
My examination was carried out in accordance with general Directions given by the Charity Commission. An examination includes a review of the accounting records kept by the charity and a comparison of the accounts presented with those records. It also includes consideration of any unusual items or disclosures in the accounts, and seeking explanations from the trustees concerning any such matters. The procedures undertaken do not provide all the evidence that would be required in an audit, and consequently no opinion is given as to whether the accounts present a ‘true and fair’ view and the report is limited to those matters set out in the statement below.
Independent examiner’s statement
In connection with my examination, no matter has come to my attention

Which gives me reasonable cause to believe that in, any material respect, the requirements:

to keep accounting records in accordance with section 63 of the Charities Act (Northern Ireland) 2008; and
