Appendix I ROSEMOUNT & DISTRicfwELFARE RIGHTS GROUP CONSTITUTION
I. NAME The 8roup shall be called Rosemount and District Welfare Rights Group (hereinafter called the Group) 2. OBJE5 2.1 The Group is e5tsblished forthe benefit of the comrnunty in Northern Ireland by the advancement of education and the relief of poverty, sickness and distress and any other Charitable purpose and in particular, to provide in Rosemount and surroundin8 distritt in County Derry le8al servtces. and welfare rights information to people. who because of their lack of mean5, could not otherwise afford such services. 2.2 In furtherance of the above objects but not further or otherwise the Group rnay: Assist individuals and groups to understand their rights as stakeholders in soclety. Enable individuals and groups to access suth support as necessary for their needs Provide or access classes, inforniation, training or other appropriate learning. Undertake or facilitate the representation of either individual or community issues to the relevant statutory, private or public bodie5. Iv) Promote, encourage and undertake researth and 5urvey5, and publicise the results. Ivil Recrult. Train and employ volunteers for the furtherance of the above project5, Iviil Raise and accept money by way of grants. donations. bequests. legacie5 or other lawful method and give, donate or di5bur5e grants of loans to such related Organisatn5, as are by law deemed charitable PROVIDED that in the exercise thereof the Association shall not engage in any form of pemianent tradin8. {viiil Purchase, take, lease or in exchange, hire or otherwise acquire any property and ny rights and privileges necessary for the attainment of the said objects and construct, maintain and alter any buildings or edifices so necessary as fore said. MEMBERSHIP All persons living in the area of benefit aged 18 or over without distinction of nationality, religion or political affiliation shall be eligible for rnernbershlp of the Group. The committee referred to hereafter shall by regulation prescribe the conditions for mernber5hip and shall make regulations for the admission to and tennination of membership PROVIDED THAT any member effected by a proposal to tenninate their membership shall have the right to state a case against such prOsaI. The membership ofthe Group will consist of a maximum of 15 member5. All rnembers of the Group shall pay a membership fee of £5.00 per annum payable on acceptance. Rotation of membership: Two members. to be deterniined by lot. shall voluntarily retire every 3 ye3r5. Retirin8 members shall be eliwb5e for revelection. New members: Any eligible persons wishing to forward themselves for election to the Group must be proposed and seconded by a member of the existing committee or by l or both of the member5 voluntarily standin8 down. No application for membership will be valid unless submitted in writing to the secretary, clear 60 days before The Annual General Meeting. At all othertimes an application in writing for rnernbership should be submitted 14 days prior to The Management Commwttee Meetin&
MEEfiNGS Annual General Meeting The Annual General Meeting shall be held at such time not being more than IS months since the previous Annual General Meetin& and place as the cornmittee shall determine. The business of the Annual General Meeting shall be: To receive and approve reports on the activities of the past year from the member5 ofthe cornrnittee. To receive and approve the audit accounts of the Group. To appoint accountant {Iv) To elect the officers and committee according to such nornination and votinE procedure asthe Group may from time to time determine. Iv) To deal with resolutions and such other matter5 a5 the cornmittee and members shall have notified. Other meetin8 of the Group shall be called General Meetln8s (or in the case of alteration of the constitution or dissolution of the Group) Extraordinary General Meetings, and shall be called not less than 14 days notlce to member5. Extraordinary General Meetings The committee shall have the powerto call a General or Extraordinary General Meeting, and shall be bound to do so 21 days of receiving notice In writing signed bv not less than 10 members. The business to be transacted must appear on the AGENDA, and no other business discussed. MANAGEMENT Except as providcd otherwise in thi5 Constitutio the Group shall be managed by a onunittee, consisting of a chai[pn, Secrdary, Treasurer. Assistant Secretary, Assistant Treasurer and Training Director to be elected by and from amongst the members present and voting at an Annual General Meetin& 5.2 The committee so constituted shall have the power to co-opt further members PROVIDED THAT the number of c(Foptions shall not exceed I third of the total membership ofthe committee.
The committee shall meet for the conduct of busin& they see fi¢ but in any event shBII meet not than twice a year. The Committee members shall Serve for one year and shall stand down at the Annual General Meeting. They shall be eligible for re-elettion to the committee. FUNcfioNS OF THE COMMrrrEE The Committee may inter alia: (al make such regulations as they consider appropriate for the effiaent conduct of their and the Groups business. (bl appoint all such staff as they rnay consider necessary, and on such terms as to duties and remuneration as they may determine. Employees of the Group shall not be eli8ible to serve a5 mernber5 of the Committee. (cl Establish subcommittees, consistingof rnembers of the Group or other persons and shall determlne their tems of reference, membership and duration. All such sub<ommlttees shall make regular reports on theirwork to the Committee. FINANCE 7.1 All incom¢ of th¢ Group, wheresoever derived. shall be applied to the charitable purposes of the Group and to no other purpose PROVIDED THAT nothing herein contained shall prevent the payment of legitimate oul-of -pocket expenses to members of th¢ Group engaged upon the approved business of the Group. 7.2 The financial year of the Group shall run from I"April to 31 March. 7.3 The Committee shall open a bank account or accounts in the name of the Group and shall specify those members of the Committee (being not less than two members ofthe Committee) authorised to sign cheques on behalf of the Group. 7.4 The Committee shall auth0ri5e the keeping of proper books of account, and shall designate responsibility forthe preparation of an annual Statement of Account for submission to an Annual General Meeting. 8. ALTERATION OF THE CONsllTLmON Thi5 constitution shall be aliered only by a majority of tsvo thirds of members of the Group present and voting at an Extrdordinary Generdl Meeting called * not l&ss than 14 days notice
to members for that purpose. PROVIDED THAT no alteTation shall be approved which would cause the Group io cease to be a charity at law. 9. DISSOLUTION 9.1 If on the grounds of expense or othmvise the Committee shall decide upon the dissolution of the Group. a resolution to dissolve shall be considered by an Extrd-ordinary General Meeting called at not le&5 than 14 days notice to members for that purpose. 9.2 The Group shall be di5501ved only by a majority of two thirds of members present and votin8 at such a meetin& 9.3 Followin8 a decision to dissolve. the assets of the Group shall following satisfaction of all debts and liabilitie5, be transferred to one or more charitable associations havin8 objertS similar or related to those of the Group, as detemined by simple majority at such meetings.
