INTRODUCTION AND WELCOME BY CHAIR Meeting opened at 19:37 Derek Catt welcomed everyone to the AGM and thanked people for attending, he highlighted that Bijal and Richard were present and welcomed them. Derek mentioned that there are several changes this year and he will guide us through them during the AGM. We are quorate and so we are able to proceed. 2. APOLOGIES FOR ABSENCE 57 people sent their apologies, a list has been filed with the minutes. 3. GOVERNANCE TOPICS Going forward, trustees are responsible solely for the governance. a) APPROVAL OF THE MINUTES OF THE LAST ANNUAL GENERAL MEETING The Minutes from the 2023 AGM held on 21 seconded by Eric Gamble. All in favour. b) ADOPT THE CONSTITUTION Derek presented chapter 5.5 of POR, which details the new constitution for District and summarised for everyone present. c) NOTE THE d) AGREE THE NUMBER OF MEMBERS ON THE TRUSTEE BOARD It was proposed that there would be 10 members of the Trustee board (Chair, Treasurer, 6 elected members and 2 co-opted members) with 2 spaces available for trustees to be co-opted if needed. This is what the outgoing trustee board would recommend. Proposed by Jean Webb, seconded by Sue Dove, all in favour. e) AGREE THE QUORUM FOR EACH TRUSTEE MEETING 5 members recommended - 1/3 rd plus 1 (consisting of one Ex-officio, one appointed member, and Chair or Treasurer) The Chair must agree for the meeting to take place and is a good representation. This is what the outgoing trustee board would recommend. Proposed by Ben Reed, seconded by James Ward, all in favour.
