OBJECT AND RULES OFTHE LEAGUE OF FIUENDS OF THE LLANDOVERY HOSPtTAL Revised 10 Mar 23 NAME The name of the Association is 'The IAgue of Friends of The Llandov¢ry Hospital" PRELIMINARY In these Rules: (a) the expression 'the League. means the Association constffituted by these Rul¢s; (b) the expression 'the Committee, means the Comn]itt¢e for the time being of the League as hereinafter constituted. (c) the expression 'the Secretary. means the Sccrew for the time being of the League being in force. (d) the expression 'the Rules. includes any amenthient or alteration thereof for the time being in force. 2. OBJECT The Object of the l£ague shall be to relieve patients of the Llandovery Hospital who are sick, convalescenL disabled. handicapped, infiml OT in lld of assistance and generally to support the charitable work of ihe said Hospital. 3. POWERS For the purpose of carrying out the above Object. but not otherwise, the League shall have the following powers: 3.1. To educate the publi¢ in the needs of the patients of the Llandovery Hospitsl and to mobilise, encourage, foster and maintain the intsresl and support of the public in the said Hospital. 3.2. To supplement the servic¢ provided by ts Llandovery Hospital for the health, welfare and comfort of the patients thcrcin, by the Provision of facilities, buildings and equipment which may be requird f(T the treatment of such patients, or, for the efficient running of the Hospital.
3.3. To provide, or assist in the provision of, amenities in the Llandovery Hospital for patients and staff. 3.4. To raise funds. but not by means of taxable trading. To borrow moncy. invite or receive contributions or grants. enter into contracts, seek subscriptions and give security for loans (but only in accordanc¢ with the restrictions imposed by the Charities Act). 3.6. To acquire, buy. take on lease, sell. share or hiTr property of any kind whether subject to any special trust or not. for the Object of the League. 3.7. To deposit or invest in funds in any manner (but to invest only after obtaining such advice from a financial expert as the TrnsteG8 consider necessary and having regard to the suitability of investments and thc need for diversification). 3.8. To delegate the management of investments lo a financial expert. but only on ternis ihat: ( l) the investment policy is recorded in writing for the financial expert by the Trustees. (2) every transaction is reported promptly ty the Trustees; (3) the perfornwAce of the inveslments is r¢viewed r¢gularly with the Trustees; {4) the Trustees are enlitled to cancel the delegation arrangement at any time; (5) the investment policy and the delegation arrang¢m¢nt are reviewed at least once a year; (6) all payments due to the financial expert are on a scale or al a level which is agreed in advance and are reported yomptly to the Trustees on receipt. (7) the financial expert must not do anything outside the powers of the Trustees. 3.9. To insure the property of the League against any foreseeable risk and tske out other insurance policies to protect thc League when required. 3.10. To pay for indemnity insurance for the Truste¢s.
3.1 l. Subject to sub-clause 9.3, to employ paid orunpaid agents. stsff and professional or other advisers. 3.12. To enter into contracts to provlde services to OT on behalf of other bodies. 3.13. To pay the costs of forniing the League. 3.14. To accept any propety upon or on any special trusts. 3.15. To foster co-operation and intercommunication behveen other charitable institutions. Local Authorities. Healthcare centre Authorities and National Health Service Authorities. 3.16. To construct, alter, provide, managc. maintain. thrnish and fit with all the necessary fiwniture and other equipment any buildings and any other PTemises or structures or land. 3.17. To make or receive grants or loans of money and to give any guarantee or indernnity in respect of the League's liabilities. 3.18. To set aside funds for special purposes or as reserves against future expenditure. 3.19. To recruit, and to assist in the recrnitment of, voluntary w0eTS in and for the Llandovery Hospital. 3.20. To provide or procure the provision of servi¢es, education, training, consultancy, advice, support, counselling> guidanc4 gtants, scholarships, awards or materials in kind. 3.21. To co-operate and enter into any arrangemenls with other bodies, governments, authorities or any person, company or &ssociation. 3.22. To give and exchange inforniation and advice and to promote education in all matters relating to hospitals and hospital managemtht, to promote research and to disseminate the results. 3.23. To publish, or contribute to the publication of, any papers, books, periodicals, reports or other documents in any media. 3.24. To promote or undertake study or reearch and disseminate the results of such research. 3.25. To hold conferenc, meetings. lectLwes. exhibitions and discussions. 3.26. To relieve distress and needy patients.
3.27. To undertak¢ and execute any Charitable Tnt. 3.28. To do anything else within the law which promotes or helps to promote the Object. MEMBERSHIP 4.1. Membership is open lo any individual or organisation interested in promoting the Object. 4.2, Th¢ Trustees must keep a register of membets. 4.3. A mcmber may resign by writtcn notice to the L£agu¢. 4.4. The Trustees may. by Ksolution. terniinat¢ the membership of any mcmbcr on thc ground that, in their reasonable Opinio the member's continued membership would be harniful to the txague. The Trustees tnay only p&8s such a resolution after notifying the member in writing and nsidering the matter in the light of any written representations which the rnember puts forward within 14 clear days after receiving notice. 4.5. Membership of the Leagu¢ is not transferable. 5. GENERAL MEETING 5.1. Members are entitled to attend general meetings of the League eith¢r in person or, in the case of a member organisation. through an authorised rcpTcsentative. General meetings are called on at ISt 21 clear days, written notice to the members specifying the businus to be transacted. 5,2. There is a quorum at a general meeting if the number of members or authorised represenlatives personally presenl is at least sil or l(P/o of the members if greater. 5.3. Thc Chairnian or, if the Cha]rnl is unable to do so, the Vice Chairnian or sorne other member elected by those present preside5 at a gencral meeling. 5.4. Except where otherwise provided by this Constithtion, every issue at a gcneral meeting is detemlined by a simple majority of volcs cast by thc members present in person or, in the case of a member organis&tion, through an authorised representative. 5.5. Except for the chairnian of the meeting, who has a second or casting vote, every member present in person or, in the case of a member organisation, through an authorised representative. is entitled to one vote on ¢very issue.
5.6. An Annual General Meeting (AGM) must b¢ held in every year. 5.7. At an AGM the members.. (l ) rec¢iv¢ the accounts of the League for the previous financial year. (2) receive the report of the Trnstees on the League's activities since the previous AGM; (3) accept the retirement of those elected TnL4tees who wish to retire or are retiring by rotation: (4) elect elected TNstees to fill the vacancies arising. (5) elect from among the members a Chairman to hold office from the end of the AGM for a period of two years thereafter until the end of the second AGM after his or her appointment. (6) appoint an auditor or ind¢pend¢nt examiner for the League where required; (7) rnay confer on any individual (with his or her consent) the honorary title of Patron, President or viCe-PS1dent of the League. and (8) discuss and deterniine any issues of policy or deal with any other business put before them by the Trustees. 5.8. Any general meeting which is not an AGM is an Extraordinary General Meeting (EGM). 5.9. An EGM may be called at any tim¢ by the Ttustees and must be called within 14 clear days after a written request to the Trustees fron] at least six members. 6. THE TRUSTEES 6.1. The Trustees as charity trustees have control of the League and its property and funds. 6.2. The full number of Trustees, when complete, consists of ai l¢asi ihree and not more than seven tndividuals, all of whom must be memb¢rs. or authorised T¢presentatives. 6.3. The Trust$ consist of: (l) Thc Chairn)an:
(2) six elected Trustees each to serve for a peri(Ml of three years. One third (that is two) of the elected Trustees must relire at the end of the AGM on the third anniversary of their appointment, those lOngt in otTi¢e retiring fst and the choice between any of equal service being made by drawing lots; 6.4 A retiring Trustee who remains qualificd may be re-appointed for a maximum of four consecutive tern]s of office, that is twelve y¢an. 6.5 Every Trustee after appointment or reappoinltnfflt must sign a declaration of willingness to act as a charity trustee of the League before he or she may vote at any meeting of the Trustees. 6.6 A Trustee's terni of office automalically tenninates if he or she: (l) is disqualified under the Charities Act from acting as a charity trustee. (2) is incapable, whether mentally or physically. of managing his or her own affairs. (3) is absent without notice or perniission from three consecutive meetings of the Trustees and is asked by a majority of the other Trustees to resign; (4) ceases to bc a member of thc League (but such a person may be reinstated by resolution of all the other members of the Trustees on resuming membership of the League before the next AGM): (5) resigns by written notice to the Truste (but only if at least two Trustees will remain in office); or (7) is removed by a resolution passed by all the otheT Tntee5 after they have invited thc views of the TNstee concerned and considered the matter in the light of any such views. 6.7 A retiring Trustee is entitled, on written requt, to an indemnity from the continuing Trustees at the expense of the League in SPeCt of any liabilities properly Incurr while he or she held otTice. 6.8 A technieAI defect in the appointment of a Tnjstee of whi¢h the Trustees are unawarc at thc time does not invalidat¢ decisions taken at a mecting. 7. TRUSTEES, PROCEEDINGS 7.1. The Trustees must hold at least two meetings ¢a¢h year. 7.2. A quorum at a meeting of the Trustees is fourTnL8tees.
7.3. A meeting of the Trustecs may be held eith¢r in person or by suitable electronic means agreed by the Tntee5 in wbi¢h all participants may communicate with all other participants. 7.4. The Chairnian or, if the Chairn]an is unable or wiwilling to do so, some other member of the Ttustees chosen by the Trustees present prcsides at each meeting of the Trustees. 7.5. Every issue may be detern]ined by a simple majority of the votes cast at a meeting of the Trustees but a resolution which is in writing and signed by all the Trustecs is as valid as a resolution passed at a meeting and for this pUoSe the resolution may be contained in more than one docutnent and will be treated as passed on the date of the last signature. 7.6. Except for the chaim)an of the meetin& who has a second or casting vote, every Trustee has one vote on each issue. 7.7. A procedural defect of which the Trustees ar¢ unaware at the time does not invalidate decisions laken at a meeting of thc Trustres. 8. TRUSTEE DECISION MAKtNG The Trustees have th¢ following powers in the administration of the League: 8.1. To appoint a Treasurer and other honorary officers from among their number. 8.2. To delegate any of their functions to committ¢es consisting of two or more individuals appointed by them, but at least one member of every committee must be a Trustee and all proceedings of committees mu8t be rorted promptly to the Trustees. 8.3. To make standing orders consistent with this Constitution to govern proceedings at general meetings. 8.4. To make rules consistent with this Constitution to govem their proceedings and proceedings of committees. 8.5. To make Tegulations wnsistent with this Constitution to govern the adrninistration of thc League including the operation of bank accounts and the commitment of funds. 8.6. To resolv¢, or establish procedures to assftst tlK r¢solution of, disputes within the League. 8.7. To exercise any powers of the League which are not reserved to a general meeting. 9. BENEFITS TO MEMBERS AND TRUSTEES
9.1. Th¢ property and funds of the League rnust be used only for promoting thc Object and do not belong to the members or the Tnstees. 9.2, No Trustee or comiected person may receive Y payment of money or other material bcn¢fit, whether direct or indirecL from the Leagu¢ exc¢pt: (l ) under clause 9.3 (contractual payments): (2) reimbursement of reasonable out-of-pocket expenses, including hotel and travel costs, actually incurred in the athninistration of the League; (3) a r¢asonable rent or hiring fe¢ for prowty let or hired to the League" (4) an indemnity in respect of any liabiliti&% properly incurred in running the League (includtng the Costs of a suc¢essful defenc¢ to criminal proceedings); (5) payment to a company in which the Tnte¢ has no more than a I per cent shar¢holding; (6) charitable benefits in his or her capacity as a beneficiary. (7) thc bcnefit of indemnity insurance; and (8) in exceptional cases. other payments or rnaterial b¢n¢fits (but only with the prior, written, approval of the Commission). 9.3. A Trustee may not be an employee of the League, but a Trustee or connected person may enter into a contract with the League to supply goods or services in return for a payment or other rnaterial benefiL but only if: (l) the goods or services arc aclually rcquired by the League; (2) the nature and level of the benefit is no more than reasonable in relation to the vatue of the goods or services jnd is set at a meeting of the Trustees in accordance with the procedure in Su¢lause 9.4; and (3} not more than iwo of the Ttustees ate interested in any such contract in any one financial year. 9.4 A Trustee or member may receive goods or services supplied by the League on the same ternis as a person who is not a Trustee or a member. Whenever a Trustee or Connected Person has a rSonal interest in a n]att¢r to be discussed at a meeting of the Trustees or a committee. he or she must.. (l) dcclarc ihe nature and extent of the interesi before the meeting or at the meeting before discussion begins on the matter:
(2} be absent fn)m that part of the mccting unless expressly invited to remain in order to provide infornution; (3) not be count1 in the quorum for that part of the meeting; (4) be absent during the vote and have no vote on the matter. 10. PROPERTY AND FUNDS 10. l. Funds which are not required for immediate use, including those which will be required for use at a future date. must be placed on deposit or invested in accordance with clause 3.18 until needed. 10.2. Investments and other property of the League rnay be held ill name of the Trustee body if incorporated under the Charities Act" 10.3. Documents and physical assets may be deposited with any company registered or having a place of business in England and Wales as custodian. 10.4. Any custodian appointeAI under clause 10.3 may be paid reasonable fees. I I. RECORDS & AccouKrs I l . l. The Trustees must comply with the requiiernents of the Charities Act as to the keeping of financial records, the audit or independent examination of accounts and the preparation and transmission to the Commission of: (l) annual returns. (2) annual reports. and (3) annual statements of account. 11.2. The Trustees must keep proper records of.. (l) all proceedings at general Meetings. (2) all proceedings at meetings of Trustees; (3) all reports of committe&s; and (4) all profcssional advice obtained. 11.3. Accounting records relating to the League mwt be made available for inspection by any Trustee at any time during norn1 office hours and may be made available for inspection by members if the Trustees decide. 11.4. A copy of the L¢ague's latest available staternent of account must be supplied on request to any Trustee or member. A copy must also be supplied, within
two months, to any other person who makes a written request and pays the League's reasonable costs. I2. NOTICES 12.1. Notices under this Constitution may be sent by hand. by post, or by suitsble electronic means, or (where applicable to members generally) may be published in any suitable journal or newspaper circulating in area of benefit, any journal distributed by the League OT on the League's website or any appropriate FaceBook page. 12.2. The address at which a member is entitled to receive notices is the address noted in the register of members (or, if none, the last known address). 12.3. Any notice given in accordance with this Cojkgtitution is to be treated for all purposes as having been received: (1) 24 hours after being sent by electronic means or delivered by hand to the relevant address; {2) two clear days after being sent by first class p)st to that addre8S; (3) three clear days after being sent by seLx)nd class post to that address: (4) on the date of publication of a journal or newspaper containing the notice on the date on which it is posted on th¢ League's website or appropriate FaceBook page; (5) on being handed to the member or its authorised representative personally. or, if earlier. (6) as soon as the member acknowledges actual receipt. 12.4. A technical defect in the giving of notice of which the members or the Trustees are unaware at the tim¢ does not invalidat¢ de£isions taken at a meeting. 13. AMENDMENTS This Constitution may be amended at a g¢neral meeting by a two-thirds majority of the votes cast, but". 13.1. The members must be given 21 clear dws, notice of the proposed amendments. 13.2. No amenthnent is valid if it would make a fundental change to the Object or to this clause or destroy the cbaritable status of the League.
13.3. Clause 9 may not be amended without the prior written consent of the Commission. 14. INCORPORATION 14.1. Th¢ members at a general meeling niay authori8e the Trustees to transfer the assets and liabilities of the League to a limited company or Charitsble Incory)orated Organisation established for exclusively ¢haritsble purposes within, the same as or similar to the Object and of which the members of the League will be entitled to be members. 14.2. On a transf¢r under clause 14.1 the Trustee5 must ensure that all neccssary steps are taken as to: (l) the transfer of land and other property; {2) the novation of contracts of employment and transfer of pension rights. (3) the trusteeship of any propety heId for special purposes. 15. DISSOLUTION 15.1. If at any time members at a generdl meeting decide to dissolve the League. the Trustees will remain in office as charAty trustees and will be responsible for the orderly winding up of the League's affairs. 15.2. After making provision for all outstanding liabilities of the League, the Trustees must apply the remaining property and fullds in one or more of the following ways: (l) by transfer to one or more other bodies established for exclusively charitable pUSeS within, the same as or similar to the Object; (2) directly for the Object or charitable purposes within or similar to the Object: or (3) in such other manner Consistent with charitable status as the Commi&8ion approve in writing in advance. 15.3. A final r¢port and stat¢ment of account relating lo the League must be sent to the Commission. 16. INTERPRETATION 16.1. In this Constitution: 'AGM' means an annual genctal mKting of the Lcaguc;
'area of benefit, means [geographical area]: 'authorised representative, means an individual who is authorised by a member organisation to act on its behalf at m¢¢tings of the League. 'beneficiary' means a beneficiary of the League. 'the Chainnan, means the chairnlan of th¢ Ixague elected at the AGM: 'the League, means the charity comprised in this Constitution. 'charity trustees. has the meaning presLYibed by section 97(1) of the Charities 'the Charities Act, means the Charities Act 2011: 'clear day. m&2ns 24 hours from mithiight following the relevant event; 'the Commission, means the Charity Commission for England and Wales. 'connected rSOn. means any spouse, civil parther, cohabitee. parent. child, brother, sister. grandparent or grandchild of a Trnslce, any firni of which Trustee is a mcmber or employee or a company of which a Trustee is a director. employee or shareholder being beneficially entitled to more than I per cent of thc share capital; 'co-opted Trustees, means those Trustees who are appointed by the Trust¢es in accordance with clause 6.3{4): 'custodian' has the meaning pr&scribed by stIon 17(2) of the Trustee Act 2000; 'EGM' means an extraordinary general meeting, that is a general meeting of the members of the League which is not an AGM. 'elected Trustees, means those Ttee$ who are elected at the AGM. 'financial expert, means an individual, company or firnl who is authorised to give investrn¢nt advice under the Financial Services and Markets Act 2000. 'financial year, means the League's financial year: 'finn' includc5 a limited liability partnership; 'fundamental Change, rneans such a change as would not have been within the reasonable contemplation of a person making a donation to the L¢ague'
'holding trustee. means an individual or coryorate body responsible for holding the title to property but not authorisdl io n]ak¢ any decisions relating to its use, investment or disposal: 'indemnity insurance, means insurance against personal liability incurred by any Trustee for an act or omission which is is alleged to be a breach of trust or breach of duty, unless the Trustee concemed knew that, or was reckless whether, the act or omission was a 8¢h of trust or breach of duty. 'independent examiner. has the meaning prescribed by section 43(3)(a) of the Charitie5 Act; 'material benefit, means a benefit which may not IK financial but has a monetary valuc. I report to the trustees on my examination of the accounts of the above charity (“the Trust”) for the year ended 30/09/2024.
- Responsibilities and As the charity trustees of the Trust, you are responsible for the preparation basis of report of the accounts in accordance with the requirements of the Charities Act 2011 (“the Act”).
I report in respect of my examination of the Trust’s accounts carried out under section 145 of the 2011 Act and in carrying out my examination, I have followed the applicable Directions given by the Charity Commission under section 145(5)(b) of the Act.
Independent I have completed my examination. I confirm that no material matters have examiner's statement come to my attention in connection with the examination which gives me cause to believe that in, any material respect:
