It was incoiporated in 1964 to suppoi't the work of the merged College formed in that year. Its Meinoranduin of Association permitted it to accept property held on specific ITUSt5 and to administer them accoi'diiig to those trusts. The Foundation 15 governed by the CoLuiciI (If Management {colloqui<2lly i'efei'led to as the Board). Reflecting the oi'i8ins of the College's predecessor institutÉons, four members of the Board are appointed by the SPCK and the Nationalsociety. Other membeys are appointed by bodies represenlllig the College's past studeii¢s aiid the London atid Clielmsford dioceses. The Foundcition's Articles (most receiitly ameiided in 2J19-2020) allow Ilie Boi1rd to co-opt additional membei's, and empower the Bishop OE Londoii to appoint a Cliaii'man. The Trust and its governing Scheme A heme made by the Charity Commissioners on 5th February 1979 provided for the charity assets to be administei'ed as a siiigle charity undei the title All Saints Educational Trust. The 1979 Scheme (amcnded in 1995 as re8ards investment powers) remains tlie soverning insti'uinent OE the charity. Instead of operiiting Éi collese, the charity now manages <ind applies assets representing tlie pi'oceed5 of the sales of Eoi-lner college pi'emises and other Eunds iitherited from its Predecessors. Althougli these assets have oceasioiially been augmented by gifts c1nd legacies, it does not raise Eunds from the public. The Scheme appointed the Foundation to be the charity trustee. Under the Scheme, net cliarity incoine is to be applied in the advancement of higlier or fui'thei. education or both. In applying income, the Trustee is to 'act in such a manner as will advance education in accoi'dance with the doctlines, l'ites and practices OE tlie Chui'ch of England OL of a church iii commiinion with it,. It is to have regard to the needs OE ainee teachei's, particularly those at what is now Middlesex Univei'sity, and to the advancemcnl of education in etlinically diverse areas. Our objectives are to obtain reasonable assurance about whether the financial statements as a who18 are free from material misstalemenl, whether du8 to fr8ud or error. and lo issue an auditor's report that includes our opinion. Reasonable assurance is a high level ol assurance, bul is not a guarantee that an audit conducled in accordance with ISAS IUKI will always delecl 8 material misstatement when it exists. Misstatements can arise from fraud or error and are considered material if, individually or in aggregat8, they could reasonably be expected to imfluence the economic decisions of users taken on Ihe basis of these financial statements. Explanatlon as to what extent the audit was considered capable of detecting irregularttles, Includlng fraud Irregularities, including fraud, are instances ol non-¢ompllance with laws and regulations. We design procedures in lin9 Wlth our r85ponsibililies, outlined above, lo detect material misslalements in respect of irregularities, including fraud. The extent lo which our procedures are eapable of delecting irregul8riti@s, including fraud is delailed below. The objectives of our aLSdit in respecl of fraud, are,. lo identify and assess the risks of m8lerial misslatemenl of the financial statements due lo fraud,. lo obtain sufficient appropriale audit evidence r8garding the assessed risks of malerial misslalement due to fraud, Ihrough designing and implementing appropriate responses lo those assessed risks., and to respond appropriately to instances of fraud or suspected fiaud identified during Ihe audit. How8v8r. the primary responsibility for the prevention and detection of fraud rests wilh boih management and Ih05e charged with governance of Ihe charity. Our approach was as follows.. we obtained 8n understanding ol the legal and regulatory requirements applicable lo the charitable company through the use of permanent audit fi18 information, updated this year for any changes that have b88n identified by managempnt or by our own Investigations and considerfyd that the most significant 8r8 the Companies Act 2006. the Charities Act 2011, the Charity SORP, and UK financial reporting standards as issued by the Financial Reporting Council., we obtained an understanding of howthe charllable company¢ompli8sWith these requirements by discussions with management and those chaiged wilh governan and through reviews of relevant 8ccounting and management records., we assessed the iisk of tnaterial misstatement of the liN8neial statements, induding the risk of malerial misstatement du8 to fraud and how il might owur, based on our worf( as outlined above-, we enquirod ol management and those charged with governance as lo any known instances ol non-complianoe or suspected non-compliance with laws and regulations, using associated documentary evidence lo better understand ilems of interest., based on this understanding, we deslgned specific appropriate audit proeedures to identify instanc85 ol non-compliance wth laws and regulations. As well as sp8cific audit testing, this included approaching accounting records wlh an inquisitive and scepli¢al mindset such that we examined items that were fell to be ol inleresl or of higher risk in this area, and obl8ining additional corroborative 8videnee as required. To address the risk of fraLJd Ihrough management OV81rid8 01 controls, we carried out the following work.. procedures were und8rt8kèn to identify any unusual or un8xpected matlers, and the rational8 behind any such matters w85 examined., journal 6ntries were reviewed lo identify unusual transaetions., judgements and assurnptions made in delermining the accounting eslimales set Okjt in thè accounting policies were r8viewed. There are inherént limitalions in the audit procedures described above. We are less likely lo become aware ol InStanS of non-compliance laws and regulations that are not closely relaled lo events and transactions reflected in the financial statements. Also. the risk of not detecling 8 material misstatement due lo fraud is higher than the risk of nol detecting one r8sulting ffom error, as fraud may involve delibèrat6 concealment by, for 8X8mple. loroery or intentional misreprés6ntallons. or through collusion. 24
