The Trustee
The prehistory of the Trust begins witli the
foundalioii of two Middlesex educational
institutions in the late nineteenth centiiry.
St Katharine's Collese Tottenham was
founded in 1878 on the initiative of the
Society Eor Proinoling Christian Knowledge
(SPCK),. Berridse I lou.se Hampstead in
1893 on the initl¢ltive ol what IS Ilow Iled
the National Society (Church of England)
for Pronioting Religious EdLtcatioii. In 1964
the.qe. instilutionq meiged to create tlie
Colle8e of All Saints. This closed in 1978,
some staff aEid stiidents ti'ansferriiig to
constituent institutions of the Middlesex
Polytechnic, whose function lias since
pa55ed to Middlesex University.
Polytecknic operated on otlier sitcs,
liowever, making the premises of St
l<atliariiie's College and Berridse HoLise
surplLlS to its requirements.
It became

proceeds and othei charity assets.
llie College of All Saiiits Foundation is
a charitable company limited by guarantee.
It was incoiporated in 1964 to suppoi't the
work of the merged College formed in that
year.
Its Meinoranduin of Association
permitted it to accept property held on
specific ITUSt5 and to administer them
accoi'diiig to those trusts.
The Foundation 15 governed by the CoLuiciI
(If Management {colloqui<2lly i'efei'led to as
the Board). Reflecting the oi'i8ins of the
College's predecessor institutÉons, four
members of the Board are appointed by the
SPCK and the Nationalsociety. Other
membeys

appointed by bodies
represenlllig the College's past studeii¢s
aiid the London atid Clielmsford dioceses.
The Foundcition's Articles (most receiitly
ameiided in 2J19-2020) allow Ilie Boi1rd to
co-opt additional membei's, and empower
the Bishop OE Londoii to appoint a
Cliaii'man.
The Trust and its governing Scheme
A ￿heme made by the Charity Commissioners on 5th February 1979 provided for the charity
assets to be administei'ed as a siiigle charity undei the title All Saints Educational Trust. The
1979 Scheme (amcnded in 1995 as re8ards investment powers) remains tlie soverning
insti'uinent OE the charity. Instead of operiiting Éi collese, the charity now manages <ind applies
assets representing tlie pi'oceed5 of the sales of Eoi-lner college pi'emises and other Eunds
iitherited from its Predecessors. Althougli these assets have oceasioiially been augmented by
gifts c1nd legacies, it does not raise Eunds from the public. The Scheme appointed the
Foundation to be the charity trustee.

The Awards ComLnittee ensui'es that applications for awards from Trust funds are propLJrly
scrutinised. It meets annually in April or May and makes award Tecommendations, tIIou8h

'out of sequence, when the Trust's financial 51tuation permits.
In Apri12020 the Boai'd made a Resolution authoTl5ing its Committees to meet remotely ratlier
than in person, This was inspired by the restrictioii oli physical meetiiigs due to the
coronavirus pandemic, bul the Regulatioii is permaiient and will lic St beyond the duriltion of
Ineeting restrictions. At the same tiine, siiice tlie Board could not Ii Uthoi'ise itself to ineet
remotely, it esLiblished ali Emergency Conumittee to which it delL)galed all its own powei's so
Ions as meeting restrictions exist. The Emersency Committee has the same membership as the

2020 the Einei'gency Cominillee has done the work of the Board, and all Coinmittees have
takeii place using online meeting software.
The Board (or tlie Emergency Cominittee in its place) Ineets twice a year. In November (when
the compaiiy Annual General Meeting of the Foundation is Iso held) it rLreives a report from
the Fini1nce aiid General Purposes C.ommittee, considers aiid appyoves the draft Annual
Report and Accounts of the Trust for the finaiicial year endiLig the previous Julie, and appoints
auditors for the next Einc1ncial yeai. Iii Julie the BoarLI I'eceives repor15 Éi'om botli Committees,
review.s the Ti'ust's activities and finances in the cuii'ent year, sets policy objectives foi. tlie
ensuing year and beyond, and coiisiders awaid i'ecomimendations Eor ondorsemenl.
On appoilllment each new member of the Board is supplied with a copy of the Foundation's
conbtilutioii, tlie goveriiins Scheine and the most recent Report and Accounts, and directed to
relevant Charity Commission publications for trustees. Inductioii, usually in the form of
a meetiiig with tlie Chairman or the Clerk, is tailored lo tlie individual niomber (taking iLIto
account the experience Iiiid existing experlisL which may have suited hirn or her for
appointment in the first place). Opportunities (or on-going 'trainin¥ are taken at intervals,
sometimes with the help of the Trust's professional advisers.
Trust policy and practice in the management of assets and application of income
In suppoi'tiiig tertiai'y oducation finaiicially out of Trust income, the FoLindation as Trustee
believes itself to be Carrying on the woi'k of the predecessor institutions. The emphasis of its
srant-making policy is therefore oli the teaching of religious subjects (a particular eoncern of
St Katharine's College) (￿Id oli doinLslic ￿le1)ce Itlie inain focus of Berridge House, also known
as home economics and now includiii8 nutrition, dietetlC8, food technolo8y and £ispects of
public health). Individual grants are normally made to tliose eitlier aspiring to teach those
subjects at primary or second￿'Y level, or to teach othei's to do so. The accounts and review
of activÈties which follow indicate in more detail how this policy is implemented.
I'he 'l'rust assets are thei'efore managed in such a way as lo maximise (so far as prudence will
allow) tlie sum available for distribution in corporate and individual awai'ds each yeai.
CurLenl inveslnient, Einancial, accouiiting and iisk management policies also appear in the
pages that follow. Having decided, because of the coi'onavirus pandemic, not to make new
awards in 2020-21, the Foundation was pleased to resuine inviting applications for awards to
cover the accounting year 2021-22. More detail is siveii in the Review of Activities (section E
of this Report}.
The Trust staff, consultants and patron
The Foundation appoints a COLnpany secretary, who acts as Cleil< to the Fouiidation in its
Ti'ustee role. Mr K.D. Mitchell B.A. Solicitor - serves iii this capacity,. Mrs Stella Sardine iio
loiiger worlcs for the Ti'ust and the SAGE accouiitilig entries and day-to-day boolckeeping is
now cai'ried oiit by Accouiitability Europe Lid. This has been Cil ri'led out remotely si)Ice Mil rch
2020. The Trust does not png£l8e in active fundraisiiig and no complaiiits in relatioii to
fundraising activities have been receivcd during tlie i'eporting period.

Irregularities, including fraud, are instances ol non-¢ompllance with laws and regulations. We design
procedures in lin9 Wlth our r85ponsibililies, outlined above, lo detect material misslalements in respect
of irregularities, including fraud. The extent lo which our procedures are eapable of delecting
irregul8riti@s, including fraud is delailed below.
