The Chelsea Physic Garden Company (a company limited by guarantee) Independont auditorfs r•port (eonts"nu•d) To the Direclors of Thg Chelsea Physic Garden C¢xnpany for the year ended 31 December 2022 Our approach was as follows.. We obtained an understanding of the legal arKI regulatory requirements applicable lo the charitable company and considered that the most significant are the Companies Act 2006, the Charilh8s Act 2011. the Charity SORP. and UK financial reFM)rting standards as issued by the Financial Reporting Council. We obtained an und¥starMling of how the caritable company comtAies with these reqU1MentS by discussion$ with management and th)se charged with governance. We assessed the risk of material misststement of the financial stalements, induding the risk of material misstatement due to fraud 8ThJ h(rw it might orAxJr, by FM)kJing discussiorts with management and those charged wth govemance. We inquired of management and those charged wth goveman¢e as to any known InStsreS of non- compliance or suspected non-compliance with laws and regulation$. This induded making enquir$ of management and those charged th g)vemance arwj obtainirvJ ajditional corrobtyalive evidence as required. There are inherent limrt'on$ in the audit predureS described al. We are les$ likely to become aware of instances of non-complianee vthh laws and regulations that are not dosety related lo events and transactions reflected in the financial statements. Also. the risk of not detecting a material misstatement due lo fraud is higher than the risk of not detecting one resulting from error, as fraud may involve deliberate concealment by. for example, forgery or Intention misrerrfesentatiorts. or through cdlusbjn.
