Organisalion and Structure
Appointments to the Board are for an inits'al period crf three years after vthich truslees can seek re-election, serving
vo additional lems each rf three years. These provistons also apply lo appointments lo the Board of CPG
Enterprises Limited, the A￿lSOry C￿rnittee and other b)ard committees. There is prOVi￿On to extend the
appointment of a director ￿ trustee for a limited pertod t*lwe the experience or organtsational knty￿edge of that
tr￿￿tee supports an important or timdy acb"vty.
Two new trustees have been appointed to j¢in the Board during the year. Dr Paul Thompson as Chair Elect. who
has worked alongside the existsng Chair and trustees, tsking over formally at the beginning of 2023. Dr Thompson
has been appointed as a director of CPG Enterprises Limited. Mr Todd Longslaffe-Gowan was appointed in July
2023 to supwrt Ihe board and Advisory Committee gwen his notable h(wticullural experience. During the year
trustees stood down because of other commitments. At the end of 2022 Mr Michael Prideaux (Chairl and three
other trustees retired at the condusion of their temi of office. Mr Mich￿[ McGonigle has agreed to remain a trustee,
serving on the board, the Finan￿ & Operations Committee and Project Board for a further period to ensure
conlinuty until the end of the ojrrenl capital F￿jeCt.
The trustees deternine the cwerall strategy and pdicies of the charity. The delNery d the Garden's strategic plan$,
fvndraising and extemal professional relations together with day-to4ay management are delegated lo the Garden's
Director, Mrs Susan Medway, Y*ho is also appointed as Company Secretary. The Director takes a lead on major
project a¢tNity as the most senior execulNe of the cknrity. She is supported by a small team (rf senior managers and
staff.

Recruitmont and Appointment of the Board
All members of the Board give their time vduntarily and recetve no benefrts frcrfn the Charity. Any expenses

The Nominations & Appointments Commillee is charged with setbng and regularly reviewing the requisite skills and
competencies for board members and members of committeeslpanels, undertaking recruitment searches and
Tecommending appointments as required to ensure there is an appropriate mix of skills. After a process to idenlfy
the skills required was undertaken tsvo newtruslees. Chair Elecl. Dr Paul Thompson and Mr Todd Longstaffe-Gowan
were appoinled lo the Board in the course of the year. rep1￿ing trustees who retired at the end of December.

New trustees are invited and encouraged to attend at the Garden to familiarise themselves wth the charity and the
conlexl within which it operates. induding meetirKJ ￿￿th senior management and taking tours with the volvnteer
Guides. An induction day was carried out with nethy appointed trustees. They are invited to attend the annual main
Spring briefing and the subsequent quarterty staff and volunteer ￿lefing sessions. N￿Y appointed trustees spend
a period shadowing an existing twstee. Throughout their temi of offtt they are offered appropriate training in their
role as charity Iruslees.

The Deputy Director (w￿ltOr Experience} is reswnsibte for the lhelcome pr￿ided to viwtors and for management of
the buildings and Iheir services. Through the leaming and public programme team they have oversight of all

their absence.
The Commeraal DI￿lor is responsible for all commercial acttvity induding retail. venue hire and C(￿MerCIal
partnerships,. they also manage the relationship ￿th the catering partner as well as the small number of ￿mMerCIal
contracts that exist. They are respon￿LIe for the Fri￿ds. scheme,. through ther team they undertake ai PR,
marketing 3fKI communi¢ation$ induding ditita.
The Development Director is responsible for supporting senior fundraising volunteers as well as direct fundraising
for both specifi¢ capital projects and lo Supp￿ the charity's education and learning programmes.
The Finance DIT￿lOr is responsible for all finance activities for the tharity and the wholly owned trading subsidiary
CPG Enteryises Limited.
The Head of Plant Collect￿nS is responsible for the horti(xJltural management of the garden and its plant collections
together with the herbarium and seetl bank. They ensure ddivery of the horti(yJllural training programmes.
The Project Manager leads on coordinating the Project Board, the Project team. the Capital design team and
supporting colleagues lo achieve kyogress on all capital and programme aclNfties required for the Glasshouse
project and plans towards the Gardens trMJilding refurbishment Pro￿amme as part of its 350 annNersarycelebralions
in 2023.
The Executive Assistant SUPPK*ts the Board. its sub-committees and senior staff. TW lake minutes for all meetings
including the Board and ils sub-commitiees as well as the Proje¢t Board arml project meetings.
The Finance & Operations Committee meet vAlh senior manag￿ent quarterly to review the performance and
financiJ stability ￿ the charity and its trading subsidiary. They monitor and rLwiew key performance indicators,
all major income and expenditure and cash flow to ensure that the Chaiity and trading subsidiary can meet their
liabilities and continue lo Irade on a going concem basis.

Museums, the National Council for the ConseNation of Ptanl$ and Gardens. The Heritage Alliance and The National
Council for Voluntary Organisations.
Close networks exist be￿en a number of national and international botanic gardens. The Garden also maintains
good thing relationships wth staff at the Royal Bctsnic Gardens. Kew. Cambridge and Oxford Botanic Gardens..
Edinburgh and Bristol Botanic Gardens and the National Botanr Garllen ofwales. The Royal Horticultural Society and
Kew support the Garden with lethniea a(fvice. expertsse and plant material. The Garden has reciprocated wth
similar exchanges of expertise and also hosted visits frc¥n hortl￿tUr￿ trair¢es from many rf these Gardens. There
is a developing nefvth through the charity's cxjtreach programme with organisations such as the Octavia
Foundation, Chelsea Academy. Kings. College (Civic Leadership Academy) and Social Farms and Gardens.
At a local levd the charity engages wth what is going on vrithin the Royal Borough of Kensington and Chelsea,
and particularly %*ithin the etwirons of Chelsea and Kings Road. The Garden pays attention lo activities relating lo
tourism, education and CLJmmunty iniliatNes that il can support and prl￿01e ather activdy or passively.

The Garden has been open to vi%ilors 11 months of the year. six days a week, albert visilalion levels are not at pre-

The ¢dIa￿TatIon with Beefeater Gin through the Lonth)n Garden Gin woduct and their charitatle donation to the
Garden continued in 2022. The agyeement Mfjth octop￿ Publishing continues ￿th a third publication produced
during the year under the Garden's trademark.
The Cty Bridge Trust and the John Lyon's Charity hwe Conkn'nwl theff support for our learnirwJ outreach and
engagement programmes and we are grateful for their continued and vital support. Both these multi-year grant
awards came to an end in 2022.
The Garden has continued to deliver Eearning both onsf(e, offsrte and online. There has been an increase in the
delivery of actNilies through a programme ofcommvnity partnerships. The total number of schools and community
participants for the year was 7.632. In addition, we wekJ)med a fvrther 6.560 participants to one of our public
programme actNlties throughout the year. which may have been anything from summer outdoor music. inleraclive
theatre, a famity aclNlty day or a workshop on chocclate making or a hefbal remedies course.
There have been no restrictions in place during 2022 and the Garden has continued lo operate throughout. There
remains a bwer number of inbouTrJ louri5ts that before the paThlem￿ allhough some of thi8 can now be attributed to
C•)St of living pressures.
Venue hire actNity has been extrerth bJoyanl throughout the year as dients who had carried forward their
L￿king5 from 2020 and 2021 held their events at the Garden.
Voluntgers
The Garden's team ofvdunteers, pr(wKles invaluable SUPFrtyt across the charity and the Garden continually looks to
diversrfy the actsvtties that vdunteers are involved in. In the yearwork has been ongoing to diversfy who and where
Tecruitmenl of volunteers look place, as well as ensuring the onwing training and support for existing and new
volunteers. A Youth Panel (aged 16-24 years) has been reerurted and is working on tems of reference and with the
Leaming team to C(￿create arKI supwt adivities. ensuring that these are publicised in ways that attract young
audiences.
Fundraising statement
Section 162a of the Charities Act 2011 requires charities lo make a statement regardiThJ fvndraising activities.
Although we do not currenuy undertake widespread fundraising from the general public, the legislation defines
fundraising as 'soliciting or otherwise procuring money or other propety for charitsble purposes.. We have an on-
line donation page for the general public to make donations lo fundraising appeals, including Ihe 'Holhouse
Challenge, for the Glasshouses project. At 31 De￿mber 2022 £4.633 had been received for this and other projects
via the website. Such amounts received are presented in our accounts as *oluntary income. and include legacies
and grants.
In relation lo the atove r( is confimied that all solicttations are managed internally, I•￿thOut involvement of commercial
participators. professional fundraisers, or third parbes. The day-to-day management of all income generalson is
delegated lo the senior management team. who are accountab￿ lo the trustees.

Code of Fundraising Practice.

Investment Pollcy
The trustees have considered the rnosl approwiate polw for managing the charity's eThJowmenl funds and
unrestricted reserves. They have delegated management of these funds to a specialtst fund manager, Sarasin &
Partners LLP. The investment mandate set for the fund manager is to provKle a level of annual income lo help
support the running of the charity, whilst also looking to achieve long-temi capital growth of the funds.
Financial revlew
The results for the year show net surplu$ of £998.198 before losses on investments. this compares to a surplus of
£1,869,043 in 2021 and a net surplus {after unrealised losses) of £513.257 compared with £2,117,702 in 2021. The
balance sheet shows a positive posilK)n.
The Garden's trading subsidiary. CPG Enleftvises Limited. showed a pre-tax profrt of £219.322 (2021.. £95.144).
before a donation under deed of covenant was made to the Garden.
Income from letting roorn5 and external events in the Garden is £611,646 (2021.. £297,354) which is 20Oh12021
80h) of total income. The income received from the Friends related lo the renewal of annual subscriptions to the
Friends, scheme aThJ the making of new Friends of the Garden generated an income of £307.280 {2021.' £385.822).
Total eXper￿ltUre of £2.063.199 inwsed by 23% {2021- £1,681,388). The intreases were In salary costs. partly
owing to additional r￿e￿ terni heads rdated to the 350 annNersary, also in horticultural and marketing costs and
professional fees.
Reservos
Totsl funds at the year*nd amount to £7.612,345 {2021.. £7,099.088) of whth £2.433.607 (2021: £1,726,696) can
only be used for particular restricted purposes as stipulated by the donors. The assets and liabilities allributable to
the various fvnds are shown in notes 18 and 19 to the financial statements which also describe the various funds of
the charty.
Un￿$tr￿led funds amount lo £5,178,73812021: £5.372.3921. ofwhich £827.770 (2021- £759.606) is freely available
as the trustees consider the endowment funds of £3.557.9)212021.' £4,049,456) to be available only in exceptK)nal
r¢umslances. The charity relies on the income generated from these long-lerm investments land also from ils own
aGtivities) for the day to day upkeep of the G*den and for ca￿1 growth to ensure continued inry)me generation in
future years.

£585,017 equates lo a litue over three months of expendiiure reserve and are therefore broadly in line with this

Golng concern
In assessing any lasting impact of finanryal pressures ￿ht about by rising inftation and consequent price
inc¥eases on The Chelsea Physic Garden Company group, the trustees have considered all the mall8rs described
in the Trustees, Report, induding the group's operattons, the impact on subscripts'ons, donatp)ns, and other trading
aclivilies, as wdl as the impa¢l on the group's investment portfdio. In particular, in order lo support the tru51ees'
assessment of the sustainability of the wup's actNlties. management continues to prepare quarter￿ cash-llijw
forecasts based on as5urnption$. through lo the end of 2024. The major revenue and expenditure budgets are
tracked on a month-by-month basis to check actual against l￿dge( whKh is used to a(Jjusl the forward assumptions
for income and expenditure through 2023 up to Decembw 2024. The analysis undertaken shows that the group
remains cash positive throughout without need to liquidate any of the charl￿9 investment portfolio.
CPG Enterprises Ltd. the wholly owned subsKliary which undertakes certain commercial trading activities of the
group, ha5 been subjected to a separate St￿$$ lesl for a perKxl which extends forward to the end of 2024. ProvKled
that trading actNil￿ ordinarily undertaken by CPG Enterprises Ltd can be undertaken the stress test demonstrates
that the trading company remains an independent going concem throughout.
At the date of signing of these finanual stalemenls. the, forecasts indicate that the Group will be able lo maintain
liquidity for a period of al leasl one year following the date of S￿nIng of these financial statements and will therefore
be able to continue lo trade as a going concem. The trustees therefore o)nsider that no material uncertainty exists
in relation to going concern for the Group.

Progress on achieving the overall objective lo update the Garden's horti(yJllural and leaming facilits'es and

The first phase of this is resloralion and re1nteTpretat￿n of the Garden's Victorian Glasshouses whith is supported
by a Nalirjnal Lottery Heritage Grant of £924.100. following a grant increase of £243,400. Progress on the ￿pital
resloralion works. new inlerpretalion a5 well as an extensive a¢livty plan are all progressing.
All the necessary furKlraising for the full cost of the project {£2.9m) has been undertaken and the capital and
comprehensNe activity plans are funded.
In anlicipalion of the Garden's 350 anniversary in 2023 the charity has a ￿an of activities in ptxe throughout this
year which bring together communty local Stakeh￿ders, visitors and sUPPQrters to celebrate the work of the
charity. The Glasshouses are scheduled for Comp￿tIOn and reopening towards late summw and this will be used
as an opportunty lo reinforce the Garden's mandate as a Physic Garden for the Future.

During the development phase of the Glasshwse project the Garden created a Sustainability Framework through

further developed lo provide a benchmark by whith the Gwden can tracK reduce and mitigate ils environmental
footprint.
Pay policy of senior staff
The charity is committed to the London Lrving Wage. induding for trainee roles. The Remuneration Committee, is
responsible for annually revwing the pay and Conditions of sL8ff and volunteer expense remuneration.
Benchmarking is undertaken within the relevant sector of all vacant roles prior to re-advertising. A subslantNe
benchmarking exerase was urKlertaken during the year 60% of existing role profiles extemally benchmarked
ilhin comparative sectors. A recommendation was Tnade and a¢eepted by the Board to address ary substanlrve
variances in salary of affected posts.
Risk Management
The trustees actively review the major rth whtch charity might face. in particular those relating to governance,
reputation, operations and finance. As part of the risk monitoring infrastructure the charty maintains an active risk
register, business conlinuity ond disaster plan. These are regularly reviewed lo ensure relevance. The charity
annually reviews 115 Insuran￿ provision induding the type of c4)ver ar￿ overall levels of cover.

In assessing the impact of the cost-of-living crisis and Ihe slow ￿eLlYery of tourism in the aftermath of the
pandemic the trustees have considered all the matters described in the Trustees. Report. induding the group's
operations. the impact on subscriptions. donations, and other trading a¢tNilies, as well as the impact on the
group's investment portfolio. To support the trustees. assessment of the Sustainability of the group's activities.
management continues lo prepare monthly cash-flow forecasts based on assumptions. through to the end of
2024. The major revenue and expenditure budgets are tracked on a month-by-monlh basis to check actual
against budget. which is used to adjust the forward assumptions for income and expenditure. The analysis
undertaken shows that the group remains cash positive throughout without need to liquidate any of the
charivs investment p￿01￿).
CPG Enterpris95 Ltd. the Whol￿ owned subsidiary whith undertakes certain commercial trading adivitie$ of
the group, has been subjected lo a separate stress test for a period which extends foThvard lo the end of 2024.
Provided that trading actiVTties ￿dinarilY un(lertaken by CPG Enterprises Ltd can be undertaken the stress
test demonstrate5 that the trading company remains an independent concem throughout.
At Ihe date of signing of these fmncial statements. th8 trustees, frye¢asts indute that the Group will be able
to maintain IiquKlity for a period of al least one year following the dale of signing of these financial statements
and will therefore be able to continue to trade as a going con¢em. The trustees therefore consider that no
material uncertainty exists in relation to going concem the Group.

Cash donations and gifts are included in the Statement of Financial Ath"vities when conditions for their receipt
have been met. When donors S￿[fy that donations grwen to the chanty must be used in future accounting
periods. the Ir￿ome is deferred until those pericds.
For legaues. ent￿ement is tsken as the earlier of the date on which either: the charity is aware that probate
has been granted. the eslale has been finalised and notification has been made by the execvtorfsl to the Trust

The charity oh￿S the whole of the issued share ca￿1 of CPG Enterprises Limited.
Each year CPG Enterprises Limited pays to the charity, und¥ the provish)ns rdaled to Gift Aid, a sum based
on the taxable profits of the cornpany. The payment of Gift Aid is subject to the reserves policy of the grfting
entity, and the approval of the charity.
Gift Aid is recognised on the accruals baws in line ￿￿th the deed of covenant.

Expenditure
Expenditure is recognised on an aceruals basi% in the period in wh￿h it is incurred. Costs of raising funds for
commercial trading operations comprise the costs associated with the letting of grounds and goods supplied.
Charitable expenditure comprises those costs incurred by the charity in the delivery of its activities and servi￿$
for ils beneficiaries. 11 irKludes both costs that can be all(￿ated direcuy to such activities and those costs of an
in(lirect nature n￿eSSary lo support them.
All costs induding g)vemance costs are allocated between the expenditure categories of the charity on a basi$
designed to reflect the use of the resour¢e. Costs relating to a partiujlar actNty are charged directly, others
are apwrtioned on an appropriate basis.
Fund aGcountinq
Unrostricted funds can be used in accordan￿ with the charitable objectives at the disuetKJn of the Iruslees.
These inelude the assets of the trading company. The trustees use part of the unrestricted funds from time to
time for specrfte projects and set up designated ￿ndS lo refiect this.
The Endowmenl Fund is an expendable Endowment and represents investrnenls and cash which conlinue to
be used by the trustees in the best interests of the charity. The endowment fund was established between
1983-87 from a fundraising appeal which attraclgj donations from a number of sources. The Iruslees have
determined that the fund is expendable with both capital and income being available to use at the trustee's
discretion in supwt of the charty's *DTk.
Restricted funds can only be used for the part￿lar restrtcted purposes within the objecltves of the charity.
Restriction5 are imposed by the donor or when funds are raised for specified restricted purposes. The notes
to the financial statements provide further delails.
Tangib￿ fixed assets
Generalty. tsngible fixed assets are Capitslised rf they can be used for more than one year and ¢osl at least
£2,500. They are valued at cost.
The charity does not have a pdicy C￿ revaluation. a nominal value of £1 is put on the main buildings and
gardens. The freehold of the land and Iwildings are by the charity a Deed of Covenanl in place

The company is a charity wthin the meaning of Para 1 Schedule 6 Finar￿8 A¢t 2010. Accordingly the charity
is potentially exempl from laxalton in respect of income or capital gains within calepries covered by Chapter
3 of Part 11 of the Corporation Tax Act 2010 or Section 256 of the Taxation of Chargeable Gains Act 1992, 10
the extent that such income or gains are applied exduswely to charitable purposes. Chelsea Physic Garden
Company is a re9islered tharity and has no liability to tsxation on its incorne for the year. Tax recovered from
voluntary income received under gift aid is recognised when th8 related ineome is receivable and is allocated
to the income category lo whith the income relates.
No lax charges arose in the peMd.
The SubS￿lary company makes a qualfying donation of all taxable profrt lo The Chelsea Physic Garden. No
corporation tax liability on the subsidiary arises in the accounts.

Unrestricted funds are used in accordance wth the charilable objective5 at the discretion of the trustees. The
trustees use part of the unrestricted funds from time lo time for specffic projects and sel up designated funds
to reflect this.
Other furKls have been designated by the ITUStees for a p*ticular purpose. although these could be
redesignated in future if circumstances change. One of these funds is from the Cadogan Charity which has
been designated for the futu￿ capital development of the buildings. The balance on this fund al 31 December
2022 wa5 £365,402 (2021 - £200.000). Another rw desMJnaled fund was created for the legacy of £1¢YJ,000
re￿1Ve￿ from the estate of Jill Hood in December 2022. A proposal to expend part of this legacy is currently
being considered by the Board. It is anticipated that these designated funds will be either spent or committed
to projects Y￿h1n the next 24 ye￿s.
The Endowment Fund is an expendable Endowment and represents investsnents and cash whith continue lo
be used by the trustees in the best interests of the tharity. The endowment fund was established between
1983-87 from a fundraising appeal which aliracted donat￿n$ from a number of sources. The trustees have
determined that the fvnd is eXpenda￿e both capital and in¢ome being available to use at the trustees,
disuelion in support of the Charity's work.
