I have pleasurein providingmy reportfor thisyear'sAGM on the highlightsof activitiesundertakenby the Executive Committee
anditsSubcommitteessinceApril2020.MoredetailontheseactivitiesisprovidedintheindividualreportsoftheOfficers and
Chairs of the Subcommittees.
Membership
TheMembershipoftheBTShascontinuedtoincrease,with930membersasofDecember2020.Itisgoodtosee this continual
increaseinnumbers.TheExecutiveCommitteeconsideredmembershipasanimportantareaandalthoughtherehasbeen a
steadyincreaseit was felt thatmore couldbe doneto attractnew members andensurewe retaincurrentmembers, particularly
ourstudentmembers.InOctober2020acallwassentoutformemberstoapplyforthenewroleofMembershipFacilitator. In
January2021theExecutiveCommitteeappointedDrLisaGodfrey,whoisco-optedontotheExecutiveCommittee.Lisa is
currentlya ProjectToxicologistatAstraZenecawhereshedesignsandinterpretstoxicologyresearchprogramstoenable clinical
development.I would like to welcome Lisa to this new role and look forwardto workingwith her on this very important initiative.
As partof her roleLisawillalsobe lookingat the benefitsofferedto the membersandwhatmore the Societycan provide.A list

Membership Survey
AMembershipSurveywaslaunchedlastOctober2020tocapturetheviewsofourmembersonarangeoftopics including
member benefits,communication,the BTS website, format of the Congressand furtheropportunitiesfor training.The survey was
undertakenbyanexternalcompany,TheLeadershipFactor,andmythankstothemfortheirsupportandRachelAllenfor her
helpandadvicewiththissurvey.Theresultsofthissurveywillbeprovidedatthisyear'sAGM.Mythankstothoseofyou who
respondedto the survey. I would also like to acknowledgethe work of the Survey Team, led by ProfessorBrian Lake, and to thank
Dr Fiona Sewell for the work she has done in getting the results of the survey analysed.
Co-opted Positions on the Executive Committee
DrDavidWoolleyhasbeenappointedtotheChairoftheCommunicationsSubcommittee.DrWoolleysucceedsProfessor Paul
Baldrick.DrWoolleytakesupthispositionasonthe12thApril2021.DrWoolleywasrecommendedforthispositionby the
NominationsSubcommitteeandapprovedbytheExecutiveCommittee.Thisisaco-optedpositionwhichdoesnotneedto be
ratifiedatthisAGM.Thetermofofficeis3years,buttheChaircanbeproposedtoserveforasecondterm.Iwouldlike to
welcome Dr Woolley to the Executive Committee.
Dr NevineAmerhasbeenappointedtotheChairof theNetworkforEarlyStageToxicologists.Dr Amertakesupthisposition as
onthe12thApril2021.DrAmerwasrecommendedforthispositionbytheNominationsSubcommitteeandapprovedby the
ExecutiveCommittee.This is a co-optedpositionwhich does not need to be ratifiedat this AGM. The term of office is 3 years, but
the Chair can be proposed for a second term. I would like to welcome Dr Amer to the Executive Committee.
DrLisaGodfreyhasbeenappointedtothepositionofMembershipFacilitator.DrGodfreytookupthispositionasonthe 28th
January2021.Dr Godfreywas recommendedfor thispositionby the NominationsSubcommitteeandapprovedby the Executive
Committee.This is a co-optedpositionwhich does not need to be ratifiedat this AGM. The term of office is for three years in the
first instance renewable for a second three-year term. I would like to welcome Dr Godfrey to the Executive Committee.
Retirement Subscription
TheExecutiveCommitteehavealsoconsideredthesubscriptionpayablebyourretiredmembersandwhetherweareinline in
linewithotherSocieties.Apaperwillbepresentedatthisyear'sAGMtoconsiderthesubscriptionsappliedtothiscategory of
membership and whether they require to be adjusted.

BTS website update
TheExecutiveCommitteedecided,basedonfeedbackfrommembers,thattheBTSwebsiteneededanoverhaul.A tendering
processwasundertaken,andIampleasedtoreportthatInsightsDesignandPrintingLtdaretoundertakethisproject. The
contracthas been signedand work is aboutto commencethis month,March2021. My thanksto ProfessorPaulBaldrickand the
ScopingTeamforgettingthisprojectunderway.DrFionaSewellwillnowleadthenextstageofthiswork.Further information
will be provided through the NewsFeed and Social Media on website developments.
Engagement of our Early Career Scientists
The ExecutiveCommitteehas recognisedthat our early career scientistshave a particularrole to play,bothwithinthe BTS and in
thebroaderscientificcommunity.HavinglookedatcompositionofthemembershipoftheExecutiveCommitteeand its
Subcommitteesitwasfeltthatthatthevoicesofthoseatanearlystageintheircareerareunder-represented.The Executive
Committeediscussedwaysmorecouldbedonetoincreaseinvolvementandbetterserveourearlycareermembers.We have
now establisheda Networkfor EarlyStageToxicologists(NEST)as an opt-incommunity,makingbest use of socialmedia,as well
asfacetofacenetworkingopportunitiesatcongresses,tobuildacommunityandfeedideasintotheExecutiveCommittee to
support those at an early stage of their career. The Executive Committee look forward to working with NEST.
NEST will be tasked with coordinatingearly career networking,as well as careers outreachin universities,giving scientificinput to
helpshapetheBTSCongress,andprovidingearlycareerrepresentationinthevarioussubcommitteesoftheSocietyand in
particularScience,CommunicationsandEducation,CareerandTrainingDevelopment.Dr NevineAmer has been electedas Chair
of NESTandwillbe a co-optedmemberof theExecutiveCommittee.I wouldliketotakethisopportunityto welcomeNevine to
theExecutiveCommitteeandastheinauguralChairofNEST.MythanksareduetoDrDavidMasonforgettingthis initiative
started.
Equality, Diversity, and Inclusion (EDI)
AkeyareafortheBTSisensuringthatweareequitableandinclusive.OurEDIambassadors,DrsEmmaMarczyloand David
MasonarecurrentlyreviewingourEDIPolicyandconsideringhowwecanbetterengagewithallourmembersand recognising
key EDI events throughoutthe year. The ExecutiveCommitteewill also be undertakingEDI trainingwith an externalconsultant in
the next few months.
Risk Register
Wetooktheopportunitytoreview,andupdate,theSociety'sRiskRegisterandtoconsideranyeffectsBrexitorthe pandemic
mayhavehad/willhaveonthesustainabilityoftheSociety.I am pleasedtoreportthatasa Societythepandemicdidnot have
anyeffect on ourfinances,andwe are financiallysoundandsustainable.Brexitcurrentlyhas nothadanyeffectson the Society,
butwe areconsciousthattherecouldbefutureimplicationsfortheSocietywhichwillbemonitoredthroughourRisk Register.
We are keeping a watchful eye on this and will ensure we are able to meet the challenges Brexit may pose in the future.
Interaction with other Societies
One of the strategicobjectivesof the BTS is to promoteinteractionswith other scientificsocietiesand organisationsto meet both
ourmissionstatement"To providethe principalforumfor toxicologyin the UK, to supportandenrichthe carersof toxicologists,
and to promotethe importanceand advancementof toxicologyin the wider and lay communities"and vision to "drive excellence
intoxicology".OurworkwithotherLearnedSocietiesandProfessionalBodiesensureswehaveavoice,feedinto consultations
applicableto thedisciplineof Toxicologyandhaveseatat thetableto lobbytheGovernmentwhererequired.It is a pleasure to
work closely with the following organisations:
UKRegisterofToxicologists-theBTSisasponsoringorganisationandhaverecentlysignedaMemorandumof Understanding.
ColinDavies,ChairofthePaneloftheUKRegister,isanexofficiomemberoftheBTSExecutiveCommitteeandprovides an
annualreporttotheAnnualGeneralMeetingoftheBTS.TheUKRegisteralsoprovidesabursarytosupportthecost of
attendance at the BTS Annual Congress.

RoyalSocietyofChemistry(RSC)-TheToxicologyInterestGrouppromotetoxicologyandsupporttheBTSandawardsa poster
prizeattheBTSAnnualCongress.ThisyeartheToxicologyInterestGrouphaveorganisedasymposiumon"Experimental Data
and Uncertainty Modelling". Dr Camilla Alexander-White is the RSC representative on the Scientific Subcommittee.
The RoyalSocietyof Biology(RSB) - the BTS is a Member Organisation.This facilitatescommunicationand the BTS can contribute
toconsultationpapersandpolicydocumentswhicharecoordinatedbytheRSB.TheRSBalsohostsanannual pre-Christmas
ParliamentaryReceptionwhichwasvirtualthisyear,atwhichtheBTSisrepresented.Therehavebeenother Parliamentary
events provided by the RSB and the BTS are represented on these.
EUROTOX- as the UK NationalToxicologySociety,the BTS participatesin the AnnualBusinessmeetingof EUROTOXwhichis held
attheannualcongress.DespiterecentpoliticalchangesinEurope,linksbetweentheBTSandotherEuropean Toxicology
Societiesremainstrongandactive.Alongwithothermembersocieties,theBTScontributesfinanciallytoEUOTOXviaa levy,
whichisbasedonthenumberofBTSmembers.ThecurrentpresidentofEUROTOX,ProfessorHeatherWallace,isa former
president of the BTS.
InternationalUnionofToxicology(IUTOX)-representsmorethan25,000membersandtheBTSisoneofapproximately 60
differentmembersocieties.IUTOXorganisesascientificcongressat3yearlyintervals.Alongwithothermembersocieties, the
BTScontributesfinanciallytoIUTOXviaalevy,whichisbasedonthenumberofBTSmembers.TheBTSisrepresented at
meetingsoftheIUTOXGeneralAssembly,cannominatecandidatesforappointmenttocommitteesandcanvoteat business
meetings. Professor Heather Wallace is an advisor on IUTOX.
AmericanCollegeofToxicology(ACT)- TheBTSco-sponsorsthePracticalApplicationofToxicologyinDrugDevelopment Course
(PATDD)at theUniversityof Cambridge.The ProgrammeCommitteeincludesrepresentationfromtheBTS (DrsChrisPowell and
ErnieHarpur),ACTandtheUniversityofCambridge.TheBTSregularlyco-sponsorstheACTsignaturewebinarswhich are
available free to our members.
RoyalCollegeofPathologists(RCPath)-theBTShasarepresentative(ProfessorShirleyPrice)ontheRCPathSpecialty Advisory
Committee on Toxicology. The RCPath offers professional
examinationsinToxicologyandBTSMemberscanparticipateintheRCPathschemeforrecordingandaccreditation Continuing
Professional Development.
NationalCentrefor3Rs(NC3Rs)-TheBTScontinuestoworkcloselywithNC3Rstopromotethereduction,refinement, and
replacementof experimentalanimals.ThisyeartheNC3Rsareorganisinga symposiumatthisyear'sCongresson "Collaborating
to increase confidencein the applicationof non-animalapproaches".The BTS is gratefulto the NC3Rs for allowingthe use of their
officesin Londonfor meetingsof the BTS ExecutiveCommitteein the pastandhopefully,whenlockdownis lifted,we can locate
back there for our meetings.
InVitroToxicologySociety(IVTS)-awardsaposterprizeattheBTSAnnualCongresseachyearandfullysupportstheBTS. This
year the IVTS are supportingthe symposium"In SilicoToxicology- Data,Concepts,and Pitfalls"at this year'sCongress.Dr Martin
Clift is the IVTS representative on the Scientific Subcommittee.
The BritishSocietyof ToxicologicalPathologists(BSTP)-theBTS workscloselywiththeBSTPandhaveinthepastorganised joint
meetings. Dr Catherine Ross is the BSTP representative on the Scientific Subcommittee.
IntegratedToxicologyTrainingPartnership(ITTP)-TheITTPisaninitiativelaunchedbytheMRCwiththeaimofimproving and
boostingcapacityin the toxicologicalsciencesby sponsoringPhD studentships.The ITTP is managedthroughthe MRC Toxicology
Unit with an expert SteeringCommitteeand seeks to provideto relevantstakeholdersin academia,industryand government the
expertiseintoxicologyandrelateddisciplinesthatisrequiredtoensurethesafeandeffectivedevelopmentofdrugs and
exposuretochemicals.TheBTShasverycloselinkswiththeITTPprogrammeandProfessorMarionMacfarlaneisthe ITTP
representative on the Scientific Subcommittee
TheCommunicationSubcommittee(CSC),chairedbyProfessorPaulBaldrick,hasmaintainedthecommunicationchannels with
themembershipthroughinitiativessuchastheAmbassadorsScheme(ledbyDrDavidWoolley),theNewsFeed(Editorial Team:
DrsGuyHealing,DavidWoolley,RaniGhoshandDavidJones),andpromotingsocialmediachannels.DrsJuliannaBerrie and
Kemal Haquehave been workingbehindthe scenes to promotethe varioussocialmediaplatformsthe Societyuses so if you are

commissionedand will be publishedon the website in the next few weeks. Dr Megan Granthas producedthese videos on behalf
of the Executive Committee and our thanks to Megan for all her hard work.
TheExecutiveCommitteearelookingtoestablishcloserlinkswithotherProfessionalBodiesandLearnedSocietiessuchas the
Societyof Toxicology(SOT),the Societyof EnvironmentalToxicologyandChemistry(SETAC)andUK Environmental Mutagenicity
Society (UKEMS).
Strategy
In June 2020 the ExecutiveCommittee met to discuss the strategyof the Society.A revised strategywas launchedtakingon board
members' feedback. The Strategy for 2020-2024 has now been published (Strategy-of-the-BTS-2020-2024- 2020).
WeinvitedmemberstoobservetheExecutiveCommitteemeetingheldinJune2020whichwasverysuccessful,andwe are
hopingtodothesamethisJune.Itwaslovelytosee membersfromdifferentcountriesandbackgroundsjoinusforthe session
andthefeedbackwasexcellent.Ithasalsomeantthatmembersweremoreawareofhowbusinessisdoneandforsome has
giventhemopportunitiestoapplyformembershipofoursubcommitteesfacilitatedbytheopportunitiesofferedby virtual
platforms.
Subcommittees
Thefourmainsubcommitteeshavebeenveryactiveoverthelastyear,andithasbeena pleasuretobe abletoattendsome of
their virtualmeetings to meet with the members and hear what is going on first-hand.More detail of their activitiesis provided in
the individual reports but below are some highlights.
ThesustainabilityoftheSocietydependsonensuringthatthereisaclearsuccessionplaninplaceandthe Nomination
Subcommittee(NSC),chairedbytheImmediatePastPresident,DrChrisPowell,overseesthisactivityonbehalfofthe Executive
Committee and we are in a very secure positiongoing forward.There are always opportunitiesfor members to get involvedin the
ExecutiveCommittee and Subcommittees.If you are interestedin being a Chair or member please contactbts@execbs.com. Even
if no suitableopportunityis availablenow, it is very helpfulfor planningpurposes,to be aware of expressionsof interestfor roles
on committees from our members.
TheNSChavealsoconsideredexceptionalapplicationsforboththePatonandBarnesPrizesandthisyearisnoexception with
the 2021 Barnes Prize awarded to Dr Bette Meek.
TheSociety'sfinancesaresound,duetoprudentmanagementbyourtreasurer,DrElizabethMartin,andthe Finance
Subcommittee(FSC),chairedbyProfessorBrianLake.MoredetailoftheSocietyfinanceswillbeprovidedinthe Treasurer's
Report.OurIndependentExaminers,SMHBullockWoodburn,overseethe accountsandmy thanksto HeatherBudd,on behalf of
the Executive Committee and the BTS, for her detailed review of the accounts.
Onekeyareatohighlightisthatdonationsthisyearhavebeenveryencouraging,andtheSocietyreceivedatotalof£16.5k in
donations.Donatingcompaniesfor2020/21wereAstraZeneca,BIBRAToxicologyAdviceandConsulting,Charles River
Laboratories,GSK,Syngenta,UCB,andUnilever.MythankstoallthosecompanieswhohavesupportedtheBTSthrough their
generous donations this year.
TheScientificSubcommittee(SSC)whichisledbyDrsJasonGill(Chair)andLesleyReeve(Vice-Chair)hasbeenasproactive as
ever in organising our Congress and supporting the speciality groups.
Congress and events
The 2020 Congresscouldnot be deliveredas a face to face meeting in Aprilor Septemberdue to the pandemic,but the SSC were
ableto providetwo virtualseminarsin September2020.The seminarswere Regulatoryriskassessmentandriskmanagement of
chemicalspresentedby Dr StephanieBoppand Transgenerationaltoxicology:ghostsof exposurepresentedby Professor Michael
Skinner.The pandemiccertainlydid not prevent members from joiningin to hear aboutnew areas of toxicologyas both webinars
were well attended.

ThisyearSSChavebuiltontheuseofthevirtualtechnologiesavailableandwillbepresentingthe2021Congressover four
afternoons.HavingavirtualCongressthisyearwillallowmanymembersbothhereintheUKandacrosstherestofthe world,
whichcannotnormallyattendtheCongress,tomakeuseofthisvirtualfacility.Goingforwardweofcoursehopetohave our
annualface to face Congressbutperhapswithopportunitiesto live streamor capturelecturesit will alsoallowopportunities for
moreofourmemberstoabletoattendtheCongressvirtually.DareIsaywemayapproacha"hybrid"modelfor future
Congresses. My academic colleagues are probably groaning at the thought of a hybrid approach, but this may be the new norm!
TheEducation,CareersandTrainingDevelopmentSubcommittee(ECTD),chairedbyDrTinaMehta,wereabletoprovide the
ContinuingEducationProgramme(CEP)virtuallyin2020.Thetopic,whichwaswellreceived,was"Chemicalsin the
Environment".TheCEPsessionsareavailableasaudiorecordingstoourmembersontheBTSwebsite.ThisyeartheCEPis on a
very topical area "COVID-19 repurposing therapies and vaccines: The evolution of rapid toxicological assessment and regulation."
Althoughthe RoyalSocietyof BiologyCareersFairwas notavailableas a face to face eventthisyeartherewas a virtual meeting
in Novemberandmembersof the BTS EducationTrainingandCareerDevelopmentsubcommitteeprovidedsupportto members
forcareers.The ECTD are currentlyin the processof workingwithan externalorganisationto improvethe information provided
on career opportunities in Toxicology on the BTS website.
Journal
TheOfficialJournaloftheBTS,ToxicologyResearch,nowpublishedbyOxfordUniversityPress(OUP),hasincreasedits impact
factorto2.283.WearedelightedtoworkwithOUPanditsEditor-in-Chief,ProfessorHeatherWallace.OUP,whohavea very
strongbackgroundinbiomedicalpublishing.Wearehappytohavenegotiatedagreatdiscountforourmembersfor online
subscriptionstothejournal.ThecosttoBTSmembersisjust£60,whichislessthan4%oftheinstitutionalsubscription.If you

Thanks
As the BTS is a registeredcharity,committee members of the BTS are volunteersand withouttheir willinghelp, the Society would
simplynot be able to exist. I wouldlike to take this opportunityto thanka few peoplewho have workedextremelyhardon your
behalf,the membership.Their service to the Societytotalsmore than 64 years' service in a varietyof roles withinthe Society that
each has undertaken-such an accolade!
Firstly,thankstoourimmediatePastPresident,DrChrisPowell,forhissterlingleadershipoverthetwoyears2018-2020 as
President.Due to the pandemic,I was not able to thankChris properlylast year so Chris,a year later than planned,thankyou for
theworkyouundertookduringyourpresidency.ChrishasbeensupportingtheSocietythroughseveralrolesandintotal has
provided 14 years' service.
MythankstoDrDianeBenfordforhersterlingworkastheGeneralSecretary(2017-2021).A rolethatiskeytotheSociety and
onethatrequiresstaminaanddiplomacy.DianehasservedfouryearsastheGeneralSecretary,keepingtheSocietyand the
ExecutiveCommitteeontrack-notaneasytask!DianeyouhavebeenafantasticGeneralSecretaryandmythanksfor the
supportyouhavegivenmeinmyfirstyearasPresidentandthesupportgiventotheSociety.DianehasservedtheSociety in
several roles and totals 15 years' service.
My thanksare also due to our Treasurer,Dr Liz Martin,who has ensuredthat the Societyhas kept financiallysecure and leaves it
in a very sustainableposition.Liz has served as Treasurersince 2016. I have worked with Liz in my time as both General Secretary
andnow President.Liz youhave been a fantasticTreasurerandsupporterof the Societyandmy personalthanksfor the support
you have given me. Liz has a total of 17 years' service to the Society in several roles.
ProfessorPaulBaldrickleavestheroleasChairoftheCommunicationSubcommitteeandaco-optedmemberofthe Executive
Committee.Paul has served in this role since 2014 and duringhis time has overseen the AmbassadorsScheme and more recently
the review of the website.My thanksto you, Paul,for your supportof the Societyin your variousroles. A personalthankyou too
foryoursupportandparticularlyyourinstructioninwinetasting(verytopicalforatoxicologist)andteachingmethatthere is
more to life that Blue Nun! Paul has served the Society in a number of roles and totals 18 years' service.

Report by the General Secretary, Dr Diane Benford
The major activitiesof the Societyare documentedin the reportsfrom the Presidentand other Officers and Subcommittee chairs
so this report will highlight some of the developments I have been involved in over the past year, ably supported by EBS.
The ExecutiveCommitteeheldfouronlinecommitteemeetingsandthe President'sstrategymeetingin 2020/21.In addition, the

TheBTSmembershiphasagainincreasedoverthepastyear,asshowninthetablebelow.Atthetimeofwritingthereare 112
memberswhohaveyettorenewtheirmembershipfor2021,asisusualforthistimeofyearandthesearebeingfollowed up.
Includedin the 112 are 70 fullmembersandwe hopetheywillalleventuallyrenew.However,theredoesseem to be a trend to
decreasingnumbersoffullmembers.ReversingthistrendisoneofthechallengesfacingLisa,ournewmembership facilitator.
WeareagainespeciallypleasedtohavesomanystudentmembersandanotherchallengeforLisaistoencouragethem to
progress to other membership categories as their careers progress.

Financial review
1. Financial Performance for 2020
The BTS made a surplus in the region of £18,000 in the year.
Asinpreviousyears,theaccountswillundergoanIndependentExaminationbySMHBullockWoodburn(aformof external
scrutinyofaccountsspecificallydesignedforcharities)ratherthanafullannualstatutoryaudit,whichsavestheSociety some
expenditure compared to a full audit.
2. BTS monetary Contribution to Meetings and Events
The BTS Congressplannedfor 2020 was cancelled,and all delegateshave been refundedwith theirregistrationfees, and the BTS
received a full refund from the venue in Cardiff.
3. Donations to BTS
Despite the pandemic,the BTS were extremely gratefulto receive donationsfrom institutionsand companiesduring2020. A total
of £16,500was received,including£2,500towardscongress2021,whichwas fantastic,comparedto £5,000in 2019.I would like
to take this opportunity on behalf of the Society to thank all those institutions and companies who continue to support us.
4. Advertising Income
AdvertisingincomegeneratedfromemploymentopportunitiesadvertisedontheBTSwebsitewasslightlydowncompared with
2019, and totalled £7,875.

5. Fellowships and Training
The BTS offers a range of travel awards which unfortunatelywe weren't able to fully utilise during2020. However, we did support
one of our members to attend a virtualconferencein May. In December anotherBTS member was awardedThe Norman Aldridge
Travel Award which will be taken in 2021.
6. Membership Subscriptions
The ExecutiveCommitteereviewedthe membershipsfees anddecidedtherewill be no increasein fees in 2022.The exception is
a proposed increase in the fee for retired members which will be brought to the 2021 AGM for ratification.
7. Accountancy
This is my last AGM as BTS Treasurerafter 5 years in the role. I wouldlike to take this opportunityto thankthe Finance Executive
at EBS, ShonaHunt,and the BTS accountants,BullockWoodburn,especiallyHeatherBudd,for all their supportand help over the
years.I am pleasedto leave the BTS Financialreserves in a very healthystate, and wish the new Treasurerall the very best in the
years ahead.

Reserves Policy
Thetrusteesreviewreservesonanongoingbasisandareconfidentthatatcurrentlevelstheyaresufficientto honour
commitmentstostudentships,bursariesandmeetingsubsidies,whilstallowingforchangesinthebudgetedincomestreams, as
detailedbelow.During2010theSocietyinvestedsomeofitsreservesineither1or2yearTreasurybonds,whilst leaving
sufficientreservefundsinthelowerinterestbankdepositaccounttoconductallSocietybusiness.Thishasbeencontinued in
2020 as this still represents the most advantageous rates available to us as a Society.

OBJECTIVES AND ACTIVITIES
Objectives and significant activities
The Society is establishedfor the promotionand advancement,for the publicbenefit,of educationin the science of toxicology. In
decidingtheaimsandactivitiesofthesociety,thetrusteeshavepaiddueregardtotheguidanceissuedbythe Charity
Commissionon publicbenefit.Toxicologyis the science of disease inducedby chemicalspresent in the diet, medicines,and in the
environment.TheBritishToxicologySociety(BTS)isaleadinginternationaltoxicologysociety,basedonthehighest quality
science, and promotesthe advancement,communicationand understandingof the scientificdisciplinesnecessaryto foster public
health and environmental safety.
STRUCTURE, GOVERNANCE AND MANAGEMENT
Governing document
The Society is a companylimited by guaranteeand the liabilityof members is limited to an amountnot exceeding£1. It is exempt
underSection60 of theCompaniesAct2006fromtherequirementtousetheword'Limited'initstitle.TheSocietyis governed
bytheMemorandumandArticlesof Association.It is registeredwiththeCharitiesCommission,number286197,andno liability
to taxation arises.
TheExecutiveCommitteeareDirectorsforthepurposeofcompanylawandTrusteesforthepurposeofcharity law.
Directors/Trusteesare appointedby the Society'smembers at the AnnualGeneral Meeting.When a Trustee retires, the Executive
CommitteenominatesnewTrustees.Additionalnominationsmaybemadebythemembership,providedtheyaresignedby six
members of the Society.
Informalinductionproceduresareinplacefornew Trustees,conductedbyanexistingmemberof theExecutiveCommittee and
theyarealsoprovidedwithrelevantdocumentationtoformallyadviseandinformthemoftheSociety'sconstitution and
objectives and also their duties and responsibilities as a trustee.
OnethirdoftheExecutiveCommitteeordinarymembersretireeachyearinrotationbutaretheneligibleforre-election. The
societyis organisedso thatthe Trustees,in the form of the ExecutiveCommittee,meet regularly,usuallyon a quarterlybasis, to
manageitsaffairs.Therearealsosub-committeeswhichareresponsibleforadvisingandresearchingthevariousactivities and
development of the Society, who report to the Executive Committee.
Statutesfortheworkingsofthevarioussub-committeesarecontinuallybeingrevisedandupdatedtoensurethattheterms of
referenceare clearlydefinedandthe ways of workingare consistent.This alsoenablestransparencyof committeeelections and
durationofmembership,whileallowingthecommitteestoworktoagreedaims,backedupbycomprehensivesetof Standard
Operating Procedures for the Society.
ThetrusteeshaveassessedthemajorriskstowhichtheSocietyisexposed,inparticularthoserelatedtotheoperations and
finances of the Society, and are satisfied that systems are in place to mitigate exposure to major risks.
AlloftheofficersandmemberswhoserveontheSociety'scommitteesareunpaid.Theyareentitledtobereimbursedfor any
out of pocket expenses incurred in attending meetings.
No relatedparties,relatedpartytransactions,beneficialrelationshipsor conflictsof interestrequiringdisclosureby the Charities'
or Companies' Acts existed during the year.
AttendancebyExecutiveCommitteemembershasbeenreasonablethroughouttheyear.Theco-optedmemberscontinue to
provide liaison with the relevant Sub-Committees and Speciality Sections.
The day to day administration of the Society is undertaken by an outside agency on a fee basis.

Basis of preparing the financial statements

There are no material uncertainties about the charity's ability to continue.
