Report of the Trustees

The Trustees present their report with the financial statements of the charity for the year ended 31st December 2024. The Trustees confirm that the annual report and financial statements comply with the current statutory requirements, the requirements of the trust’s governing document and in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (SORP FRS 102).

Governance

The Trust is a Charitable Incorporated Organisation (Foundation model), registered charity number 1208760.

The Charity’s constitution is the primary governing document of the Charity.

The Arts Society Medway was registered with the Charity Commission on 20[th] June 2024.

Purpose

The purpose of the trust is to ensure the responsible management of a society that for public benefit promote and advance aesthetic education, the cultivation, appreciation and study of the decorative and fine arts, aiding the preservation of the national artistic heritage and supporting arts education for young people.

Background

The Arts Society Medway was begun in the early 2000s as The Medway NADFAS. During the past 25 years it has provided lectures and study days that connects people with the arts and with each other. In addition, it gives grants and support to young people to encourage their interest in the arts.

The Trust is managed by a Board of Trustees, all of whom are (but do not have to be) members of The Arts Society Medway.

Charitable objectives

The object of the charity as set out in its governing document is:

To further such charitable purposes (charitable under English law) as the Trustees see fit from time to time.

Activities

The trust exists to manage the society and occasionally provide modest grants for projects which fit within the areas of work listed in the guidelines.

Public benefit

The Charity’s Trustees have complied with their duties under the Charities Act 2011 to have due regard to public benefit guidance published by the Charity Commission. The Arts Society Medway Trust’s particular public benefit activities are included under Achievements and Performance, illustrating the commitment of the Charity to supporting charitable causes locally.

Policy on grant making

It is the societies intention to provide grants to support art causes in our local area.

We have provided since June 2024 five monthly lectures, one evening event and two visits to national art institutions.

Principal funding source

Our funding source is members subscriptions.

Total funds

At the end of this period our total funds were £4658.34.

All funds are unrestricted except Young Arts.

Reserves policy

The Trust employs no staff and is operated entirely by the Trustees, who are volunteers. Our running costs are composed mainly of lectures fees, travel expenses, room hire and subscriptions to The Arts Society. We intend to meet the Charity Commission guideline of reserves of 3 – 6 months on running costs.

Risks

The Trustees have a duty to identify and review the risks to which the Charity is exposed and to ensure appropriate controls are in place to provide reasonable assurance against fraud and error. Monthly Trustee meetings are held to review progress towards achieving the Charity’s objectives and to promote strategic direction within the Trust.

Plans for the future

During our first six months we have not awarded any grants, it is our intention to improve on this in the coming years. We intend to continue to provide lectures and outings to our members that provide them with access to the benefit of aesthetic education and the appreciation and study of the decorative and fine arts.

Structure, governance and management

Board of Trustees

The Arts Society Medway Trust is a Charitable Incorporated Organisation (Foundation model), registered charity number 1208760, set up in 2024. The founding Board of Trustees was Vivien Chapman (Chair), Barbara Fisher (Treasurer), Liz Duckworth, Margaret Sainsbury and Annette Cooper, skilled and committed volunteers with strong backgrounds in finance, fundraising and the VCSE (Voluntary Community and Social Enterprise) sector. Liz Duckworth sadly died in February 2025.

The Board is responsible for the strategic direction of the organisation and meets regularly to ensure that the Trust is on track to meet its objectives. The Board convened the Annual General Meeting in November 2024.

The Trustees have complied with the duties described under the Charities Act 2011, and with proper regard to the guidance published by the Charity Commission.

Each year we will submit the annual report of the Trustees and accounts to the Charity Commission for the financial year ending 31[st] December.
