ThetrusteeshaveadoptedtheprovisionsofAccountingandReportingbyCharities:Statementof Recommended
PracticeapplicabletocharitiespreparingtheiraccountsinaccordancewiththeFinancialReporting Standard
applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019).

OBJECTIVES AND ACTIVITIES

Objectives and aims

The CharitableIncorporatedOrganisation(CIO) was formedon 21st September2022 with the objectiveof taking over
the net assets and activities of the unincorporated charity The Jane Austen Society (registered charity 1040613).
The principal objective of the Society is as follows:
To promotethe advancementof educationfor the publicbenefitof the life andworksof Jane Austenandthe Austen
family, in particular by publications or any other means that the charity trustees may deem appropriate.
TheobjectiveisprimarilyachievedbytheproductionofpublicationsrelatingtothelifeandworksofJane Austen,
through education and by contributions to academic debate regarding Jane Austen, her works and family.
TheSociety,whereappropriate,mayseektopreserveartefactsrelatingtoJaneAusten,eitherbypurchaseor by
contributionstowardsexpenses.InparticularitmaycontributetoprojectsatJaneAusten'sHouseMuseum in
Chawton.
TheSociety'sobjectivesfortheyearweretobuildontheprogressmadeinpreviousyearsandtoraisetheprofile of
the Society by the production of new articles and publications.

Public Benefit

When planningactivitiesand consideringthe makingof grants,the trusteeshave consideredthe Charity Commission's
guidanceon publicbenefitandin particular,the specificguidanceon charitiesfor the advancementof education and
the advancement of the arts, culture, heritage or science.
ThetrusteesbelievethattheSocietyfulfilstheseobjectivesthroughitseducationalactivities,byitscontribution to
historicalresearchregardingJaneAustenandthepreservationofartefactsrelatingtoJaneAustenandthe Austen
family.

Significant activities

On1stJanuary2023,thenetassetsandactivitiesoftheunincorporatedcharityTheJaneAustenSociety (registered
charity 1040613) were transferred to the CIO.
The Society did not produce or reprint any publications in the period.
The 2024 annual conference was held in Sheffield in September 2024.
In anticipationof the 250th anniversaryof Jane Austen'sbirthin 2025, the trusteeslauncheda fundraisinginitiative in
2018tosupporttheeducationalroleoftheSociety.Thisisknownasthe"JaneAusten250Fund"andalthough an
unrestrictedfund,apurposewhichthetrusteesspecificallywishtosupportistheeducationalactivityofthe Jane
Austen's House Museum. No payments were made from the fund in 2024.
No applications were received for grants from the Education Fund during the period.
Duringtheyearthegeneralfundincludednewexpenditureforthebuildandmaintenanceofanew online
membershipplatformandalsomonthlysubscriptionstoanaccountspackage.Bothinitiativesweretofuture proof
and enhance the administration of the Society.

FINANCIAL REVIEW

ThefinancialresultsfortheperiodaresetoutintheStatementofFinancialActivitiesonpage5ofthese financial
statements.
Therewasadeficitofincomeoverexpenditureonthegeneralfundof£30,970intheperiod.This,however, was
entirelydueto a reductionon the valueof the portraitof EdwardAustenKnightof £32,000as explainedin note9 to
thefinancialstatement.Excludingthisrevaluation,therewasa deficitonthecharitableactivitiesof thegeneral fund
of £4,600. This deficit was covered, however, by an increase in the value of the Society's investments of £5,630.
Furtherinformationregardingthecharity'sreservesisgivenintheaccountingpoliciesnoteonpages7and8of the
financial statements.

FUTURE PLANS

Thetrustees'aimsinthefuturearetocontinuetopromotetheobjectsoftheSociety,bytheproduction of
publications, the organisation of conferences and any other activities which they consider appropriate.

STRUCTURE, GOVERNANCE AND MANAGEMENT Governing document

The charity is controlled by its constitution adopted on 21st September 2022.

Recruitment and appointment of new trustees

The members or the trustees may at any time decide to appointa new trustee either in place of an outgoingtrustee  or
as an additional trustee, provided that the total number of trustees does not exceed 15.
New Trustees will receive a copy of the constitutionand any amendmentsmade to it and a copy of the Society's latest
annualreportand statementof accounts.New trusteesare also referredto the CharityCommission'sguidanceon the
duties and responsibilities of trustees.

Organisational structure

The number of Trustees shall be at least 3 and shall not exceed 15.
The first trustees of the charity were as set out in the constitution adopted on 21st September 2022.
At every AnnualGeneralMeetingof the Society,one thirdof the elected charitytrusteesshall retire from office.If the
number of elected charitytrustees is not three or a multipleof three, then the number nearest to one third shall retire
fromoffice.Thecharitytrusteestoretirebyrotationshallbethosewhohavebeenlongestinofficesincetheir last
electionorre-election.AnypersonwhoretiresasacharitytrusteebyrotationorbygivingnoticetotheSociety is
eligiblefor re-election.A charitytrusteewho has served for three consecutiveterms may not be re-electedfo a  fourth
consecutive term but may be re-elected after an interval of at least one year.
Thefollowingtrusteesretiredatthe2024AnnualGeneralMeetinganddidnotseekre-election:Matthew Huntley,
Clare Graham and Richard Jenkyns.
AndreaClarkehavingbeenappointedsincethelastAnnualGeneralMeetingretiredatthe2024Annual General
Meetingand was re-elected.MichaelKenningand FionaAinsworthalso retiredat the 2024 AnnualGeneralMeeting in
accordance with the constitution and were re-elected.

I reportto the charitytrusteeson my examinationof the accountsof The Jane AustenSociety(the Trust)for the year
ended 31st December 2024.

Responsibilities and basis of report

AsthecharitytrusteesoftheTrustyouareresponsibleforthepreparationoftheaccountsinaccordancewith the
requirements of the Charities Act 2011 ('the Act').
I reportin respectof my examinationof the Trust'saccountscarriedoutunderSection145 of the Act andin carrying
out my examinationI have followedall applicableDirectionsgiven by the CharityCommissionunderSection 145(5)(b)
of the Act.

Independent examiner's statement

I havecompletedmyexamination.I confirmthatnomaterialmattershavecometomyattentioninconnection with
the examination giving me cause to believe that in any material respect:

1. accounting records were not kept in respect of the Trust as required by Section 130 of the Act; or

2. the accounts do not accord with those records; or

3. the accounts do not comply with the applicable requirements concerning the form and content of accounts set out in the Charities (Accounts and Reports) Regulations 2008 other than any requirement that the accounts give a true and fair view which is not a matter considered as part of an independent examination.

Ihavenoconcernsandhavecomeacrossnoothermattersinconnectionwiththeexaminationtowhich attention
should be drawn in this report in order to enable a proper understanding of the accounts to be reached.

1. ACCOUNTING POLICIES

Basis of preparing the financial statements

Thefinancialstatementsofthecharity,whichisapublicbenefitentityunderFRS102,havebeenprepared in
accordancewiththeCharitiesSORP(FRS102)'AccountingandReportingbyCharities:Statement of
RecommendedPracticeapplicabletocharitiespreparingtheiraccountsinaccordancewiththe Financial
ReportingStandardapplicableintheUKandRepublicofIreland(FRS102)(effective1stJanuary 2019)',
FinancialReportingStandard102'TheFinancialReportingStandardapplicableintheUKandRepublic of
Ireland'andtheCharitiesAct2011.Thefinancialstatementshavebeenpreparedunderthehistorical cost
convention, with the exception of heritage assets and investments which are included at market value.

Income

All incomeis recognisedin the Statementof FinancialActivitiesoncethe charityhasentitlementto the funds,
it is probable that the income will be received and the amount can be measured reliably.
Thenetassetsoftheunincorporatedcharity,TheJaneAustenSociety,weretransferredtothe Charitable
IncorporatedOrganisationattheirvalueasshownintheaccountsoftheunincorporatedcharityforthe year
ended 31st December 2022.

Expenditure

Liabilitiesarerecognisedasexpenditureassoonasthereisalegalorconstructiveobligationcommitting the
charitytothatexpenditure,itisprobablethatatransferofeconomicbenefitswillberequiredin settlement
andtheamountof theobligationcanbe measuredreliably.Expenditureis accountedforonanaccruals basis
andhas been classifiedunderheadingsthataggregateall costrelatedto the category.Wherecostscannot be
directlyattributedtoparticularheadingstheyhavebeenallocatedtoactivitiesonabasisconsistentwith the
use of resources.
Grants offered subject to conditionswhich have not been met at the year end date are noted as a  commitment
but not accrued as expenditure.

Taxation

The charity is exempt from tax on its charitable activities.

Fund accounting

Unrestricted funds can be used in accordance with the charitable objectives at the discretion of the trustees.
DesignatedFundsrepresentunrestrictedfundsearmarkedforparticularpurposesbythetrusteesof the
Society in the exercise of their discretionary powers.
Restricted Funds are funds which are subject to a restriction as to their use.
Furtherexplanationofthenatureandpurposeofeachfundisincludedinthenotestothe financial
statements.

Investments

Investmentsarestatedatmid-marketvalueatthebalancesheetdate.Allmovementsinvaluearising from
investment changes are shown in the Statement of Financial Activities.
Unrealisedgainsand/orlossesarethedifferenceinmarketvalueofinvestmentsheldatthebeginningof the
year, or their cost if purchased in the year, and at the end of the year.

Heritage Assets

UndertheprovisionsoftheCharitiesSORPheritageassetsareincludedonthebalancesheetattheir latest
valuation.

Reserves

Thebalanceofthegeneralfund(excludingdesignatedfundsandthevalueofheritageassets) represents
approximately20monthsexpenditure(basedonexpenditureintheyearended31stDecember2024) which
the trustees consider to be appropriate in the circumstances.
£120,000of the legaciesreceived,by the unincorporatedcharity,in the yearsended31st December2003 and
31stDecember2004wastransferredtoadesignatedfundtocoverarangeoftheSociety's educational
activities.ThetrusteesconsiderthattheSocietywebsiteformspartofitseducationalactivitiesand therefore
the cost of upgrading this was charged to the Education Fund.

Branches and Groups

BranchesoftheSocietyasdefinedincharitylawareanintegralpartoftheSocietyandassuchenjoy various
privilegesandresponsibilitiesinregardtotheSociety.InparticularabranchcancallupontheSociety for
financialsupportandiscoveredbythepublicliabilityinsuranceoftheSociety.Thefinancialresultsof the
branchesareincorporatedintotheSociety'sstatementoffinancialactivitiesandtheassetsandliabilities of
branches are included in the Society's balance sheet.
AgroupisaninformalgatheringofmembersoftheSociety(orothers)fromaparticularareaandhas no
connectionin law with The Jane AustenSociety,and the financialactivitiesof groupsare not includedin these
accounts.
Details of activities of the branches are shown in note 15 to the accounts.

Website Costs

Websitecostsarerecognisedasanexpenseintheyearofexpenditureas,intheopinionofthetrustees, the
primaryfunctionofthewebsiteistopromotetheactivitiesofthecharityandthereforedoesnotmeet the
conditions required to be treated as an intangible fixed asset.

HouseLibraryundera longtermloanagreement.Thiswasoriginallyincludedinthefinancialstatementsas a
heritageassetattheprofessionalvaluationpreparedbyWoolleyandWallisinMay2015.Theportrait was
revalued for insurance purposes on 15th January 2025 by Andrew Smith & Son at £28,000.
