The CharitableIncorporatedOrganisation(CIO) was formedon 21st September2022 with the objectiveof taking over
the net assets and activities of the unincorporated charity The Jane Austen Society (registered charity 1040613).

The principal objective of the Society is as follows:

To promotethe advancementof educationfor the publicbenefitof the life andworksof Jane Austenandthe Austen
family, in particular by publications or any other means that the charity trustees may deem appropriate.

TheobjectiveisprimarilyachievedbytheproductionofpublicationsrelatingtothelifeandworksofJane Austen,
through education and by contributions to academic debate regarding Jane Austen, her works and family.
```

TheSociety,whereappropriate,mayseektopreserveartefactsrelatingtoJaneAusten,eitherbypurchaseor by
contributionstowardsexpenses.InparticularitmaycontributetoprojectsatJaneAusten'sHouseMuseum in
Chawton.
```

TheSociety'sobjectivesfortheyearweretobuildontheprogressmadeinpreviousyearsandtoraisetheprofile of
the Society by the production of new articles and publications.
```

## **`Public Benefit`**

When planningactivitiesand consideringthe makingof grants,the trusteeshave consideredthe Charity Commission's
guidanceon publicbenefitandin particular,the specificguidanceon charitiesfor the advancementof education and
the advancement of the arts, culture, heritage or science.

ThetrusteesbelievethattheSocietyfulfilstheseobjectivesthroughitseducationalactivities,byitscontribution to
historicalresearchregardingJaneAustenandthepreservationofartefactsrelatingtoJaneAustenandthe Austen
family.

## **`Significant activities`**

On1stJanuary2023,thenetassetsandactivitiesoftheunincorporatedcharityTheJaneAustenSociety (registered
charity 1040613) were transferred to the CIO.
```

The Society did not produce or reprint any publications in the period.
```

```
The 2024 annual conference was held in Sheffield in September 2024.
```

```
In anticipationof the 250th anniversaryof Jane Austen'sbirthin 2025, the trusteeslauncheda fundraisinginitiative in
2018tosupporttheeducationalroleoftheSociety.Thisisknownasthe"JaneAusten250Fund"andalthough an
unrestrictedfund,apurposewhichthetrusteesspecificallywishtosupportistheeducationalactivityofthe Jane
Austen's House Museum. No payments were made from the fund in 2024.
```

No applications were received for grants from the Education Fund during the period.
```

```
Duringtheyearthegeneralfundincludednewexpenditureforthebuildandmaintenanceofanew online
membershipplatformandalsomonthlysubscriptionstoanaccountspackage.Bothinitiativesweretofuture proof
and enhance the administration of the Society.

ThefinancialresultsfortheperiodaresetoutintheStatementofFinancialActivitiesonpage5ofthese financial
statements.

Therewasadeficitofincomeoverexpenditureonthegeneralfundof£30,970intheperiod.This,however, was
entirelydueto a reductionon the valueof the portraitof EdwardAustenKnightof £32,000as explainedin note9 to
thefinancialstatement.Excludingthisrevaluation,therewasa deficitonthecharitableactivitiesof thegeneral fund
of £4,600. This deficit was covered, however, by an increase in the value of the Society's investments of £5,630.
```

## **`FUTURE PLANS`**

New Trustees will receive a copy of the constitutionand any amendmentsmade to it and a copy of the Society's latest
annualreportand statementof accounts.New trusteesare also referredto the CharityCommission'sguidanceon the
duties and responsibilities of trustees.

## **`Organisational structure`**

The number of Trustees shall be at least 3 and shall not exceed 15.

The first trustees of the charity were as set out in the constitution adopted on 21st September 2022.

At every AnnualGeneralMeetingof the Society,one thirdof the elected charitytrusteesshall retire from office.If the
number of elected charitytrustees is not three or a multipleof three, then the number nearest to one third shall retire
fromoffice.Thecharitytrusteestoretirebyrotationshallbethosewhohavebeenlongestinofficesincetheir last
electionorre-election.AnypersonwhoretiresasacharitytrusteebyrotationorbygivingnoticetotheSociety is
eligiblefor re-election.A charitytrusteewho has served for three consecutiveterms may not be re-electedfo a  fourth
consecutive term but may be re-elected after an interval of at least one year.
