Derby Computer Museum Charitable Incorpornted Organisatlon {the CIO), number I1)54 was registered with the Charlty Commission to advance the educatK)n of the history and evolutioTr of the computers and Cons0 systems from the 19EOs onwards. The CIO operates in accordance with its constitutron which has been approved arKI adopted by the CIO Trustees. Policy decisions are taken by the Board of Tnjstees while the day to day running of the museum is dele8ated to the seniorvolunteers. The CIO continues to be managed by three trustees, as at 30 Ayil 2024, who are identi$ and appointed accordin8 to their skills and abilities in latiOn to the effertwe direction of the museum's actNities. There must be at 3$t three charty trustees. If the number falls below this minimum. the remaining trustee or trustees may act only to call a meetin8 of the charity trustee5. or appoint a new charity trustee. The maximum number of tharity trustees is twelve the drity trustees may not appoint ary charity trustee rf as a result the number of charity truskes would exceed the maximum. Apart from the first charity trustees. every trustee must be appointed for a term of three years by resolution passed at a property convened meeting of the tharity tntee5. In selerting individuals for appointrnent as charity tntee5. the charity trustees must have regard to the skills, knowled8e and experien needed for the effective administratN)n of the CIO. The charity trustees will make available to each new chaiity trustee. on or before their first apwintment; a copyof the currentversion of this constitution and a copy of the CIIYS latestTrustee Annual Report and statement of accounts.
