End of Year Trustee’s Report

for Clwb Hwyl Henryd for the period 01/04/2022 to 31/03/2023

Trustees report:

At the previous AGM on 10 Nov 2021 it was agreed to convert Clwb Hwyl Henryd to being a CIO (Charitable Incorporated Organisation). The conversion was successfully registered with the Charity Commission on 4 May 2022 with Patrick (Paddy) Walsh, Gwil Prydderch and Shereen Roberts as the first three Trustees. Jenny Bellis was added as a Trustee in June 2022. The constitution requires one third of the Trustees to retire each year, but they are available for immediate re-election if they so wish. Our registration said that Paddy Walsh would be first to retire.

The CIO was registered as a charity with HMRC on 4 Jan 2023.

The first financial period ended on 31 March 2023 and the financial report must be submitted to the Charity Commission by 31 January 2024.

There are currently 36 families who are members of Clwb Hwyl as they send their children there. Three of the Trustees don’t have children attending Clwb but are members because they are ‘interested in furthering its purposes’ (clause 9 (1) (a) of the constitution). This gives a membership of 39. Quorum for an AGM is the greater of 5% or 3 members, so in this case it is 3 members.

Staff who don’t have children using Clwb are Associate members and not entitled to vote.

We can have up to 12 Trustees and must have at least 3. The work involved is not onerous so it is hoped there will be some more volunteers.

I report to the trustees on my examination of the accounts of the above charity (“the Trust”) for the year ended 31/03/2023.

I report in respect of my examination of the Trust’s accounts carried out under section 145 of the 2011 Act and in carrying out my examination, I have followed the applicable Directions given by the Charity Commission under section 145(5)(b) of the Act.

I have completed my examination. I confirm that no material matters have come to my attention in connection with the examination which gives me cause to believe that in, any material respect:
