OBJECTS

To advance the education of the public in the subject of anti-racism in particular, but not exclusively, through the use of (i) trainings, (ii) workshops, (iii) online courses, (iv) original content, (v) curated content, (vi) events, and (vii) the continued development of capabilities, competencies, skills, and understanding of how to be anti-racist, how to be an ally to communities that have been marginalised or excluded, how to promote racial tolerance, and how to eliminate discrimination on the grounds of race, ethnicity, and other protected characteristics. To promote social inclusion, diversity, equity and access ("IDEA") to opportunity for the public benefit in particular, but not exclusively, through (i) the elimination of discrimination on the grounds of race, ethnicity, nationality, gender, sexuality, marital status, religion/faith/spirituality, social and economic disadvantage/ socioeconomic status/level of income, disability status, (ii) advancing education and raising awareness in IDEA, (iii) promoting activities to foster understanding between people from diverse backgrounds, and (iv) cultivating a sentiment in favour of IDEA; and To promote racial harmony for the public benefit in particular, but not exclusively, by (i) advancing education and raising awareness about different racial and ethnic groups to promote good relations between persons of different racial and ethnic groups, (ii) working towards the elimination of discrimination on the grounds of race and ethnicity, and (iii) promoting knowledge and mutual understanding between different racial and ethnic groups.

The Anti-Racist Social club ('The club,) is a registered charity that works to create spaces and resources for education and open dialogue about becoming anti-racist allies and creating psychological safety in business and education. It was first registered with the charity Commission on 2 July 2021 (registration no. 1195046 and registered address of Unit 80698, PO Box 6945, London, WIA 6US, United Kingdom). The club has operated under the direction of three (3) trustees since its inception- Andrew De Jong, chair Oluwatobi Arawole, Head of Special Projects & Social Engagement Brad Deal, Treasurer This Trustees. The charity is not registered with Companies House and does not have any corporate trustees or d irectors in that respect. Please review our 2021-2022 Trustees, Annual Report for inforniation about th• formation of The Club and the initial recruitment of trustees. As a part of that induction process, trustees were made aware ol the charity Commission's guidance on ublic benef it, specif ically Public benef it.. the public benef it requirement PBI), Public benefit: running a charity (PB2), and Public benelit.. reporting (PB3). No additional trustees have been appointed to oversee The Club since its ineeption. should new trustees be required in the future, The club's governing document outlines the process for the recrvitment and appointment of new trustees. Clause 9 of the governing document outlines el igibility requirements for new trustees, includin9 the need to be a natural person over the a eof16and that said trustge must gxpressly acknowledge their accgptonce ol the olficg of charity trustee clause l O outlines the process for recruiting and appointi ng new trustees, most notably limiti ng the terms of new trustees to six (6) months at a time and requiring existin trustees to have regard to the skills, knowledge and ex erience needed Por the effective administrotion of the CIO,, when selecting in Sividuals for appointment as new charity trustees. No restrictions exist as to who can nominate trustees to join, but approval lies with the existing stakeholders OF the charity. New trustees will be required to complete an induction and training process, similar to that complated by existing trustees. Hosted 'safe space, listening sessions with employees from marginalised communities to understand and communicate their lived experiences to their organisations to improve inclusion, belonging, and retention; Continued to update our website content (incl. FAQ) and invested in SEO and digital marketing to improve reach. Donated over one hundred and fifty (100) books to the public; Developed inclusion, diversity, equity, and access (IDEA) strategies for businesses to support their efforts in becoming better allies to marginalised communities. Supported bvsinesses responding to incidents of discrimination throvgh mediation and leadership development coaching,. Began developing an online anti-discirmination training course- and Participated in speaking events and panels related to anti-racism, Black history, and intersectionality (incl. giving a keynote presentation at a market research equality svmmit). Our activities hav• impaded hundreds of business professionals across the United Kingdom by providing education and helping create better environments for social inclusion and racial harmony. Our resource-filled website (which houses publicly-available original and curated content) has had 21,883 unique visltor5 between July 2023 and June 2024. This reprp5ent5 a more than 13x increase in website traff ic compared to the previous year. Outside of these public-facing activities, we continued to build the infrastructure of the organisation by finalising policie5 and procedures, updating our branding, and developing online strategies to grow our reach. www.theantira<istsocial.club

trustee5' annual report • page 6 Financial Review The charity earned £23K in accrued revenue in the 2023/24 financial year. Our main Source ol income was secured through the development of an online anti-discirination training course for businesses, carried out in line with our charitable purposes and following Annex c.. charging lor services guidance within the EUw￿￿n9￿ity_(FEZj policy. In its third year of operation, The club focused on developing its internal infrastructure and building ovt its online presence. This meant less public- facing project$ (e.g. workshops, consulting etc.) that has contributed the largest portion of rovenuo for the organisation in prèvious years. Without any large consulting projects this year, The club relied on its retained earnings to support its business development efforts to grow the reach of the charity. The largest individual category of spending rovghl £13K- was spent on procvrin the services of consultants who supporteJthe workload and operations o arity. The other notable expenses from the year came from advertising and promotional costs, which were not invoiced until the lollowing financial year and will be reflected in our 2024/25 accovnts. After all expenditvres, we ended our third accounting year with as retainod earnings. Given our non-profit status as a charitabl Incorporated Organisation (CIO), this money stayed in our bank account and was not paid out as dividends or salary to any Trustees, r)or was it invested. As we have no restrictions on the use of our funds, the retained earnings of the organisation serve as our financial reserves in order to cover any existin9 or future operating Costs in line with our charitable purposes. ust over £84K At the time of compiling this report and our accounts, there are no uncertainties about the charity's ability to continue operating and there are no other principal risks facing the charity. trustees, annual report • page 7 The Year Ahead We spent our third year as a charitable Incorporated Organisation (CIO) continuing to raise awareness of our organisation as well as establish the infrastructure of our internal operations. We also invested heavily in new business development and growing our online presence to improve the reach of our publicly-available resources. We're excited for the year ahead in which we aim to: Continue developing bespoke anti-discrimination trainings for businesses- Create new original content to better engage with and inform the public and businesses we work with. Develop thought leadership and improve our marketing and media engagement,. and Continue supporting cultural education for volunteers, future employees, and other key stakeholders of the charity involved in its operations. 1. ACCOUNTING POLICIES

Basis of Preparation & Assessment of Going Concern

Basis of Preparation

The financial statements have been prepared under the historical cost convention with items recognised at cost or transaction value unless otherwise stated in the relevant note(s) to these accounts. The financial statements have been prepared in accordance with the Statement of Recommended Practice: Accounting and Reporting by Charities (SORP 2015) (Second Edition, effective 1st January 2019), the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS102) and the Charities Act 2011.

The Charity meets the definition of a public benefit entity under FRS102. Assets and liabilities are initially recognised at historical cost unless otherwise stated in the relevant accounting policy notes.

Assessment of Going Concern

Preparation of the accounts is on a going concern basis. The trustees consider that there are no material uncertainties about the Charity’s ability to continue as a going concern.

Incoming Resources

Recognition of Incoming Resources

These are included in the Statement of Financial Activities (SOFA) when:

▪ the charity becomes entitled to the resources;

▪ the trustees are virtually certain they will receive the resources; and

▪ the monetary value can be measured with sufficient reliability

Incoming Resources with Related Expenditure

Where incoming resources have related expenditure (as with fundraising or contract income) the incoming resource and related expenditure are reported gross in the SOFA.

Grants and Donations

Grants and Donations are only included in the SOFA when the charity has unconditional entitlement to the resources.

Tax Reclaims on Donations and Gifts

Incoming resources from tax reclaims are included in the SOFA at the same time as the gift to which they relate.

Contractual Income and Performance Related Grants

This is only included in the SOFA once the related goods or services have been delivered.

Gifts in Kind

Gifts in kind are accounted for at a reasonable estimate of their value to the charity or the amount actually realised. Gifts in kind for sale or distribution are included in the accounts as gifts only when sold or distributed by the charity. Gifts in kind for use by the charity are included in the SOFA as incoming resources when receivable.

Donated Services and Facilities

These are only included in incoming resources (with an equivalent amount in resources expended) where the benefit to the charity is reasonably quantifiable, measurable and material. The value placed on these resources is the estimated value to the charity of the service or facility received.

Volunteer Help

The value of any voluntary help received is not included in the accounts.

Investment Income

This is included in the accounts when receivable.

Investment Gains and Losses

This included any gain or loss on the sale of investments and any gain or loss resulting from revaluing investments to market value at the end of the year.

Expenditure and Liabilities

Liability Recognition

Liabilities are recognised as soon as there is a legal or constructive obligation committing the charity to pay out resources.

Governance Costs

Include costs of the preparation and examination of statutory accounts, the costs of the trustees meetings and cost of any legal advice to trustees on governance or constitutional matters.

Grants with Performance Conditions

Where the charity gives a grant with conditions for its payment being a specific level of service or output to be provided, such grants are only recognised in the SOFA once the recipient of the grant has provided the specified service or output.

Grants Payable without Performance Conditions

These are only recognised in the accounts when a commitment has been made and there are no conditions to be met relating to a grant which remain in control of the charity.

Investments

Investments quoted on a recognised stock exchange are valued at market value at the year end. Other investment assets are included at trustees' best estimate of market value.

Unrestricted funds

These funds can be used for the general objectives of the charity as set out in the trustees report. The movements of the unrestricted funds are given in the Statement of Financial Activities.

Restricted funds

These funds are where the donor has specified a purpose for the donation made. These restrictions often arise as a result of appeals for special offerings for specific purposes.

Designated funds

These funds are funds set aside by the trustees out of unrestricted general funds for particular purposes or projects.

Fixed Assets

Fixed Assets are capitalised if they can be used for more than one year and cost at least £1,500. They are valued at cost or, if gifted, at the value to the charity on receipt.

Depreciation Expense

Depreciation is calculated at a rate to write off the cost of tangible fixed assets over their estimated useful lives. The rates applied are as follows:

14. RISK ASSESSMENT

The Trustees actively review the major risks which the charity faces on a regular basis and believe that maintaining the free reserves stated, combined with the annual review of the controls over key financial systems carried out on an annual basis will provide sufficient resources in the event of adverse conditions. The Trustees have also examined other operational and business risks which they face and confirm that they have established systems to mitigate the significant risks.

15. RESERVES POLICY

The Trustees have considered the level of reserves they wish to retain, appropriate to the CIO's needs. This is based on the CIO's size and the level of financial commitments held. The Trustees aim to ensure the CIO will be able to continue to fulfil its charitable objectives even if there is a temporary shortfall in income or unexpected expenditure. The Trustees will endeavour not to set aside funds unnecessarily.

16. PUBLIC BENEFIT

The CIO acknowledges its requirement to demonstrate clearly that it must have charitable purposes or ‘aims’ that are for the public benefit. Details of how the CIO has achieved this are provided in the Trustees report. The Trustees confirm that they have paid due regard to the Charity Commission guidance on public benefit before deciding what activities the CIO should undertake.

INDEPENDENT EXAMINER’S REPORT ON THE ACCOUNTS

Report to the trustees/ members of The Anti-Racist Social Club on the accounts for the year ended 30th June 2024 set out on pages 12 to 19.

The charity's trustees are responsible for the preparation of the accounts. The charity’s trustees consider that an audit is not required for this year under section 144 of the Charities Act 2011 (the Charities Act) and that an independent examination is needed.

Basis of independent examiner’s statement

My examination was carried out in accordance with general Directions given by the Charity Commission. An examination includes a review of the accounting records kept by the charity and a comparison of the accounts presented with those records. It also includes consideration of any unusual items or disclosures in the accounts, and seeking explanations from the trustees concerning any such matters. The procedures undertaken do not provide all the evidence that would be required in an audit, and consequently no opinion is given as to whether the accounts present a ‘true and fair’ view and the report is limited to those matters set out in the statement below.

Independent examiner's statement

In connection with my examination, no matter has come to my attention:

  1. which gives me reasonable cause to believe that in any material respect, the requirements:

  2. to keep accounting records in accordance with section 130 of the Charities Act; and

  3. to prepare accounts which accord with the accounting records and comply with the accounting requirements of the Charities Act

have not been met; or

  1. to which, in my opinion, attention should be drawn in order to enable a proper understanding of the accounts to be reached.
