STOS THEATRE COMPANY
TRUSTEES’ ANNUAL REPORT FOR THE YEAR ENDED 28 FEBRUARY 2022
Introduction
The trustees of STOS Theatre Company present their first report and the unaudited financial statements as a charitable incorporated organisation (CIO) for the year ended 28 February 2022.
Reference and administrative information set out on page 2 forms part of this report. The financial statements comply with current statutory requirements, the charity's constitution and the Statement of Recommended Practice - Accounting and Reporting by Charities: SORP applicable to charities preparing their accounts in accordance with FRS 102.
This report represents the first for STOS Theatre Company as a newly incorporated charitable organisation. The CIO was registered with the Charity Commission 6[th] January 2021, having previously been an unincorporated society.
Statement of Trustees' Responsibilities
The charity trustees are responsible for preparing a trustees' annual report and financial statements in accordance with applicable law and United Kingdom Accounting Standards (United Kingdom Generally Accepted Accounting Practice).
The law applicable to charities in England and Wales requires the charity trustees to prepare financial statements for each year which give a true and fair view of the state of affairs of the CIO and of the incoming resources and application of resources, of the CIO for that period. In preparing the financial statements, the trustees are required to:
-
select suitable accounting policies and then apply them consistently;
-
observe the methods and principles in the applicable Charities SORP;
-
make judgements and estimates that are reasonable and prudent;
-
state whether applicable accounting standards have been followed, subject to any material departures that must be disclosed and explained in the financial statements;
-
prepare the financial statements on the going concern basis unless it is inappropriate to presume that the CIO will continue in business.
The trustees are responsible for keeping proper accounting records that disclose with reasonable accuracy at any time the financial position of the CIO and to enable them to ensure that the financial statements comply with the Charities Act 2011, the applicable Charities (Accounts and Reports) Regulations, and the provisions of the trust deed. They are also responsible for safeguarding the assets of the CIO and taking reasonable steps for the prevention and detection of fraud and other irregularities.
The trustees are responsible for the maintenance and integrity of the CIO and financial information included on the CIO's website in accordance with legislation in the United Kingdom governing the preparation and dissemination of financial statements.

Objectives and activities
For the public benefit, to promote and advance education in the performing arts in particular but not exclusively by the study and performance of operas, operetta, musicals and other genres of theatre including play readings, concerts, excerpts and fully staged performances in Sheffield and its surrounding area.
STOS Theatre Company achieves is objectives primarily through the performance of musical theatre, and the furtherance of amateur theatre in and around the Sheffield area.
Achievements and performance
In the year in question STOS Theatre Company has rehearsed and performed Elf The Musical with great success. The show was staged at the Lyceum Theatre, Sheffield from November 16[th] to 20[th] . A total of 6 shows were performed with audiences at or near the theatres capacity of circa 1000 per performance.
The cast numbered 52 in total with 13 of these being under the age of 18. The live orchestra consisted of a total of 10 musicians
Stage crew was 12 individuals with a further 24 people in supporting roles ranging from make up to program design.
Financial review
The charity made a surplus of £14,569 in the year (2021: Deficit £1,796). At the year end total funds amounted to £105,914 (2021: £91,345). The charity’s funds are wholly unrestricted but there is a designated fund within these (The Wilkinson Hope Fund) which amounted to £1,555 at the end of the financial year (2021: £1,555).
The charity operates on the basis that any given show should be cost neutral. That is to say that the tickets sales, which are the charity’s main source of income, should cover the cost of presenting the show. Any surplus that is generated will be reinvested into the organisations future activities.
The trustees aim to hold reserves at a level approximating to the full cost of a production to ensure that any unforeseen loss of income does not jeopardise the charity as a going concern.
Structure, governance and management
The charity is governed by a board of trustees. The trustees who served during the year and at the year end are:
Phil Brownhill – Chair Appointed: 30 April 2021 Sally Badham – Vice Chair Appointed: 30 April 2021 Judy McMurray – Secretary Appointed: 30 April 2021 Christine Minott – Finance Appointed: 30 April 2021 David Streeter- Trustee Appointed: 30 April 2021 Jill Beckett – Trustee Appointed: 25 May 2021 Mark Harris – Trustee Appointed: 25 May 2021 Viv Siberry Scott – Trustee Appointed: 25 May 2021 Janet Sanders – Trustee Appointed: 25 May 2021 Susan Cox - Trustee Appointed: 25 May 2021
4
The trustees meet on a monthly basis to plan and make decisions on behalf of the charity, and operate within the terms of the STOS Theatre Company Foundation document. Apart from the first charity trustees, every trustee is appointed for a term of two years by resolution passed at a properly convened meeting of the board. In selecting individuals for appointment as charity trustees, the charity trustees have regard to the skills, knowledge and experience needed for the effective administration of the charity.
On appointment, each new charity trustee is provided with a copy of the charity’s constitution and a copy of the latest Trustees' Annual Report and statement of accounts.
Risk and Going concern
The trustees do not consider there to be any going concern issues at present. The board considers the risks to which the charity might be exposed, in terms of both underlying operations and for each production, and considers that adequate systems are in place to minimise and mitigate exposure to them.
By order of the board of trustees
Chair of Trustees
Phil Brownhill

INDEPENDENT EXAMINER’S REPORT TO THE TRUSTEES OF STOS THEATRE COMPANY
I report on the accounts of STOS Theatre Company for the year ended 28 February 2022 which are set out on pages 7 to 23.
Respective responsibilities of trustees and examiner
The charity’s trustees are responsible for the preparation of the accounts in accordance with the requirements of the Charities Act 2011 (“the Act”). I report in respect of my examination of the charity’s accounts carried out under section 145 of the 2011 Act and in carrying out my examination, I have followed all the applicable Directions given by the Charity Commission under section 145(5)(b) of the Act.
Basis of independent examiner’s statement
My examination is carried out in accordance with Regulation 11 of the 2006 Accounts Regulations. An examination includes a review of the accounting records kept by the charity and a comparison of the accounts presented with those records. It also includes consideration of any unusual items or disclosures in the accounts, and seeks explanations from the trustees concerning any such matters. The procedures undertaken do not provide all the evidence that would be required in an audit, and consequently I do not express an audit opinion on the view given by the accounts.
Independent examiner’s statement
I confirm that no material matters have come to my attention in connection with the examination which gives me cause to believe that in, any material respect:
-
the accounting records were not kept in accordance with section 130 of the Charities Act; or
-
the accounts did not accord with the accounting records; or
-
the accounts did not comply with the applicable requirements concerning the form and content of accounts set out in the Charities (Accounts and Reports) Regulations 2008 other than any requirement that the accounts give a ‘true and fair’ view which is not a matter considered as part of an independent examination.
I have no concerns and have come across no other matters in connection with the examination to which attention should be drawn in this report in order to enable a proper understanding of the accounts to be reached.
