Trustees' Responsibilities

The accounts are the responsibility of the Trustees.

The Trustees have supervised the preparation of the accounts and have agreed suitable accounting policies, to be applied consistently, making any estimates and judgements on a prudent and reasonable basis.

The Trustees also have a general responsibility for ensuring that adequate accounting records are kept and for taking such steps as are reasonably open to them to safeguard the assets of the scheme and to prevent and detect fraud and other irregularities, and are required to act in accordance with the constitution and rules of the charity, within the framework of the law; act prudently, conscientiously and honestly, and with the utmost good faith; act in the best interests of the members and beneficiaries of the charity and strike a fair balance between the interests of the different classes of beneficiary and take advice on technical matters and any other matters which are not understood.

Structure, governance and management

The charity, which is a non-incorporated organisation, is governed by a constitution which was adopted 22 February 2015

The Trustees throughout the year were:

Chairman: Remus Sawyerr

Secretary: Rosie Randell

Treasurer: Nicky Reid

Committee Members/Trustees:

Paul Williams & Sam Atherton.

Trustees are appointed or reappointed annually at the Annual General Meeting usually held in the summer months.

They are elected from the charity's membership.

Objectives

The Objectives of The Woodfalls Band are:

Helping to continue the existence and development of the brass band movement through dedicated rehearsals, performances in concerts, competitions, recordings and other related activities

Musician development through teaching and mentoring, and the provision of facilities and instruments

Supporting the fundraising efforts of other charities through live performance.

Activities

2020 saw a much-restricted range of activities limited by nationally imposed restrictions as a result of the pandemic.

Some online activities were pursued including quizzes, online rehearsals and presentations by leading Brass Band luminaries.

Some players were not able to or chose not to engage online, as the year progressed. Some players chose not to continue their membership. Therefore, some activities had low attendance but some guest speakers drew up to 100 participants. These were opened beyond the immediate band members.

Contesting

Two contests entered this year in January and march. Contest ceased nationally after the end of March.

Concerts/Engagements

The Band was unable to fulfil any concert engagements owing to the pandemic.

Musical Directors/Conductors

Dr Robert Childs continued as The Band’s professional Music Director and supported the vast majority of The Band’s online activities.

Brief statement of the charity's policy on reserves

The Woodfalls Band are fortunate to have sponsorship that meets some of its ongoing costs, especially that of the professional Music Director. The Trustees are mindful that this may cease at any given moment and would, in the current climate may be difficult to replace. The cost of maintenance and improvement of the Bandhall, purchase of new instruments, instrument repair and maintenance as well as the day to day running costs of The Band – including concert promotion – would be legitimate expenditure for the charity’s reserves.

Reporting Serious Incidents

The trustees declare that there are no serious incidents or other matters relating to our charity over the financial period to 31 December 2020 that should have been brought to The Charity Commission's attention.

Independent examiner's report to the Trustees of Woodfalls Band

I report on the accounts of the charity for the period ended 31st December 2020, which are set out on pages 3 to 5.

Respective responsibilities of trustees and examiner

The charity's trustees are responsible for the preparation of the accounts. The charity's trustees consider that an audit is not required for this year under section 144 (2) of the Charities Act 2011 (the 2011 Act) and that an independent examination is needed.

It is my responsibility to:

(a) examine the accounts under section 145 of the 2011 Act;

(b) to follow the procedures laid down in the General Directions given by the Charity Commissioner under section 145 (5)(b) of the 2011 Act;

(c) to state whether particular matters have come to my attention.

Basis of independent examiner's report

My examination was carried out in accordance with the General Directions given by the Charity Commissioner. An examination includes a review of the accounting records kept by the charity and a comparison of the accounts presented with those records. It also includes consideration of any unusual items or disclosures in the accounts and the seeking of explanations from you as trustees concerning such matters. The procedures undertaken do not provide all the evidence that would be required in an audit and, consequently no opinion is given as to whether the accounts present a true and fair view and the report is limited to those matters set out in the statement below.

Independent examiner's statement

In connection with my examination, no matter has come to my attention:

(I) which gives me reasonable cause to believe that, in any material respect, the requirements:

(a) to keep accounting records in accordance with section 130 of the 2011 Act; and (b) to prepare accounts which accord with the accounting records and to comply with the accounting requirements of the 2011 Act have not been met; or

(II) to which, in my opinion, attention should be drawn in order to enable a proper understanding of the accounts to be reached.
