2. Structure, Governance and Management

Governing Document

Poole Sailability is a Charitable Incorporated Organisation (CIO) with a constitution as its governing document, dated 20[th] July 2017 (as at last amendment)

Organisational structure

The Board of Management of Poole Sailability consists of both trustees and other co-opted members. The primary focus of the Board is the ongoing governance of the Charity, control of its finances, setting strategic direction and reviewing progress.

In addition to the Board of Management we have an Operations Group which is responsible for planning and delivery of the annual sailing programme and the maintenance of our fleet.

Recruitment and appointment of new trustees

One-third of trustees are required to retire each year. Nicholas Berendt and David Latimer will retire from office at the AGM in line with our Constitution and will be putting themselves forward for re- election. Potential new trustees are encouraged to apply for appointment at each AGM

Affiliation:

Poole Sailability is affiliated to Royal Yachting Association and participates in Royal Yachting Association Sailability for disabled sailing at our venue.

Forward Plan

At the Open Forum after the last AGM, Members approved a forward plan for Poole Sailability based on a members survey and workshops, interaction with partners e.g. the Royal Yachting Association, and an organizational audit. The plan includes a new vision and mission statement, and a set of strategic aims each with a set of actions for improvement. After assessment we prioritised the policies and protocols for review as set out below:-

Policies

Safeguarding – we worked with a charity partner in training and workshops for all trustees and key Sailability volunteers to produce a new policy and reporting procedures . We now have a dedicated safeguarding welfare officer. All details are on the new website along with all other policies.

Financial Policy and Procedures – This key policy was overhauled and updated

Social Media Policy – This was reviewed and reissued to all members

GDPR and Data Privacy Policy – With support from the RYA this policy was brought up to date and simplified.

Code of Conduct – This key document protects everyone, and includes key aspects of the Safeguarding Policy. It was reviewed and updated.

We will maintain a regular programme of reviewing and updating these and any other necessary policies

Operating Procedures and Protocols

Recent MAIB reports on incidents involving people with disabilities highlighted the importance of strong record keeping and operational procedures. To ensure we maintain best practise, we took learnings from these reports and advice from the RYA and other Sailability operations before making a substantial update to our own Operating Protocol.

Website, ICT and Membership Systems

We have introduced a new email address system, and have produced a new website which carries much more information than before in promoting our service. We have also agreed to introduce a new membership system for the 2025 season to streamline the collection of donations and member communications and management.

3. CharitableObjectiveandActivities

The charitable objective of Poole Sailability is:

To provide and assist in the provision of water-based activities in Poole Harbour and the surrounding area for people with disabilities, in the interest of social welfare and with the object of improving the condition of their lives.

Activities

Poole Sailability implements its charitable objective by providing of sailing activities on three or four days a week during the sailing season from April to October. These activities include:

Poole Sailability is run entirely by unpaid volunteers without whom we would not exist. Volunteers run the sailing sessions and also all maintenance, administration, finance and fundraising.

Public benefit

In undertaking the activities of the last 12 months, the trustees have paid due regard to the Charity Commission’s guidance on public benefit in deciding what activities should be undertaken. Through adherence to the objectives the charity has diligently and purposefully fulfilled its obligations.

4. Achievements and performance

The local need

According to RYA, just under 6% of members in the South are disabled. More locally, the BCP (Bournemouth, Christchurch and Poole) Council considers that 1 in 8 residents has a disability that limits their daily activities. With an aging population who experience problems with their physical functioning, their mobility or stamina. Post pandemic, the feeling of isolation and fear from that period has not yet dissipated with people living on their own and with feelings of anxiety, depression and social exclusion. At the same time, an increasing number of young people are being diagnosed with behavioural or learning disabilities.

The sailing experience provided by Poole Sailability can be life changing. A sailing session in the safety of Poole Harbour has all the elements of increasing wellbeing. Re-connecting with people, keeping learning, being active and at one with the natural environment builds confidence and social interaction. For our volunteers, our activities allow them to share their expertise and to give back to the community.

Sailing sessions

In 2024 we ran 75 of over 108 planned sailing sessions including our volunteer development sessions. In total over 970 planned individual sailing places were available to our sailors, carers and family members during the season. We are, of course, dependent on weather conditions and had to cancel 29 member and development sessions where the winds were above our safety limits.

Safety boat

2024 was our first full season with our new Pioner safety boat, kindly donated from the legacy of a local businessman. The boat was present for all member and outreach sessions to provide safety cover. Thanks to grants from our local council, additional volunteers were trained to assist with driving the boat.

5. Finance

Source of funds

Maintaining sailor fees at an affordable level is a priority for us and so this generates limited income. Fundraising is an important part of the trustees responsibilities supported by our volunteers. During the year, funding has come from a number of sources:

Expenditure

The main fixed costs are marina fees which increase year on year, maintenance and insurance.

Reserves Policy

Poole Sailability’s Reserves Policy during the year was to have reserves as follows:

In implementing this policy, Poole Sailability held reserves of £32,000 at the end of 2024. We will continue to hold reserves of up to £35,000 so as to maintain financial resilience.

INDEPENDENT EXAMINER’S REPORT TO THE TRUSTEES OF POOLE SAILABILITY

I report to the charity trustees on my examination of the accounts of the charity for the year ended 31[st] December 2023 which are set out on pages 6 to 7.

Responsibilities and basis of report

As the charity’s trustees, you are responsible for the preparation of the accounts in accordance with the requirements of the Charities Act 2011 (“the Act”).

I report in respect of my examination of the charity’s accounts carried out under section 145 of the Act and in carrying out my examination I have followed all applicable Directions given by the Charity Commission under section 145(5)(b) of the Act.

Independent examiner’s statement

I have completed my examination. I confirm that no material matters have come to my attention in connection with the examination giving me cause to believe that in any material respect:

  1. accounting records were not kept in respect of the charity required by section 130 of the Act; or

  2. the accounting do not accord with those records

  3. the accounts do not comply with the requirements concerning the form and content of accounts set out in the Charities (Accounts and Reports) Regulations other than any requirement that the accounts give a true and fair view which is not a matter considered as part of an independent examination.

I have no concerns and have come across no other matters in connection with the examination to which attention should be drawn in this report in order to enable a proper understanding of the accounts to be reached.
