TRUSTEES' REPORT (INCLUDING DIRECTORS REPORT) FOR THE YEAR ENDED 31 MARCH 2021
The trustees present their report along with the financial statements for the charity for the year ended 31 March 2021. The financial statement have been prepared in accordance with the accounting policies set out in Note 1 to the accounts and comply with the company's memorandum and articles, the Charities Act 2011 and "Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their account in accordance with the Financial Reporting Standard applicable in the UK and republic of Ireland (FRS102)" (as amended for accounting periods commencing from 1 January 2016).
Structure, governance and management
People & Planet Student Activities Limited ("the company" or "PAPSAL") is company limited by guarantee, registered in 2007, and was granted charitable status in 2010. The trustees, who are also directors for the purposes of company law, who served during the year and up until the date of signing these financial statements were:

Structure, governance and management continued…
The company is managed by a Board of Trustees composed of the directors and trustees. The Board comprises a majority of students elected by the network, the remainder being appointed by the Board to bring particular skills to its business. The Board normally meets four times a year to review progress against financial and performance targets, to approve the annual budget and accounts and to discuss and approve the overall strategy of the organisation.
People and Planet Trust (registered charity number 1140864-1) ("PPT") is a linked charity to the company. Unless otherwise stated, all numbers in these accounts are the combined numbers of the company and People and Planet Trust.
Risk management
The trustees have considered the major risks to which the organisation is exposed and have reviewed those risks and the systems and procedures implemented in mitigation of those risks. The major risk is variability in funding which is mitigated by targeted increases in other sources of income, especially unrestricted funding, and ensuring that any new commitments do not exceed their funding.
In the longer term, it is only by growing the company's unrestricted income that we will be able to strengthen our reserves position and provide financial stability. This year, the company engaged an external consultant to assist the Co-Director, Development in developing individual fundraising initiatives and restructured the database to improve systems for tracking and maintaining relationships with donors.
Reserves Policy
The trustees have considered a reserves policy for the company and have agreed that reserves should be maintained at a level equivalent to three months operating expenditure (therefore approximately £82,000 for the combined amounts of reserves of PAPSAL and PPT). At the year-end date, the reserves gave a combined total of £91,832.
The reserves which are slightly in excess of the reserves policy shall be carried forward and utilised in the 2022 projects. The trustees are actively monitoring the charity’s reserves policy in response to the ongoing economic effects of the Covid-19 pandemic.
Public benefit
The trustees confirm that they have referred to the guidance contained in the Charity Commission's general guidance on public benefit when reviewing the company's aims and objectives, and in setting the scale and scope of activities for the year ahead.

Achievements and Performance
The financial year began a month into the covid pandemic which had a major impact on the way the organisation operated. In March 2020 the office closed and staff began to work remotely with all contact with students being conducted online. This had an impact on the company’s ability to fundraise and its usual pattern of expenditure. As a result the budget was reforecast in September 2020 to better reflect the new ways of working.
Fundraising activities throughout the year largely focused on securing restricted grants, the largest element of People & Planet's income.
During the year ended 31 March 2021 the charity received grants totalling £288,041 (2020 £331,947) and donations totalling £40,471 (2020 £57,877). This included £1,000 in additional new money from JRCT to assist with expenses incurred during the pandemic.
Expenditure totalled £355,392 (2020 totalled £354,035) of which £236,814 (2020 £240,620) were staffing costs, with the balance representing project costs, support and fund-raising costs. In order to manage the uncertainties of the pandemic, a number of adjustments were made to the staffing budget, with the recruitment of interns and the University League Manager being delayed, and one Co-Director post being made redundant. The move to remote working and three periods of lockdown also meant that operating expenditures were reduced as staff were not travelling, and events were held online.
Activities
People & Planet is dedicated to achieving public benefit by supporting or undertaking work that is intended to contribute towards:
The eradication of global poverty,
Protection of the environment and the promotion of sustainable development, The upholding and extension of human rights,
The advancement of citizenship.
During the reporting period, these objectives were taken forward by our continuing campaigns focusing on the root causes of climate change, encouraging sustainable
living and supporting underprivileged communities in improving their economic situation and human rights.
Our climate campaigns, Fossil Free continued to challenge the fossil fuel industry in the movement for climate justice. Over 50% of UK universities have now divested from fossil fuels .
Our Divest Barclays campaign continued to the end of the financial year with a view to being wound down later in 2021. Over 10 student unions successfully voted to implement ethical banking policies.
Meanwhile the Climate Justice team worked to develop the new campaign - ‘End Extractivist Ties’ chosen by students in 2020, ready for launch at PowerShift 2021. This Campaign was renamed ‘Fossil Free Careers’ in the development process.

Activities (Continued…)
The EU funding for Our Sweatshop Free campaign came to an end in October 2021 and the campaign was wound up. During the time it ran it worked on the global electronics industry, encouraging supply chain transparency and ethical procurement to drive up working conditions in manufacturing. The Make ICT Fair project made gains on a European level with a coalition of 13 NGOs using a diversity of tactics. During the life of the campaign, 76 universities and 3 purchasing consortia affiliated with Electronics Watch.
Our migrants’ rights campaign Undoing Borders continued advocating for access to higher education for all and challenging the encroachment of hostile environment policies in the UK higher education sector. In the context of the COVID-19 pandemic, we successfully sustained a student-led network of 12 campus-based groups across UK campuses and trained over 920 students across 63 events and over 30 UK universities to gain confidence as migrants’ rights organisers. Six student unions and workers union branches voted to support the ‘Pledge against the Hostile Environment’.
We have continued developing our Divest Borders campaign, which calls on UK universities to remove investments from companies engaged in border control. We have conducted substantive research, explored possible campaign strategies and started doing outreach across 10 campuses.
In the summer of 2020 as a result of the pandemic our annual summer event Power Shift with young people was held online. During July we ran a fortnight of online events with a total of 400 participants.
Plans for the future
As a result of the pandemic, the decision to work remotely in March 2020 was confirmed as a permanent way of working and we closed our Oxford office in December. We have continued to work flexibly in response to the impact of covid and continually hold the prospect of in-person events under review.. At all times, the safety of our personnel and those that we work with will be paramount.
The year ahead will see significant change in our Climate Justice campaign with the end of Divest Barclays and the launch of the new Fossil Free Careers Campaign.
Meanwhile the Migrant Justice campaign is reviewing the impact of the Undoing Borders campaign and the developing Divest Borders.
Both campaigns will continue to work together to acknowledge the connections between Climate Justice and Migrant Justice.
With the appointment of a new University League manager, we intend to relaunch the University League in the winter of 2021.

Plans for the future (Continued…)
We will continue to focus our efforts on long term fundraising to ensure the sustainability of People & Planet. A key part of this will be grant fundraising and we will also complete the project to upgrade our CRM (Constituent Relationship Management database) and look to significantly expand the number and financial value of our individual givers, and grow income from grant givers.
Trustees' responsibilities in relation to the financial statements
The law applicable to charities in England and Wales requires the trustees to prepare financial statements for each financial year which give a true and fair view of the charity's financial activities during the year and of its financial position at the end of the year. In preparing financial statements giving a true and fair view, the trustees must follow best practice and:
Select suitable accounting policies and then apply them consistently; Make judgements and estimates that are reasonable and prudent; State whether applicable accounting standards and statements of recommended practice have been followed, Subject to any departures disclosed and explained in the financial statements; and
Prepare the financial statements on the going concern basis unless it is inappropriate to presume that the charity will continue in operation.
The trustees are responsible for keeping accounting records which disclose with reasonable accuracy the financial position of the charity and which enable them to ascertain the financial position of the charity and which enable them to ensure that the financial statements comply with the Charities Act 1993, the Charity (Accounts and Report) Regulations and the provisions of the trust deed. The trustees are responsible for safeguarding the assets of the charity and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities.

The company is entitled to the exemption from the audit requirement contained in section 477 of the Companies Act 2006, for the year ended 31 March 2021.
The trustees acknowledge their responsibilities for ensuring that the charity keeps accounting records which comply with section 386 of the Act and for preparing financial statements which give a true and fair view of the state of affairs of the company as at the end of the financial year and of its incoming resources and application of resources, including its income and expenditure, for the financial year in accordance with the requirements of sections 394 and 395 and which otherwise comply with the requirements of the Companies Act 2006 relating to financial statements, so far as applicable to the company.
The members have not required the company to obtain an audit of its financial statements for the year in question in accordance with section 476.
These financial statements have been prepared in accordance with the provisions applicable to companies subject to the small companies regime.

1 Accounting policies
Charity information
People & Planet Student Activities Limited is a private company limited by guarantee. The registered office address is Old Music Hall, 106-108 Cowley Road, Oxford OX41JE. The company is also registered with the Charities Commission for England and Wales. People & Planet Student Activities Limited is a linked charity with People and Planet Trust as recognised by the Charities Commission for England and Wales.
Accounting convention
The accounts have been prepared in accordance with the charity's Memorandum and Articles of Association, the Charities Act 2011 and “Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102)” (as amended for accounting periods commencing from 1 January 2016). The charity is a Public Benefit Entity as defined by FRS 102.
The accounts have departed from the Charities (Accounts and Reports) Regulations 2008 only to the extent required to provide a true and fair view. This departure has involved following the Statement of Recommended Practice for charities applying FRS 102 rather than the version of the Statement of Recommended Practice which is referred to in the Regulations but which has since been withdrawn.
The accounts are prepared in sterling, which is the functional currency of the charity. Monetary amounts in these financial statements are rounded to the nearest £.
The accounts have been prepared under the historical cost convention. The principal accounting policies adopted are set out below.
Going concern
At the time of approving the financial statements, the trustees have assessed the financial position of the charity and the potential impacts of Covid-19. During the financial year the charity received a number of grants in advance of starting the projects which has led to a strong cash position at the year end. The trustees therefore have a reasonable expectation that the charity has adequate resources to continue in operational existence for the foreseeable future. Thus the trustees continue to adopt the going concern basis of accounting in preparing these accounts.
Charitable funds
Unrestricted funds are available for use at the discretion of the trustees in furtherance of their
Restricted funds are subject to specific conditions by donors as to how they may be used. The purposes and uses of the restricted funds are set out in the notes to the accounts.
Incoming resources
Income is recognised when the charity is legally entitled to it after any performance conditions have been met, the amounts can be measured reliably, and it is probable that income will be received.

Cash donations are recognised on receipt. Other donations are recognised once the charity has been notified of the donation, unless performance conditions require deferral of the amount. Income tax recoverable in relation to donations received under Gift Aid or deeds of covenant is recognised at the time of the donation.
Legacies are recognised on receipt or otherwise if the charity has been notified of an impending distribution, the amount is known, and receipt is expected. If the amount is not known, the legacy is treated as a contingent asset.
Turnover is measured at the fair value of the consideration received or receivable and represents amounts receivable for goods and services provided in the normal course of business, net of discounts, VAT and other sales related taxes.
Resources expended
All expenditure is included on an accruals basis and is recognised when there is a legal or constructive obligation to do so.
Charitable activities include expenditure associated with meeting its charitable objectives. This includes the cost of grant making, and direct provision of charitable services.
Governance costs include those incurred in the governance of the charity and its assets and are primarily associated with constitutional and statutory requirements.
Tangible fixed assets
Tangible fixed assets are initially measured at cost and subsequently measured at cost or valuation, net of depreciation and any impairment losses.
Depreciation is recognised so as to write off the cost or valuation of assets less their residual values over their useful lives on the following bases:
Plant and equipment: 5 years straight line
The gain or loss arising on the disposal of an asset is determined as the difference between the sale proceeds and the carrying value of the asset, and is recognised in net income/(expenditure) for the year.
Impairment of fixed assets
At each reporting end date, the charity reviews the carrying amounts of its tangible assets to determine whether there is any indication that those assets have suffered an impairment loss. If any such indication exists, the recoverable amount of the asset is estimated in order to determine the extent of the impairment loss (if any).
Intangible assets with indefinite useful lives and intangible assets not yet available for use are tested for impairment annually, and whenever there is an indication that the asset may be impaired.

Cash and cash equivalents
Cash and cash equivalents include cash in hand, deposits held at call with banks, other short-term liquid investments with original maturities of three months or less, and bank overdrafts. Bank overdrafts are shown within borrowings in current liabilities.
Basic financial assets
Basic financial assets, which include debtors and cash and bank balances, are initially measured at transaction price including transaction costs and are subsequently carried at amortised cost using the effective interest method unless the arrangement constitutes a financing transaction, where the transaction is measured at the present value of the future receipts discounted at a market rate of interest. Financial assets classified as receivable within one year are not amortised.
Basic financial liabilities
Basic financial liabilities, including creditors and bank loans are initially recognised at transaction price unless the arrangement constitutes a financing transaction, where the debt instrument is measured at the present value of the future payments discounted at a market rate of interest. Financial liabilities classified as payable within one year are not amortised.
Debt instruments are subsequently carried at amortised cost, using the effective interest rate method.
Trade creditors are obligations to pay for goods or services that have been acquired in the ordinary course of operations from suppliers. Amounts payable are classified as current liabilities if payment is due within one year or less. If not, they are presented as non-current liabilities. Trade creditors are recognised initially at transaction price and subsequently measured at amortised cost using the effective interest method.
Derecognition of financial liabilities
Financial liabilities are derecognised when the charity’s contractual obligations expire or are discharged or cancelled.

7 Trustees remuneration and related party transactions
No members of the Board of Trustees received any remuneration during the year. There were expenses reimbursed this year. In 2020 travel £1,178, refreshments £27, training £20 and a ticket refund £45 were reimbursed for 11 members of the Board. Unrestricted donations received from trustees totalled £9 (2020: £512).
No trustee or other person related to the charity had any personal interest in any contract or transaction entered into by the charity during the year (2020 £0).
8 Taxation
As a charity, People & Planet Student Activities Ltd is exempt from tax on income and gains falling within section 505 of the Taxes Act 1988 or section 256 of the Taxation of Chargeable Gains Act 1992 to the extent that these are applied to its charitable objects. A tax charge has arisen on interest received without the deduction of tax.

The charity does not operate a pension scheme for its employees but does administer contributions to a stakeholder pension scheme for 8 staff (2020 9 staff). The charity made contributions amounting to £16,779 (2020 £12,263) to this scheme during 2020/21
