The company was established under a Memorandum of Association which established the objects and p)wers of the charitable company and is governed under its Articles ol Association. as amended by special fesolution, 5 December 2010. The Company Number is 3886363 (registered in England and Walesl and the Charity Number is 1140227. The liabilty of each member in the evenl of winding up shall be restricted to £10. RECRUrrMEl AND AppolTrifMEf TO THE BOARD OF TRUSTEES Under the requirements ol the Articles of Association. the number ol Directors shall be not less than three nor. unless otherwse delemiined by a general meeting. shall nol be subject lo any maximum. Tiuslees are subject lo retirement by rotation according to the lerms dictated by the Articles (clause 59 on}. 11 a Iruslee is willing lo be re-appointed, and no atternative has been put forward, the trustee is deemed to be re-appointed unless the meeting decides not lo lill the vacancy or unless a a resolution to re-appoint the Irustee is lost. Proposed new trustees must be recommended by the existing trustees, or appropriate notice must have been given by a Member qUllied to vote at the meeling. Trustees may be removed subject to the conditions in the Arkncles. Recruitment is normally achieved via the media of advertising. word ol mouth and local volunteer bureau or other agencies. TRUSTEE INDUCTION AND TRAINING Upon apwintmenl lo the board, each new truslee ss promded with infomialion on their responsibilities as a trustee and director ol the Company. Each new trustee is expected lo familiarise themselves with this inlormation and the aims arKI obj-eclbves of the charity, and seek guidance on areas wlh which they require additional a¢fvice or clarification. Tnjstees are encouraged to take advantage of training where available. RISK MANAGEMENT The trustees have eslablished a risk einatIon policy which looks al the major stralegi¢, busines5 and operational risks which the charity faces and ensure that systems have been established to mitigate the chariws exposure to the major risks. The Iruslees undertake lo regularly consider the major risks applicable to the charty and review during the year il deemed necessary. They also undertake to decide how lo respond to the risks in order to mitigate the effect of such risks. Internal control risks (including the risk ol fraud) have been minimised by the rigorous adherence to the financial control measures in place. The trustees are salislied with the current Pfocedures in place. During the year no incident involving Heallh and Salety has ocwrred that required reporting to a statutory agency.

She was an amazing supporter of the work of the North Wales Women's Centre and for over 20 years shared our passion lor working with women. On the two occasions she was mayor ol Rhyl she made us her Charity of the year, which nol only endorsed the work of the cenlre. but also prowded us wlh another plattomi Irom which to demonstrate and validate Ihe work that we do. Win became a tsustee in 2019 and was quietly determined, generous in spirit and very supportive. She always knew who to contact and what to say. She encouraged, mentored, and educated and wll be great missed by all. PUBLIC BENEFTr The Trustees have vieWed the requirement to FKovide public benefit and are salisfied that the activities of the charity are wholly focussed lo provide benefit to the women of the community ol Rhyl and the surrounding area that il aims to serve. thereby complying with ihe duty in section 4 01 the Charities Act 2006 to have regard to the guidance provided by the Commission. Strategy & Plannlng - Women Centred Ser¥Sces Over the last year the organisalion has seen a number of changes, including the reliremenl of our founder and Managing Director Gemma Fox and the inlroduclion ol a new CEO Abby Lewis, the loss of Oltr commissioned Paihlinder contract arKI the subsequent reduction of the team and a move to a new WOTking model of 100180, where staff members receive 100 10 salary for 80Yo ol the time. The loss of the Pathlinder contract impacted greatly on the organisation and led lo the Ios5 of tjvo caseworkers. however, we have continued lo deliver the eady inletvention and prevention services with the support ol our funders and unwavering commttment and passion of the team. Services also conlinued to be developed and delivered from the Bangor and Wrexham sites to wden access to services in the East ar the West. The increased support lor the early inleNenlion lor women agenda has generated new opportunities to collaborate with other organisalions and this year we were delKJhted to fonm a partnership with the Nelson Trust, PSS and PACT. which enabled us to be part of a bid for the Wales Women's and Young Persons Commissioned Services. the bid was successful and the new contract is due to start al the beginning ol the new financial year. This year has also realised the shared vision developed w'rth Crest Cooperative and we have launched an exctting and unique package of inlervenlions for women lo increase their skills. Confidence and resiliencg. We Continue to SUPF)Ort the implementation ol the Women in Justice Blueprint in Wales by contributing lo the various networks and wotkstreams. We are committed members ol the National Women's Justice Coalilion to influence policy, share best practice and gwe a voice lo the women we serve. The in¢rease in energy costs has been a signilicanl concem for the running ol the Rhyl Centre as gas bills have quadrupled in the winter months. As we are located in an Edwardian listed buikling there are challenges to healing such large spaces wilh many original wrndows. This year we were delighted lo deliver on OUT cofflmitment lo reduce energy wastage wth the eompletion of our plan to fully insulate the roof spaces and install secondary glazing to existing windows. The decision was also taken to close the Centre 2 days a week during the wnler months lo reduce the costs, support services continued to be provided over 5 days, with all face-lo-face appointments and activities taking place over 3 days instead 015. This proved lo be efficient as fuel consumption was reduced, but the number ol visitors to the centre remained consislenl. Whilsl il has been challenging, this past year has prepared Ihe ground lor exciting plans to develop sustainable servtces lor women into the future. 2. Key Aetivlty Areas North Wales Women's Cenlre provides a safe Pla lor women lo attess information, one to one support. advocacy and training on issues relating to health. wellbeing, and work. Women can be relerfed or self-refer for support. Typical issues dealt with are domestic abuse, homelessness, and poverty- Women come lo access help lor their problems, build their sell confidence and learn new skills in an environment that encourages socialising supportiveness dignity and iespect. Personal Development Workshops and Health and Wellbelng InleNentlons Women can access a wide variety of specialist workshops and inlervenlions once their need has been assessed by a worker. The type of inteNention is therefore related to the need identified. The workshops and courses are delivered by skilted facililalors and the positive impact can be transformational for women. PeTson Centred Counselllng Servlce Counselling remains a valued service delrvered by student counselling volunteers. Over Ihe last year, 12 volunteer counsellors have delivered more Ihan 758 hours lo 164 women at a value ol more than £35000 10 Ihe service. All students are BACP accredited and are supeTVtsed by an accredited Counselling Supervisor. The Counselling Servlce has been developed in partnership with Universities and Colleges. The organisalion Provides placements to students who join us lor an academic year ol volunteering. Supervision is provided io the counsellors. and they are allocated clients by the BACP accredited SupeNisor. A small number ol volunteers elect to continue to volunteer beyond their placement il capacity allows. Women benefit greatly from this semce and whilst il isnl appropriate for all women it 11

Infonnation and Support Service The Infomiation and Support semce supports women through provision ol: Drop in advi¢e clinic - held 9.30am - 2.30pm every Tuesday. Wednesday & Thursday one to one sessional support personal development action plans support to access appropriate aclivilies and interventions both in house and externally as appropriate The seNice acts as the triage lor women's Inal nIac1 wilh Ihe centre as well as providing the support inleNenlion. Women seeking support around domest abuse will also access this SeICe. Many women now contact us through the website to ask for help whilst those who can attend the drop-in clinic can do so without an appoinlmenL Early InteNentlon and Prevention The Early Intervention and Prevention Service works to reach women and intervene as early as possible to prevent a cycle of offending. Early inlervenlion changes lives and below is a summary of Cheryfs (not her real name) experience.. Cheryl was referred lo the service by custody staff. she had been charged with a Public Order Offence. Cheryl agreed that her greatest needs aTe around alcohol and mental health and the subsequent impact ol these issues on her atttiudes, thinking and behaviour. She was supported weekly by her caseworker. Cheryl developed a Irusted relationship wth her caseworker and as a result became more open about her stnjggles and aG¢epted. she needed support. She reduced her cannabis usage and began counselling sessions th CAIS and Could noiv see a life without drugs and alcohol. She also Changed jobs as this had been an area causing her unhappines5. She now fee15 a greater sense ol empowemient and slrength to change the things in heT1sle she previously felt unable lo. Co-10&2tlon ol Probation and Brunch Clubs Brunch clubs continue to be delivered on a weekly basis, wth support from Probation Service. The Brunch Clubs provide lood and a welcoming space for women lo chat informally with each other and their probation officers. One ol the women attending has become a key volunteer, which has helped her lo restOTe her self-esteem and sel1-confence whilst also being a wonderful asset lo the Cenlre. One probation oflicer said .1 have peisonajly seen the difference in th! females I supervise. allow Ihemselves to become emotional, ask lor help and even disCUSS their own ottences with other women helping them lo feel less alone and i501ated. I have noticed that the attendance rates lor appointments Increase when they are held at the Women's Centre. The Brunch Club provides a safe space for 12

Planting & Garden Project, Computer Drop-ln. Jewellery Making, Jusl Sing Group, Welsh Language Practice, Sound Baths arKI Reiki and Massage Sessions. Tuesdays and Thursdays we provide a selection of jacket potatoes and toasties on a 'pay what you can il you can. basis, with a suggested donation ol £1. This year we also introduced a number of family days during the summer holidays with a variety of family fun Ihemed activilies. New Volunteering Opportunities New roles tor volunteers were introduced, to SUFVIrt the many new activities. Volunteers were involved in Ihe developmenl, introduction, and delNery ol the wide range ol new aclivilies. 69 volunteers were active at the end ol the March and 7133 hours were provided acTOSS the year with a value of £72,500 to the services. Many are regular visitors to the cenlre and some women have become volunteers. Cost of Living response Warm space I warm food To support women in our local communtlies with the rise in ihe cost of living and the emotional and financial pressure that this can have UFX)n individuals and families, our Rhyl Centre registered as a Warm Space. for Ihe communty to access. We provide hot lood every Tuesday and Thursday. Free food We also distribute food and other items receNed from Aldi Prestatyn Food Surplus on a Tuesday and Wednesday. This food is available lor women lo help thernseeS, at a maximum of 5 items each and is providing a lifeline. General Servlces Evalualion Listening lo the feedback from women using our semces has always been irnportanl lo us to help measure how we are doing and rf we could be doing things dillerentiy or better. Organlsatlonal Sustalnablllty This has been a chlengIng year with the news that the Women's Pathfinder Service was no longer to be funded from March 2023 was initially a blow, bul altemative sources of funding were secured lo ensure that women were still supported. The priorilising of the Women in Justice. agenda by th6 Ministry ol Justice. HMPPS and Welsh Govemment has olfered new opportunities that we are Ihrilled to be a part of in the coming years.
