STRUCTURE, GOVERNANCE AND MANAGEMENT
The charity, an association, is governed by its revised constitution adopted 16 February 2009. Trustees are appointed to serve on the management committee by the members at the Annual General Meeting.
OBJECTIVES
The charitable objectives of the charity are set out in the constitution and are:

The promotion and improvement of horticulture for the benefit of the inhabitants of Chale, Isle of Wight, by the holding of annual shows, competitions, meetings and lectures.

The provision of such grants and donations for individuals or such charitable associations, bodies and organisations as the trustees in their absolute discretion shall think fit.
The trustees have had regard to the guidance issued by the Charity Commission on public benefit. This has been taken into account during the year.
Activities and achievements
During the year the Charity organised the 2023 Chale Summer Show through the Charity’s wholly owned trading entity – Chale Show Ltd.
The show was promoted and organized as a fundraising event, staffed entirely by volunteers. The show suffered this year from extreme weather conditions resulting in Saturday being completely wiped out by a storm. This was the first time in living memory that any day of the show had to be cancelled. This inevitably affected the profitability of the show.
The decision was taken by the trustees to continue to donate to local charities from reserves, as for many of the charities this in the only financial support they receive. Horticultural Society reserves were sufficient to fund this, albeit in smaller than usual annual donations. Details of the donations can be seen in the attached accounts.
During the year new members have been sought as many of the existing members are now elderly and wish to hand over their activities. It is planned that new members will now re-start the seed purchasing and take over the arduous work of getting all the trophies engraved and distributed. The society has re-engaged with the local schools project and the show was well supported with school entries. The society has reached out to Niton Horticultural Society with a view to putting on joint autumn shows and events because the venue in Chale has now been lost.
During the period the Trustees approved the payment of £10,000 (2022 - £3,000) grants to local charities and good causes from reserves to assist them with their ongoing works.

The trustees have reviewed the risks the charity faces and have taken the necessary steps to mitigate these to an acceptable level.
Financial Review
The charity has considered the reserves that it deems necessary to continue and believe that sufficient reserves to meet one year’s operating costs, plus set up costs for the following year’s Summer Show to be adequate.

Independent Examiner's Report to the Trustees of The Chale Horticultural Society
I report to the charity trustees on my examination of the accounts of The Chale Horticultural Society for the year ended 31 December 2023 which are set out on pages 4 to 6.
Responsibilities and basis of report
As the charity's trustees you are responsible for the preparation of the accounts in accordance with the requirements of the Charities Act 2011 ('the Act').
I report in respect of my examination of the charity’s accounts carried out under section 145 of the Act and in carrying out my examination I have followed all the applicable Directions given by the Charity Commission under section 145(5)(b) of the Act.
Independent examiner's statement
I have completed my examination. I confirm that no matters have come to my attention in connection with the examination giving me cause to believe that in any material respect:

accounting records were not kept in respect of the company as required by section 130 of the Charities Act; or
-
the accounts do not accord with those records.
I have no concerns and have come across no other matters in connection with the examination to which attention should be drawn in this report in order to enable a proper understanding of the accounts to be reached.

1. CHALE SUMMER SHOW
The Chale Summer Show is run by the wholly run subsidiary Chale Show Limited, which was incorporated as a registered company (no. 06624462). The profits are gifted to this charity. As a result of the COVID-19 pandemic, no show was held in 2020, or 2021, but was re-started in 2022. The results of the Chale Show Limited are set out below for the year ended 31 December 2023.
