Directors’ Report

The European Society for Clinical Virology (ESCV) is a Company Limited by Guarantee, first incorporated in 2003. In accordance with the Society’s Memorandum of Association, each Company Member undertakes to contribute such amount as may be required, not exceeding £1, to the Company’s assets if it should be wound up while he or she is a Company Member or within one year after he or she ceases to be so.

The Society is registered as a Charity, the Company Directors being the Charity’s Trustees.

The Company Directors acting collectively are the Society’s Executive.

The Executive hereby submits its report and financial statements for the year ending October 31[st] , 2024.

Organization and Objectives

According to the articles, the Society is administered by the Executive, made up of minimum three and maximum ten Company Directors/Charity Trustees. Currently the Executive numbers eight Directors.

The ESCV has appointed a professional secretariat to handle administrative matters. This secretariat is Kenes Group, Rue François-Versonnex 7, 1207 Geneva, Switzerland.

In accordance with Article 4 the Executive admits as ‘ESCV Members’ such persons and subjects them to such rights and obligations as it thinks fit. Such ‘ESCV Members’ are not Company Members for the purposes of the Articles and are not entitled to vote on any matter save where expressly provided in the Articles.

ESCV members of different European and other countries are represented by councilors, elected by each country’s members according to procedures described in the Articles. The councilors acting collectively are the Council. The Council elects the Company Directors/Charity Trustees according to procedures described in the Articles. The Society’s objectives are to promote public health and to advance public education, in particular medical education, by:

Reserves Policy

The Executive has the policy to maintain sufficient funds to allow the Society to meet its objectives and obligations on a long-term basis, and to provide a measure of investment income. It is the objective of the Society to utilize fully each year’s net income for its charitable activities.

Audit Exemption

(a) For the year ended 31 October 2024 the company was entitled to exemption from audit under section 477(2) of the Companies Act 2006 relating to small companies.

(b) Members have not required the company to obtain an audit of its accounts for the year in question in accordance with section 476 of the Companies Act 2006.

i. ensuring the company keeps accounting records which comply with section 386; and

ii. preparing accounts which give a true and fair view of the state of affairs of the company as at the end of the financial year, and of its profit or loss for the financial year, in accordance with the requirements of section 393, and which otherwise comply with the requirements of the Companies Act relating to accounts, so far as applicable to the company.

(d) These accounts have been prepared in accordance with the provisions applicable to companies subject to the small companies’ regime.

1- GENERAL

EUROPEAN SOCIETY FOR CLINICAL VIROLOGY "ESCV”, is registered as Charity under reference number 1099537.

The Private Limited Company by guarantee reference number is 04620455.

ESCV was incorporated on December 18, 2002.

The mission of ESCV is to provide a forum for virologists, scientists and physicians interested in all aspects of Clinical Virology and human viral diseases.

The registered office is at Charles Darwin House, 12 Roger Street, London WC1N 2JU, United Kingdom.

ESCV officers are :

2 - AUDIT EXEMPTION

For the year ending 31 October 2024, the company was entitled to exemption from audit under section 477 of the Companies Act 2006 relating to small companies.

The members have not required the company to obtain an audit of its accounts for the year in question in accordance with section 476 of the Companies Act 2006

The directors acknowledge their responsibilities for complying with the requirements of the Companies Act 2006 with respect to accounting records and the preparation of accounts.

The accounts have been prepared in accordance with the micro-entity provisions and delivered in accordance with the provisions applicable to companies subject to the small companies’ regime.

3 – EMPLOYEES

No employees for this year.

4 – BANK ACCOUNT

Represent unrestricted cash balance in Euro held at BBVA Bank in Spain.

5 – CONGRESS INCOME

Income received for the ESCV meeting organised in 2023 in Milan.

6 – EXTRAORDINARY EXPENSES

The payment received on August 8th, 2022, was considered as sponsorhip. This has been reclassed in deduction of the advance done to ECCI.
