STRUCFURE, GOVERNANCE AND MANAGEMEwr GOYERWING DOCUMENT The Federation wa5 consiituied in ac¢otdance with the Model Conttitution and Rule5 as agreed by the National Federation of Women's Institutes Annual General Meeting. The Federdtion is a charitable company limiied by guarantee. incorporated on 26th June 2003 and regisred as a charity on 18th September 2003. The company was established under a Memorandum of Association which established ihe objects and powers of the charitable company and 15 governed under its Articles of Association. APPOINTMEN[ OF MANAGEMENT COMMirrEE The directors of the company are also charity Tnxstees for the purpose of charity law and under th¢ companies articles are known as Members of the Board of Tntees. Under the requtrement of the Memorandum and Articles of Association the Tnembers of the Board of TNstees are nominated and elected by the rnembers of The Catnbridge Federation of Women'5 In5titstes on a 2 year basis. The Board of Tn(teS consists of13 metnbers. The board are ernpowered to Co-opt up lo 3 members if 50 desired. RISK MANAGEMENT The comtnitt¢¢ have exatnined the major $ategic. business and operatÈonal risks which the Federaiion faces and confinn that systems have been esiablish¢d to enable regular reporLS 10 be produced so that n¢cessary sieps can be taken to lessen those risk5 OBJECTIVES AND ACTIVITIES The objects of the F¢deration were as follows.. a) io improve and develop the condition of women's lives and to advantt their edU10n in citizenship, in public affairs both national and international. in the art5 and in scienc¢. b) to facilitate training in all branches of hotne onOmiCS and t¥tanagemen4 health, social welfare, the arts and s¢i¢nce. To give all women the oppominity of working together through the Women'5 Instiwie's organisation, and putting into praciice these ideas for whi¢h it stands. ACHIEVEMENfs. PERFORMANCE AND PUBLIC BENEFrr We started 2020 with great enthu5tasm for the year lo come. All the Sub committees had been working very hard to produce an exciting pro31n¢ of events for all our memb¢r5 to enjoy durrng 2020. We had well over 45 ¢vents a]ready in the pipeline which were going to happen during the Course of the year and naturally w¢ would have added events as th¢ year progressed. One thing the Cambridge Federation always prides itself on is that we offer our melnbers so many exciting events. day schools. meals, day trips and holidays which provid¢ a good source (Trf income for the federation. W¢ ¢annot avoid how devastating the effect of Covid has been &s all the federation events had to be cancelled iesulting in no additional in¢ome. At the end of November 2020 the federdtion had its fir51 Zoom tslk where members were charged £5.00 to attend and fih¢r similar events were offered and quickly proved very successful with member% thus generating a small amount of income for the federdtlQD.

However the Board of Trust¢¢s feel There will still be a need for them to continue on¢¢ gov¢rnmeni regUllOnS are relaxed. As members have got used to being at home, we must work very hard to encourage them to start att¢nding face to face meetings and gettEng ba¢k to enjoying nortnal activities the federation usd to offer. Trustees ar¢ not expecting to undertake any major works at the Vll Offi¢¢ but &s the building is getting older we are now finding that more ongoing mainietwice ts required than h&s been necessary in the post. KEY MANAGEMENr The directors con5id¢r that the board of directo who are the Charitys Tntstees. comprise the key TnanageTnent personnel of the chariry in charge of drlIng. controlling. nmning and operating the Federation on a day to day basis. All dire¢tors give their tim¢ freely and no director rec¢ived remunerdtion in the year. TRUSTEES INDUCtION AND TRAINING Trustees training is provided free of charge by the Nattonal Federdtion of Wl's who provide help and advice on wj ongoing basis. The whole Board receive thss training during an electiott year. Ongoing training 15 provided &s required. FtNANCIAL REVIEW AND RESERVES POLICY The Federation Suffered a deficii of £9138 ¢au5ed entirely by the effects of the Covid pand¢mi¢ when all fundrdising activities had to stop. (2019= deficit of £4588). Every endeavour was made to reduce costs and therefore minimise this loss and look for alternative ways to engage members ill events. Until physi] group activities can resume it is hard to rnise significant itJ¢om¢. The Trustees regularly review and agree the level of reserves the Federation holds. The Ttvstees aim to have suificient reserves to meet a year of expendicure and other commillnents. To lfIl this policy the Trustees consider it necessary to hold around £IOOOOO. Currently the Federation holds £96088 (2019.. £98608) in free reserves and would expett to Tneet its target ihrough an accutnulated Surplus of the next couple of years. RELATED PARTIES AND CO4)PERATION WITH OTHER ORGANESATIONS None of our Trustees re¢eived remuneration or oth¢r benefii from their WOTk for the oharity. Th¢y are r¢imbursed costs.
