Dinham Millennium Green Trust Report of the Trnstees for the Year Ended 30 September 2024 The ttnstees present their report with the financial statements of the charity for the year eDded 30 September 2024. The trustees have adopted thc provisions of Accoutlttng alld Reporting by Charities: Statement of Rccollllnended Prartice applicable to charities preparsng their accounts in accordallce with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective l January 2019). OBJECTIVES AND AcrIvrrIES Constitulion, Objects and policies The charithble trust is constituted by trust deed dated 11 September 1999. The Trust's primary object is to hol<L adminisfrr and manage its propety ("the trust fill,) and its income In order to provide alld D]aintain She D2Dhan] Millennium GreetL beside the River Teme in Ludlow, for the community forcver. The policy of the trust continueg to be the application of the criterta established under the tNst deed and to pursue the questiolls of additional finance and increase in support for the Trust ITh furtberanre of its goals. The Tepair and n]ntenallce of trust property remain a continuiDg occupation of the Tn]stees. Having created aud established the Dinham millenniu Green in the year 2000. the Tnt re-openel In 2002, a forn]er n]ill leat wbich bisected the Green , in 2009, completed a major challenge in the restoiatioll of a former watern]ill whtch occupied a position on the site. This building is known as the 'Mill on the Green,. Tbc opening of the Mill on the Green gave an OPPOTtunity, amongst othoE thillgs, for income generation. With such a factor in mind the step was taken, in order to diffitse xny sllggestion that the TTht (a charitable institution) might be engaged in 'trading'. to fonn a limited company knding aml, of the Trust. This compaJJy 'Mill on the Green Limited,, was incorporated on 10 July 2009. It was a company limited by guarantee and bad no sbaTe capital. Howev, by Aututtm of 2015 the company had outlived the purpose for whtch it was fortll¢d. Iu tbe Gircutnthces, the decision was taken that the company be wound up. Page I
Dinham Millennium Green Trust Report of the Trustees for the Year Ended 30 Septeinber 2024 OBJECTIVES AND ACTIVITIES Developmen¢ ActiTrTrtRes and Aehfievements Since the date of the Tnjst's inception in 1999, the perfonnallce of the Trust h&5 been regarded as creditable. Following the acquisition of the site in October 1999, the Millet)nium Green has becn crcatcd, ¢stablished and embcllished. In 2008109 the Tn)st embarked llpo and completed. a major objective, with tbe re¢onstruction of thc fotmer mill building. out of which h&s come a new edifice in the shape of tbe Mill on tbe Green. This event afforded new life, vibrancy and sense of purpose to the fomier watern]ill, wbich has become a popular Visitor attraction. The work of finalising the new lease for the upper floor of the mill was completed and Crouch Entery)rises have been able to expalld and improve their business at The Mill on the Green, with a corresponding in]provetllent in their offering to the public visiting the site. With this expansion. firther job opportunities have been create(L an important factor in the Trust's decision to grant the new lease to the present tenants. Crouch Enterprises have created a very success{ and popular restaurant and have shown a wtllingness to invest in theii tle on the Green. The Tftt Colltinues to enjoy a cordial and mutually Tespecthll relationship with our tenants who. we believe support and appreciate the work of the chaTAty. A rnajor project that was identified during 2023 was the deteriorating ci)ndttion of the much-used Concrete path leading to the weir. Collcerns about tbe undercutting of the pathway by the rivevs flow and the consequences for its structurnl integrity led the Trust to seek advice from specialist contractors. Lnitial estimates are that a preliminary inv¢stigation of the problem, tbat would involve darng the river close to the riveTbank to enable contractors to gain access, could cost around £50,000. with any required remediation costing significantly more. However, the Trustees will not know the scale of the rernediation needed until the investigation is ¢omplets and a technical report prepaTe(L Work is also needed on and around the sluice gates at the café end of the weir. We have been in touch with the National Lottery Heritage Fund to seek funding for the investigation work but this is a slow process and we are unlikely get a thision on fimding before early 2025. This work will be the main focus of our attention through 2025. The Trustees and volunteers continue to nintain atLd improve the Green. Owl boxes have been iJJstslled alongside nesting boxes frIT other species and the work of controlling invasive species - particularly Himalayan Balsam - have proved efficacious. New planting l]as successfully taken place and the carefid management of the underbrush in the section of woodland has alli)wed more divetse plant species to flouTish and, at the same time. opened up the view of the river and therefore improved the area for visltors. The Trust have also continued to improve and maintain the seating on the site. adding a new oak bench adjacent to the sluice gates for the benefit of the many wild swin]mers who use the weir and river above it. The Trust were pleased to be able to thnd another free public event on the Green this year with a jazz concert perfornied by local musiGiaD8. FANCL4L REWEW Reserves policy The reserves policy of tbe TTh is to maintain at least six months anticlpated expendItte in reserve. Going concern The tntee5 ¢onsider that there are no rnaterial uncertainties about the charity's ability to continue and the financial stat¢ments bave therefore been prepared on the going concem basjs. In the past, the Tiust's principal fjnancial support for the primary Millennium Green creation scheme was derived frojn the Ludlow Guild '98 (see below), the Countysid¢ Agency (now sup¢rseded by Natural England), Biffaward and generous public donations. The Mill on the Green scheme was achieved at a cost of c £766,000. The main sources of funding under pinning the scheme were derived from Advanlage West Midland c. £440,000, Sbmpshire Tourism Action Plan (European Community funded) - c. £260.000, Heritsge Lottery Fund- c. £38,000, with the Trust itself contributing c. £28,000. The Ttust's focus, for thc time being, is centred on Phase 2 of the scheme for the conservation of the Castle (Di]]han]) Weir. The actual cost of the completed Phase l of the scheme amounted to c.£74,000, which was some £24,000 less than the original estirnate of £98,000. Th¢ Trust bas commissioned project planDing for Phase 2 at a cost of £3,630. The estimated construction cost of Phase 2 (for whicb grnnt llding is required) is c.£150,000. Page 2
