The Trustees present their annual report together with the financial statements of the SEDSConnective CIO for the  1 December 2024 to 30 November 2025. 

## **Objectives and activities** 

## **a. Policies and objectives** 

The object of the CIO, to be carried out for the public benefit primarily in Sussex, the surrounding areas and beyond, as the Trustees see fit, is: 

To relieve the needs of people (and their families and or their carers) living with Ehlers-Danlos Syndrome (EDS), Hypermobility Spectrum Disorders (HSD) or symptomatic hypermobility, neurodivergent conditions and any associated conditions or symptoms, in particular but not exclusively, by: 

a) providing advice, information and peer support as well as funding for activities, support services and equipment; b) advancing the education of the public and allied professionals by raising awareness of the above conditions. 

For the purpose of this object, “neurodivergent conditions” include, but not exclusively, Autism, Attention Deficit Hyperactivity Disorder (ADHD), Dyspraxia and Tourette’s Syndrome. “Associated conditions or symptoms” include, but are not limited to, fibromyalgia, M.E/CFS (Chronic Fatigue Syndrome), Allergies and Postural Tachycardia Syndrome (POTS). 

In setting objectives and planning for activities, the Trustees have given due consideration to general guidance published by the Charity Commission relating to public benefit, including the guidance 'Public benefit: running a charity (PB2)'.

## **a. Review of activities** 

SEDSConnective addresses a significant gap in understanding for the neurodivergent community, by providing support for individuals with symptomatic hypermobility and related conditions, including Ehlers-Danlos Syndromes and neurodivergence. The prevalence of these conditions is higher than commonly reported, emphasising the need for improved diagnosis, support and understanding. 

SEDSConnective is run primarily by volunteers but also sources specialist practitioners to run several activities that are put into place in co-production with its members. The charity also uses webinars, focus groups, polls and surveys to be sure it is delivering exactly what its members want. Activities include: 

- Online and in person Pilates classes 

- Administrative Support 

- Specialist equipment for Pilates 

- EDS Specialist instructors for advice and lessons 

## **Website Development** 

During the year ended 30 November 2025, SEDSConnective started to plan a redesigned website to improve accessibility, user experience and access to support for our growing membership. The new platform will provide easier navigation to educational resources, webinars, support meetings, events and information services. The redesigned website will strengthen the charity's ability to provide specialist information to people who may otherwise struggle to access support. The website is also expected to improve operational efficiency and deliver ongoing savings in administration and digital service delivery. 

## **Professional Education and Awareness** 

Representatives of SEDSConnective were invited to contribute to educational and professional events hosted by leading organisations, including the Royal Society of Medicine, the Royal College of Psychiatrists Neurodevelopmental Special Interest Group and the Royal College of General Practitioners. 

SEDSConnective also supported and promoted a major international hybrid conference exploring the impact of invisible illness, Long Covid, hypermobility and neurodivergence, held at the Royal Society of Medicine in July 2025 and bringing together healthcare professionals, researchers, advocates and people with lived experience from across the UK and internationally. SEDSConnective offered members with lived experience the opportunity to attend the conference, helping ensure their voices and perspectives were represented. The event represented an important step in raising awareness of the links between hypermobility, chronic illness and neurodivergence and reflected growing recognition of these issues within healthcare and academic communities. 

The charity also contributed to wider public awareness and training across a range of related areas, including ADHD, autism and health, anaesthetics, hormones, dentistry, mental health, parents carers of children and young people in education, social care and neurodevelopmental pathways, enabling SEDSConnective to share lived experience, emerging evidence and practical knowledge with healthcare professionals and improve understanding of the conditions experienced by beneficiaries. 

## **The “TheySEDS” Campaign** 

During the year, SEDSConnective continued to develop and expand the “TheySEDS” awareness campaign, drawing on feedback and involvement from volunteers and members. 

The campaign aims to improve understanding of the relationship between hypermobility, chronic illness and neurodivergence, while promoting inclusion and earlier recognition of these conditions. It also supported wider partnership working, with SEDSConnective strengthening connections across the health, disability, neurodivergence and SEND sectors.

## **Achievements and performance (continued)** 

During the year, SEDSConnective strengthened its partnership working across local, regional and national networks. The charity became a partner in a mental health consortium comprising 21 member organisations in a major city. It also continued its voluntary and community sector membership across five further large consortia, spanning children’s and adult services, education, early years, disability rights, disabled people’s organisations, neurodivergent partnership boards, NICE-related engagement and local community groups. 

Membership, engagement and public awareness continued to grow, extending the charity’s reach within the UK and beyond in Europe. SEDSConnective was also invited to contribute to parliamentary and policy-facing events, including International Day of Persons with Disabilities activity at Westminster and online events involving Ministers. 

## **Research and Media Engagement** 

SEDSConnective continued to support research activity aligned with its charitable objectives and collaborated with researchers and academic institutions. The charity promoted ethically approved research opportunities to members and beneficiaries and contributed to discussions surrounding symptomatic hypermobility, Ehlers Danlos Syndromes, paediatric Hypermobility Spectrum Disorders and associated conditions including Dysautonomia, MCAS, gastroenterology and neurodivergence. 

The charity was acknowledged in peer reviewed research publications including the Royal College of General Practitioners (RCGP) Journal and Scientific American, and continued to contribute to media coverage, professional publications, podcasts and interviews. SEDSConnective representatives, members and volunteers presented at events and conferences including the Royal Society, the Royal College of Psychiatrists and the RCGP, as well as government think tanks, public events and local awareness events in cities and towns across the UK. SEDSConnective is recognised as the first and pioneering charity in the world working at the intersection of hypermobility and neurodivergence. These activities have helped increase awareness and improve public understanding of the conditions experienced by beneficiaries. 

## **b. Investment policy and performance** 

It is the policy of the charity to maintain Reserves for both restricted and unrestricted funds in cash.  The charity has not yet accumulated sufficient funds to consider establishing a formal Investment Policy. 

## **Financial review** 

## **a. Going concern** 

After making appropriate enquiries, the Trustees have a reasonable expectation that the Charity has adequate resources to continue in operational existence for the foreseeable future. For this reason, they continue to adopt the going concern basis in preparing the financial statements. Further details regarding the adoption of the going concern basis can be found in the accounting policies. 

## **b. Reserves policy** 

It is the policy of the charity to maintain unrestricted funds, which are free reserves of the charity, at a level of between 3 to 6 months of the resources expended.  At this level the Trustees feel that in the event of a significant drop in funding, they would be able to continue the current activities of the charity for a limited period and discharge all financial and contractual liabilities.  It would obviously be necessary to consider how funding would be replaced and/or activities changed.

## **c. Principal funding** 

The charity’s principal source of funding is in the form of cash grants for which the charity has to apply on an individual basis as and when the funding opportunity becomes available. For the period covered by this report, the most significant grants came from Lloyds Bank Foundation. 

## **Structure, governance and management** 

## **a. Constitution** 

SEDSConnective CIO is a registered charity. It is registered with the Charity Commission in England and Wales number 1199724 and with the Office of the Scottish Charity Regulator in Scotland number SC054110. It is governed by a Constitution dated 20 July 2022. 

## **b. Methods of appointment or election of Trustees** 

The management of the charity is the responsibility of the Trustees who are elected and co opted under the terms of the Constitution. The Board of Trustees must have a minimum of three members; there is no maximum number of charity trustees that may be appointed to the CIO. 

## **c. Organisational structure and decision-making policies** 

The Board of Trustees delegates the running of the day to day operations of the charity to the Chief Executive Officer who is also the Chair of the Trustees.  To facilitate effective operations, the CEO has delegated authority, within terms of delegation approved by the Trustees, for operational matters including finance, employment, and performance related activities. 

## **d. Policies adopted for the induction and training of Trustees** 

New Trustees undergo an induction session with SEDSConnective to brief them on their obligations under charity law, the content of the Constitution, the committee and decision-making processes, the business plan, budget and recent performance of the charity and the policies of the charity.  During the induction session they meet other Trustees.  Trustees are encouraged to attend appropriate training and information sessions to facilitate the undertaking of their role

## **e. Financial risk management** 

The Trustees have assessed the major risks to which the Charity is exposed, in particular those related to the operations and finances of the Charity, and are satisfied that systems and procedures are in place to mitigate exposure to the major risks. 

The charity is run almost entirely by volunteers and is dependent on successful grant applications to fund the services it provides. The most significant risks facing SEDSConnective therefore relate to securing and maintaining its income streams and ensuring there is adequate cover for volunteers who are themselves potentially vulnerable to medical complications. 

A financial landscape of rising inflation and a cost of living crisis has direct implications for charities like SEDSConnective, who are grappling with the difficult reality of increased operational costs and diminishing donation values. The financial challenges could hinder the ability of SEDSConnective to fulfil its mission effectively. In this challenging environment, the need for funding support becomes even more pressing for small charities like SEDSConnective. An income shortfall would threaten to limit its capacity to provide vital services, conduct outreach programmes, and support the community effectively. 

## **Plans for future periods** 

The charity's priorities for 2026 include: 

- Strengthening fundraising capacity and diversifying income streams 

- Developing new grant opportunities and strategic partnerships 

- Expanding educational resources and awareness campaigns 

- Strengthening research collaborations and evidence generation 

- Increasing engagement with healthcare professionals and policymakers 

- Improving access to support services and information 

- Continuing to enhance digital infrastructure and accessibility 

- Building organisational resilience and long-term sustainability 

The Trustees remain committed to ensuring that SEDSConnective continues to provide high-quality support while developing the capacity and resilience required to meet increasing demand and maximise impact for beneficiaries.

## **Statement of Trustees' responsibilities** 

The Trustees are responsible for preparing the Trustees' report and the financial statements in accordance with applicable law and United Kingdom Accounting Standards (United Kingdom Generally Accepted Accounting Practice). 

The law applicable to charities in England & Wales requires the Trustees to prepare financial statements for each financial  which give a true and fair view of the state of affairs of the Charity and of its incoming resources and application of resources, including its income and expenditure, for that period. In preparing these financial statements, the Trustees are required to: 

- select suitable accounting policies and then apply them consistently; 

- observe the methods and principles of the Charities SORP (FRS 102); 

- make judgments and accounting estimates that are reasonable and prudent; 

- state whether applicable UK Accounting Standards (FRS 102) have been followed, subject to any material departures disclosed and explained in the financial statements; 

- prepare the financial statements on the going concern basis unless it is inappropriate to presume that the Charity will continue in business. 

The Trustees are responsible for keeping adequate accounting records that are sufficient to show and explain the Charity's transactions and disclose with reasonable accuracy at any time the financial position of the Charity and enable them to ensure that the financial statements comply with the Charities Act 2011, the Charity (Accounts and Reports) Regulations 2008 and the provisions of the Trust deed. They are also responsible for safeguarding the assets of the Charity and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities.

## **Independent examiner's report to the Trustees of SEDSCONNECTIVE CIO ('the Charity')** 

I report to the charity Trustees on my examination of the accounts of the Charity for the year ended 30 November 2025. 

## **Responsibilities and basis of report** 

As the Trustees of the Charity you are responsible for the preparation of the accounts in accordance with the requirements of the Charities Act 2011 ('the 2011 Act'). 

I report in respect of my examination of the Charity's accounts carried out under section 145 of the 2011 Act and in carrying out my examination I have followed the applicable Directions given by the Charity Commission under section 145(5)(b) of the 2011 Act. 

## **Independent examiner's statement** 

Your attention is drawn to the fact that the Charity has prepared the accounts in accordance with Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) in preference to the Accounting and Reporting by Charities: Statement of Recommended Practice issued on 1 April 2005 which is referred to in the extant regulations but has been withdrawn. 

I understand that this has been done in order for the accounts to provide a true and fair view in accordance with the Generally Accepted Accounting Practice effective for reporting periods beginning on or after 1 January 2015. 

I have completed my examination. I confirm that no matters have come to my attention in connection with the examination giving me cause to believe that in any material respect: 

1. accounting records were not kept in respect of the Charity as required by section 130 of the 2011 Act; or 

2. the accounts do not accord with those records; or 

3. the accounts do not comply with the applicable requirements concerning the form and content of accounts set out in the Charities (Accounts and Reports) Regulations 2008 other than any requirement that the accounts give a 'true and fair' view which is not a matter considered as part of an independent examination. 

I have no concerns and have come across no other matters in connection with the examination to which attention should be drawn in this report in order to enable a proper understanding of the accounts to be reached. 

This report is made solely to the Charity's Trustees, as a body, in accordance with Part 4 of the Charities (Accounts and Reports) Regulations 2008. My work has been undertaken so that I might state to the Charity's Trustees those matters I am required to state to them in an Independent examiner's report and for no other purpose. ## **1. General information** 

SEDSConnective CIO is a registered charity. It is registered with the Charity Commission in England and Wales number 1199724 and with the Office of the Scottish Charity Regulator in Scotland number SC054110. The principal office is Planet House, North Heath Lane Industrial Estate, Horsham, West Sussex, RH12 5QE. 

## **2. Accounting policies** 

## **2.1 Basis of preparation of financial statements** 

The financial statements have been prepared in accordance with the Charities SORP (FRS 102) - Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019), the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) and the Charities Act 2011. 

The financial statements have been prepared to give a 'true and fair' view and have departed from the Charities (Accounts and Reports) Regulations 2008 only to the extent required to provide a 'true and fair' view. This departure has involved following the Charities SORP (FRS 102) published in October 2019 rather than the Accounting and Reporting by Charities: Statement of Recommended Practice effective from 1 April 2005 which has since been withdrawn. 

SEDSCONNECTIVE CIO meets the definition of a public benefit entity under FRS 102. Assets and liabilities are initially recognised at historical cost or transaction value unless otherwise stated in the relevant accounting policy. 

## **2.2 Income** 

All income is recognised once the Charity has entitlement to the income, it is probable that the income will be received and the amount of income receivable can be measured reliably. 

Grants are included in the Statement of financial activities on a receivable basis. The balance of income received for specific purposes but not expended during the period is shown in the relevant funds on the Balance sheet. Where income is received in advance of entitlement of receipt, its recognition is deferred and included in creditors as deferred income. Where entitlement occurs before income is received, the income is accrued. 

## **2.3 Expenditure** 

Expenditure is recognised once there is a legal or constructive obligation to transfer economic benefit to a third party, it is probable that a transfer of economic benefits will be required in settlement and the amount of the obligation can be measured reliably. Expenditure is classified by activity. The costs of each activity are made up of the total of direct costs and shared costs, including support costs involved in undertaking each activity. Direct costs attributable to a single activity are allocated directly to that activity. Shared costs which contribute to more than one activity and support costs which are not attributable to a single activity are apportioned between those activities on a basis consistent with the use of resources. Central staff costs are allocated on the basis of time spent, and depreciation charges allocated on the portion of the asset’s use. 

Expenditure on charitable activities is incurred on directly undertaking the activities which further the Charity's objectives, as well as any associated support costs.

All expenditure is inclusive of irrecoverable VAT. 

## **2.4 Tangible fixed assets and depreciation** 

Tangible fixed assets costing £100 or more are capitalised and recognised when future economic benefits are probable and the cost or value of the asset can be measured reliably. 

Tangible fixed assets are initially recognised at cost. After recognition, under the cost model, tangible fixed assets are measured at cost less accumulated depreciation and any accumulated impairment losses. All costs incurred to bring a tangible fixed asset into its intended working condition should be included in the measurement of cost. 

Depreciation is charged so as to allocate the cost of tangible fixed assets less their residual value over their estimated useful lives, . 

Depreciation is provided on the following bases: 

- Office equipment 20% straight line - Computer equipment 33.33% straight line 

## **2.5 Debtors** 

Trade and other debtors are recognised at the settlement amount after any trade discount offered. Prepayments are valued at the amount prepaid net of any trade discounts due. 

## **2.6 Cash at bank and in hand** 

Cash at bank and in hand includes cash and short-term highly liquid investments with a short maturity of three months or less from the date of acquisition or opening of the deposit or similar account. 

## **2.7 Liabilities and provisions** 

Liabilities are recognised when there is an obligation at the Balance sheet date as a result of a past event, it is probable that a transfer of economic benefit will be required in settlement, and the amount of the settlement can be estimated reliably. 

Liabilities are recognised at the amount that the Charity anticipates it will pay to settle the debt or the amount it has received as advanced payments for the goods or services it must provide. 

Provisions are measured at the best estimate of the amounts required to settle the obligation. Where the effect of the time value of money is material, the provision is based on the present value of those amounts, discounted at the pre-tax discount rate that reflects the risks specific to the liability. The unwinding of the discount is recognised in the Statement of financial activities as a finance cost. 

## **2.8 Financial instruments** 

The Charity only has financial assets and financial liabilities of a kind that qualify as basic financial instruments. ## **2.9 Fund accounting** 

General funds are unrestricted funds which are available for use at the discretion of the Trustees in furtherance of the general objectives of the Charity and which have not been designated for other purposes. 

Restricted funds are funds which are to be used in accordance with specific restrictions imposed by donors or which have been raised by the Charity for particular purposes. The costs of raising and administering such funds are charged against the specific fund. The aim and use of each restricted fund is set out in the notes to the financial statements.

During the year, no Trustees received any remuneration or other benefits _(2024 - £NIL)_ . 

During the year ended 30 November 2025, expenses totalling £ 3,075 were reimbursed or paid directly to Jane Green (Trustee) and £100 to Monica Collins. The expenses reimbursed related mainly to travel and subsistence costs _(2024 - £NIL)_ .

Expenditures of £12,187 were incurred in 2023 and 2024 on projects which were initally believed to be from unrestricted funds. After a reanalysis of the records, the trustees have agreed that these costs can be allocated to restricted funds. The fund transfers in and out reflect these adjustments.
