## **Structure, Governance and Management**
## **Constitution**
The charity is a Scottish Charitable Incorporated Organisation (SCIO). It was registered in its current legal form on 6 January 2025. The activity was previously a Company Limited by Guarantee and Community Amateur Sports Club. This company was dissolved and its assets were transferred to the SCIO on the 7[th] and 10[th] March 2025. The charity commenced operations on 7[th] March 2025. It has a single tier structure and as such the trustees are members of the charity.
## **Appointment of Trustees**
The management committee are the charity’s trustees. Trustees are elected at the annual general meeting which will be held in February or March of each year and all members of the charity are eligible to be trustees. There must be a minimum of four and a maximum of eleven trustees.
## **Charitable Purpose/Objectives**
## **The aims and objectives of the organisation are:**
a. To enable opportunities and advance public participation in watersports, defined as non-powered water activities such as dinghy sailing, windsurfing, rowing, paddle boarding, canoeing etc.
b. To develop young leaders
c. To develop volunteers
d. To promote the club within the local community and watersports in Scotland
e. To protect the local natural resource of Forfar Loch
## **Activities**
**Regular Activities and Public Benefit:** The club provides safe, inclusive opportunities for sailing and skiff rowing. Sailing runs seasonally with social and racing sessions, while rowing operates year-round with social, fitness, and introductory opportunities. Activities are volunteer-led, adapted to weather and crew availability, and accessible to people of different ages and abilities.
**Training and Volunteer Development:** Members receive informal coaching and structured training, including race-officer instruction, coxswain development sessions, and training new Responsible Persons. Safeguarding standards were maintained through updated PVG training and appropriate checks for trustees and volunteers.
**Community Engagement:** The club supported local events and initiatives, including Gala Day, Rotary fundraising, and Mental Health Awareness Week. Through the Community

Sports Hub, the club contributed to shared learning and inclusive opportunities. Taster sessions for families and young people, participation in local sports events, and welcoming visitors to regattas helped increase awareness of accessible watersports.
**Partnerships and Wider Participation:** Partnerships with local organisations—including the running club, canoe club, dementia-support group, and Scout groups—enabled tailored sessions promoting wellbeing, confidence, teamwork, and safe participation. Members also took part in international events, and work with governing bodies in rowing and sailing to continue to develop with their support.
**Facilities and Safety:** The club secured a long-term site lease, providing stability for future development. Volunteers carried out essential maintenance on boats and the site including litter picking and participation in the Country Park Rangers' drive to eliminate invasive Himalayan Balsam. New safety equipment, including buoyancy aids and a donated defibrillator, was added for community benefit.
## **Achievements and Performance**
**Achievements and Impact:** The club supported regular participation in healthy outdoor activity and helped young people and adults build confidence, skills and leadership. Volunteer involvement strengthened sustainability, and community engagement increased awareness of accessible watersports. PASS Accreditation was achieved, enabling future work with local schools.
**Membership:** Membership increased in the club’s first year as a SCIO. The club continues to offer an inclusive, affordable environment for individuals, families, and young people interested in non-powered watersports.

## **Financial review**
The club was formed as a charity on 6[th] January 2025 and started operation on 7[th] March with bank transfers from its predecessor body, Forfar Sailing Club Limited, totaling £19,050.
We received a further donation of £11,486 during the year from The Rotary Club of Forfar. This donation is treated as restricted funds in our accounts as it can only be used for a specific purpose.
Ordinary operations of the club, on the same basis as previous years, gave us a surplus of £1,357 after one-off costs relating to our new lease.
## **Reserves policy**
The trustees consider it prudent to maintain sufficient sums in unrestricted reserves to cover ongoing running costs and the cost of any likely major expenditure in relation to the repair of club premises and repair or replacement of equipment. In that regard it is considered that the present reserve balance is adequate.
## **Plans for future**
The trustees intend to continue to develop the service. Working closely with Angus Alive and RYA, we hope to develop more opportunities into sailing for the public. We will continue to be part of the larger Scottish Coastal Rowing community and keep up to date and take opportunities for our members and learn from other clubs, new ways of engaging with everyone in our local community. We will focus on developing our facilities and equipment so that we can welcome new and diverse groups of people. This will include having a clear plan of priorities when looking for funding.

## **1 Basis of accounting**
These accounts have been prepared on the Receipts and Payments basis in accordance with the Charities & Trustee Investment (Scotland) Act 2005 and the Charities Accounts (Scotland) Regulations 2006 (as amended) and fulfil the requirements of the charity’s constitution.
## **2 Nature and purpose of funds**
Unrestricted funds are those that may be used at the discretion of the trustees in furtherance of the objects of the charity. The trustees maintain a single unrestricted fund for the day-to-day running of the club.
Restricted funds may only be used for specific purposes. Restrictions arise when specified by the donor or when funds are raised for specific purposes. During the year the charity received an unrestricted funds donation of £19,050 from Forfar Sailing Club Limited and a restricted funds donation of £11486 from The Rotary Club of Forfar.
## **3 Related party transactions**
No remuneration was paid to the trustees or any connected persons during the year. Members were reimbursed for purchases made by them on behalf of the charity.

## **Independent Examiner’s Report to the Trustees of Forfar Sailing & Watersports Club.**
I report on the accounts of the charity for the year ended 31 Dec 2025 which are set out on pages 5 to 6.
## **Respective responsibilities of trustees and examiner**
The charity’s trustees are responsible for the preparation of the accounts in accordance with the terms of the Charities and Trustee Investment (Scotland) Act 2005 and the Charities Accounts (Scotland) Regulations 2006 (as amended). The charity trustees consider that the audit requirement of Regulation 10(1) (d) of the 2006 Accounts Regulations does not apply. It is my responsibility to examine the accounts as required under section 44(1) (c) of the Act and to state whether particular matters have come to my attention.
## **Basis of independent examiner’s statement**
My examination is carried out in accordance with Regulation 11 of the 2006 Accounts Regulations. An examination includes a review of the accounting records kept by the charity and a comparison of the accounts presented with those records. It also includes consideration of any unusual items or disclosures in the accounts, and seeks explanations from the trustees concerning any such matters. The procedures undertaken do not provide all the evidence that would be required in an audit, and consequently I do not express an audit opinion on the view given by the accounts.
## **Independent examiner’s statement**
In the course of my examination, no matter has come to my attention
1. which gives me reasonable cause to believe that in any material respect the requirements:
- to keep accounting records in accordance with Section 44(1) (a) of the 2005 Act and Regulation 4 of the 2006 Accounts Regulations
- to prepare accounts which accord with the accounting records and comply with Regulation 9 of the 2006 Accounts Regulations
have not been met, or
2. to which, in my opinion, attention should be drawn in order to enable a proper understanding of the accounts to be reached.
