These financial statements cover the charity’s first year of trading, from incorporation to 31 March 2025. Trustees are appointed in accordance with the constitution. The charity is managed by the board of trustees, who are responsible for strategic direction and oversight. ## **Background** In the year prior to gaining charitable status, young people came together to form the Trustees in Training steering group otherwise known as ‘The Tits’. Prior to the creation of Seeds of Disruption, young people directed a project, called Art Club, which was hosted by the Bill Russell Woodburn Youth Project. With youth work support, they wrote their own constitution, developed their three-year strategic plan, conducted youth-surveys, consulted with young people and decided on their charitable purposes. ## **Our Charitable Purposes** The advancement of education; The advancement of citizenship and community development; and The advancement of the arts, heritage, and culture. ## **Gaining Charitable Status and Securing Funding** Seeds of Disruption received charitable status on the 17th of July 2024. A small transfer of assets was made from the Bill Russell Woodburn Youth Project. Vogrie Pogrie Festival also funded young people’s involvement in Vogrie Pogrie 2024. This ensured our core Art Club service could return as scheduled in August 2024. A successful Awards for All grant in September 2024 secured the operation of Art Club until October 2026, alongside support and training for young people as Trustees in Training. In October 2024 a successful grant from Midlothian Climate Action Network (MCAN) allowed young people to take action on climate change. In February 2025, One Dalkeith commissioned Seeds of Disruption to run a video production and puppeteering course. Work from this course will be showcased during the 2025 Vogrie Pogrie Festival. ## **Risk Management** The trustees regularly review risks facing the charity, including safeguarding, financial controls, and compliance with charity law. Policies are in place for child protection, financial authorisation, and trustee induction. Page 2 **Seeds of Disruption SCIO Trustees' Annual Report** _**(continued)**_ **Financial Year End 31 March 2025** ## **Summary of Seeds of Disruption’s Activities and Achievements** ## **Trustees in Training** We ran two meetings during this reporting period and supported Trustees in Training to attend two board meetings and consult with their peers on key decisions. During the meetings young people: - Created the job description for a new youth worker, - Co-created policies for the charity, - Revised their 3-year strategic plan, and - Identified funding priorities. ## **Art Club** Art Club has continued to operate on Thursday nights during term time. A total of 16 young people have taken part during this reporting period, and we delivered 21 sessions in total. Young people chair and minute their meetings and make strategic decisions, from deciding what funds they will apply for to what projects they will deliver and partners they will work with. Youth workers do not vote but give advice and coordinate the activities. During these sessions, young people: - Designed and created five giant birds which were showcased at the Vogrie Pogrie Festival 2024; - Planned art workshops for Vogrie Pogrie Festival; - Planned climate action work; - Created and developed the Seeds of Disruption website; - Developed products to sell at the Corner Shop Collective and Vogrie Pogrie Festival; - Started development for a new book publication, ‘Creative Ink Volume 3’; - Designed a new logo - Created a new Seeds of Disruption t-shirt; - Updated the 3-year strategic plan; - Contributed to a study about young people’s hopes for the future with researchers from St Andrews University; - Contributed to the development of the job description for a new youth worker; and - Approved the funding priorities identified by the Trustees in Training. ## **Youth-Led Climate Action** With funding from MCAN, young people designed and planned four outdoor sessions to take action on climate change. A total of nine individual young people took part. This project was run in partnership with Friends of Roslin Moat, Friends of Burghlee Park, Growing Families and supported by Big Wild Life. Page 3 ## **Seeds of Disruption SCIO Trustees' Annual Report** _**(continued)**_ **Financial Year End 31 March 2025** ## **Youth-Led Climate Action** _**(continued)**_ During these sessions, participants (members and non-members) completed the following activities: - Planted 100 trees to restore a native-species hedgerow - Completed a litter pick around a local high school; - Planted edible species in a local community woodland; and - As part of the collaboration with Wild Kidz, two young people from Seeds of Disruption completed their Forest and Outdoor Learning Award Level 2 (SCQF 2). Seeds of Disruption representatives also attended an MCAN climate action consultation to progress local climate action initiatives. ## **Collaborating with Vogrie Pogrie Festival 2024** With funding support from Vogrie Pogrie Festival, young people were able to fully engage and contribute to the development of this growing outdoor art festival held in Vogrie Country Park in September. A total of ten young people took part over the weekend. The funding allowed young people to: - Design and make giant bird sculptures, which will be exhibited every year at the festival; - Plan and deliver art workshops during the festival; - Raise awareness, network and fundraise for the charity by having a market stall and selling their products for two full days; - Contribute their ideas of how to develop and improve the festival ; and - Gain meaningful experience of the art sector in a real-life setting. ## **Puppet and Video Production Course** We ran a 6-week puppet and video production course in February and March 2025 with a total of 16 young people taking part. Working in partnership with Vogrie Pogrie Festival, Film Start and One Dalkeith, a giant snake puppet and promotional video were created and will be showcased during Vogrie Pogrie 2025. ## **Reserve Policy** As Seeds of Disruption SCIO is in its first year of trading, the charity is in the process of building up its reserves. The trustees recognise the importance of maintaining sufficient unrestricted funds to ensure financial stability and support ongoing activities. The charity’s aim is to build up unrestricted reserves equivalent to at least two times the average annual operating expenses. This target will be reviewed annually as the charity grows and its financial position develops. In the current year, unrestricted reserves are below this target, reflecting the early stage of the charity’s operations. The trustees plan to increase reserves through future fundraising and careful management of resources. The trustees consider that the audit requirement of Regulation 10(1)(d) of the Accounts Regulations does not apply. It is my responsibility to examine the accounts as required under section 44(1)(c) of the Act and to state whether particular matters have come to my attention. ## **Basis of independent examiner’s statement** My examination is carried out in accordance with Regulation 11 of the 2006 Accounts Regulations. An examination includes a review of the accounting records kept by the charity and a comparison of the accounts presented with those records. It also includes consideration of any unusual items or disclosures in the accounts, and seeking explanations from the trustees concerning any such matters. The procedures undertaken do not provide all the evidence that would be required in an audit, and consequently I do not express an audit opinion on the accounts. ## **Independent examiner’s statement** In the course of my examination, no matter has come to my attention: 1. which gives me reasonable cause to believe that in any material respect the requirements: - to keep accounting records in accordance with section 44(1)(a) of the 2005 Act and Regulation 4 of the 2006 Accounts Regulations, and - to prepare accounts which accord with the accounting records and comply with Regulation 8 of the 2006 Accounts Regulations, have not been met, or 2. to which, in my opinion, attention should be drawn in order to enable a proper understanding of the accounts to be reached.
