Constitution and Structure
Scottish Bame Women is a Scottish Charitable Incorporated Or8an153tion ISCIOI, established
ut)der a constitution dated l April 2024. The organisation is governed by a Board of Charity
Trustees who also act as members. The Board controls the activities, strategy, and financi31
position of the organisètion and operates in accordance with thfi Charitles and Trustee
Investment Iscotlandl Act 2005.
The Board consists of a minimum of 3 and maximum of 7 trustees. Office-bearer5 include a
Chairperson, Treasurer, and Secretary, elected by the trustees.
Objectives and Activities
The charity's purposes are=
The advancement of health
The provision of recreational facilitie5 and activities
During the year ended 30 April 2025, the charity focused on activities aligned with these
purposes, supporting community wellbeing and engagement. The Board ensured that all
programmes and initiatives eontributed directly to these charitable objectives.
Governance and Decislon Making
Trustees meet regularly. either in person or remotely, with a quorum of three trustees required
for decisions. Decisions are made by majority vote. and proper minutes are maintalned.
Trustees are required to act in good faith. with care and diligence. and in the best interests of
the organisation at all times.
Conflicts of interest are declared and manèged in actordance with the constitution. Trustees do
not receive remuneration for their role, although reasonable expenses may be reimbursed.

Financial Revlew
The Board is responslble for maintaining proper accounting records and Preparing annual
accounts in line with statutory requirements. Financial systems and controls are in place to
ensure trènsparehcy ènd accountability in the use of funds.
All income and expenditure during the year hbs been applied Sole￿ towards the charitable
purposes of the organisation, in accordance with the constitution.
Rlsk Managemeht
The trustees actively consider risks to the organisation, includit)g governance, financial, and
c>perationaS risks. Appropriate mea5ure5 are taken to mitigate risks and ensure compliance with
legal and regulatory requirements.
Trustee5' Responsibilities
The trustees are responsible for en5urin8 that proper accounting records are kept and that
anntjal accounts are prepared. They must a150 ensure that the organisation complies with all
applicable laws and the provisions of it5 constitution.
