Constltutlon
The Charity is a Scottish Charitable Incorporated Organisation (a sao) and was reglstèred
on 14 December 2023. tt has a two tier structure in which the membership of the charity
appoints the trustees and has other decision making powers.
Appolntrnent of Trustees and Membe
The Board of Trustees meet quarterly (or more frequently if required), and generally
controls the activities of the or£anisation: for example, the Board is responsible for
monitoring and controllin8 the financial position of the organisation.
Member5 have the rlghi to partlclpate In members, meetlngs (including annual general
meetings "AGM'S") and have important powers under the constitution; for example, the
members elect people to serve on the Board of Trustees and take decislons on changes to
the constitution itself.
Trustees are elected or reelected at the AGM. There rnust be a rnlnlmum of three and a
maxlmum of seven trustees.

Oblettives and Actlvlties
Charltable Purposes
a) To support the Stella Maris Educational Foundation "SMEF" charitable organisation in
Minna, Nigeria through Minna's Children, Nigeria.
b) To help provide care, food, education and support for orphans and vulnerable children
suffering the impacts of poverty, death of their parent(s). disease and the terrorist
violence in parts of Nigeria served by SMEF.
c) To raise awareness, understanding and support for the pllght of Nigerian children.
Actlvltles
Minna's Chlldren seeks to provlde essentlal flnanclal support to ensure contlnuation of the
Ilfe changing services provided by SMEF.
The charlty is mainly organlsed Into local groups currently including Blshopbriggs,
Condorrat, Langside and Renton, and these groups are fully empowered to organise
fundraislng events and other local social activities wlthln the rules of the constitutlon.
Other activities include child sponsorship, raffles, church cafes, the "kindness for Mlnna"
childrens, collectlon and easyfundralsing.
Achlevements and Performance
As at 31 March 2025, the charity transferred £30,091.87 directly to SMEF for the Immedlate
benefit of the children In our care.
Slnce its public launch In June 2024, Mlnna's Children has received over 130 Indlvldual
donatlons, of which 50 are received by monthly standing order. Some 60 donors have also
gift aided their donation, and 65 people are sponsoring one or more child. Some donations
have been raised from coffee mornings and other events whilst others have been received
anonymously.
The charity has developed its own website and social medla outlets includln8 Facebook,
Instagram and TikTok, in order to help increase publlc awareness. In addition, a Herald
Newspaper article written by the journalist, Kevin McKenna, was published last year
featuring Fr Chldo and his charitable work.
Above all, the community groups formed to date have been very successful in generating
interest and fundraising in their local areas.
Flnanclal Review
The main source of fundlng is In the form of personal donation with gift aid attached where
possible. Outgoings are very small and all are covered by donations from specific donors
who have agreed to this.
Reserves Policy
The policy is to transfer all funds to SMEF as soon as possible on the basis of need and cost
effectiveness. the same bank charge applies for each transfer regardless of how large or

small the amount. All donations received are first paid into the charit¢s current account and
immediately transferred to an interest earnings account with the Bank of Scotland whilst
awaiting transfer to Nigeria. Only £15 is retained in the charitvs current account to cover
one month's internet, website and email seniices; whilst an additional £15 is reserved in the
savings account to cover a single bank transfer cost to SMEF.

These accounts have been prepared on the Receipts and Payments basis in accordance wlth the Charities &
Trustee Investment (Scotland) Act 2005 and the Charities Accounts (Scotland) Regulations 2006 (as amended).
Nature and Purpose of Funds
Unrestricted funds are those that may be used at the discretion of the trustees in furtherance of the objects of the
charity. Restrirted funds may only be used f(￿ specific purposes. Restrictions ar15e when Specified by ihe dcnor or
when funds are raised for specific wrp05e5.
Transfers between funds
All donations re￿iVed were Immediately tranSfer￿d from current aco)unt lo an interest earning account
until all monies transferred to SMEF.
Plans for Future Period
Increase the number of child sponsors.
Strengthen the 81shopbrlggs communlty group to operate Independently of St Dominic's
Support and encourage the essential contr1t￿tIOn of all other existing comrnunity groups
4. Grow the number of local community groups
Create more visibility by organising a fund raising event at a central loCat￿n (eg Elr• Hall,
Clyde Street) to engage people around Glasgow Cathedral and related areas.
Persuade more children and young adults to become Involved.
Call on members and volunteers to spread the word and tryto introduce at least one other
person to the cha rity.
8. Promote the cost free opportunities of gift aid and easyfunding to increase funds.
Encourage the tske up of just8iving sponsorship for IAinna's Chlldren by friends, farnily and
others particlpating in sport events and challenges.
10. Pursue other creatlve Ideas Includlng cTrfts and gft cards featurlng artlstlc work by the
children.

Independent Examinerfs Report to the Members of Mlnn*s Chlldren SCIO for the perlod from
14 December 2023 to 31 Marth 2025
I report on the accounts of the charty for the period ended 31 March 2025. which are set out on
pages 4 and 5.
Respective responslbllltles of trustees and exarnlner
The charity's trustees are responsible for the preparation of the accounts in accordance with the
terms of the Charities and Trustee Investment (Scotland) Act 2005 and the Charfties Accounts
(Scotland) Regulations 2006.
The charity'5 trustees consider that the audit requirernent of Regulatlon 10(1) (a) to (c) of the
Accounts Regulations does not apply. It is my responsibility to examine the accounts as required
under section 4411) (c) of the Act and to state whether particular rnatters have come to my
attention.
Basls of Independent examlner's statement
My examination is carried out in accordance with Regulation 11 of the Charities Accounts
{Scotland) Regulations 2006. An examination includes a reV￿W of the accounting records kept by
the charlty and a comparlson of the accounts presented wlth those records. It also Includes
conslderatlon of any unusual items or disclosures In the accounts, and seeks explanations from
the trustees concerning any such matters. The procedures undertaken do not provide all the
evidence that would be required in an audit and consequently I do not express an audit opinion
on the view given by the accounts.

In the course of my examination, no matter has come to my attention
which glves rne rèasonable cause to believe that in any materlal respects the requirernents..
to keep accountlng records In aCcOrda￿e wlth Settlon 44 (1) (a) of the 2005 Act and
Regulation 4 of the 2006 Accounts Regulations, and to prepare accounts which accord
with the accounting records and comply with Regulation 8 of the 2006 Accounts
Regulations have not been met, or
to which, in my opinion, attentlon should be drawn In order to enable a proper
understanding of the accounts to be reached.
