Governing Document

Culross Development Trust became a Scottish Charitable Incorporated Organisation [tier one] on the 19[th] July 2023 governed by its constitution effective from that date ans as amended 15[t][h] April 2025 and registered solely with OSCR.

The trustees agreed at a special general meeting in April 2025, to amend the governing document in order to allow more community involvement. [Tier 2] This was approved by OSCR in May 2025

Appointment of Trustees

The trustees retire at each annual general meeting all but one third are eligible for re­ election. The trustees may appoint additional trustees at any time. The constitution provides for a minimum of three and a maximum of eight elected trustees.

Organisational Structure

The trustees remain responsible for the overall management of the charity and have agreed to hold the anchor share in West Fife Community Trading Limited a community benefit society registered with the Financial Conduct Authority (8541)

Objects and Activities

The organisation is established for charitable purposes only, and in particular, the objects are:

to help maintain the fabric of the Royal Burgh of Culross and West Fife communities by ensuring sensitivity in the planning process;

to look after the heritage of the Royal Burgh of Culross and West Fife communities by taking public assets into community ownership where necessary; and

to help other voluntary groups maintain and take responsibility for facilities within in the Royal Burgh of Culross and West Fife communities.

To encourage and develop a spirit of voluntary or other commitment by, or co­operation with, Individuals, unincorporated associations, societies, federations, partnerships, corporate bodies, agencies, undertakings, local authorities, unions, co­operatives, trusts and others and any groups or groupings thereof willing to assist the Organisation to achieve the Purposes.

To promote and carry out research, surveys and investigations and to promote, develop and manage initiatives, projects and programmes.

To provide advice, consultancy, training, tuition, expertise and assistance.

To prepare, organise, promote and implement training courses, exhibitions, lectures, seminars, conferences, events and workshops, to collect, collate, disseminate and exchange information and to prepare, produce, edit, publish, exhibit and distribute pamphlets, books and other publications, tapes, motion and still pictures, music and drama and other materials, all in any medium.

To register an interest in land and to exercise the right to buy land under Part 2 or Part 3A of the Land Reform Act 2003 or to exercise the right to buy land under Part 5 of the Land Reform Act 2016.

To purchase, take on lease, hire, or otherwise acquire any property suitable for the Organisation

To construct, convert, improve, develop, conserve, maintain, alter and demolish any buildings or erections whether of a permanent or temporary nature, and manage and operate or arrange for the professional or other appropriate management and operation of the Organisation's Property.

To sell, let, hire, license, give in exchange and otherwise dispose of all or any part of the Property of the Organisation.

To establish and administer a building fund or funds or guarantee fund or funds or endowment fund or funds.

To employ, contract with, train and pay such staff (whether employed or self­employed) as are considered appropriate for the proper conduct of the activities of the Organisation.

To take such steps as may be deemed appropriate for the purpose of raising funds for the activities of the Organisation.

To accept subscriptions, grants, donations, gifts, legacies and endowments of all kinds, either absolutely or conditionally or in trust.

To borrow or raise money for the Purposes and to give security in support of any such borrowings by the Organisation and/or in support of any obligations undertaken by the Organisation.

To set aside funds not immediately required as a reserve or for specific Purposes. To invest any funds which are not immediately required for the activities of the

Organisation in such investments as may be considered appropriate, which may be held in the name of a nominee organisation under the instructions of the Board, and to dispose of, and vary, such investments.

To make grants or loans of money and to give guarantees.

To establish, manage and/or support any other charity, and to make donations for any charitable purpose falling within the Purposes.

To establish, operate and administer and/or otherwise acquire any separate trading organisation or association, whether charitable or not.

To enter into any arrangement with any organisation, government or authority which may be advantageous for the purposes and/or activities of the Organisation and to

enter into any arrangement for co­operation, mutual assistance, or sharing profit with any charitable organisation.

To enter into contracts to provide services to or on behalf of others.

To effect insurance of all kinds (which may include indemnity insurance in respect of Charity Trustees and employees).

To oppose, or object to, any application or proceedings which may prejudice the interests of the Organisation.

To pay the costs of forming the Organisation and its subsequent development.

Achievements and Performance

This, the third year after establishment, saw the further evolution of the organisation, its systems, procedures and engagement with West Fife Community Trading Limited through the anchor share holding.

In partnership with Culross Community Council, the trust is leading on a project to have Culross Abbey Church listed as an ACV.

To assist in this project the trustees have amended the trust constitution to allow a wider membershipas described elsewhere.

General

Going forward into year three for the charity, the trustees intend to establish the fund and advise the community at large that small grants may be available for community projects from August 2025

The trustees will continue to support West Fife Community Trading Limited (a community benefit society) where the charity is the anchor shareholder and who will be the principal donor to the fund.

The trustees will establish criteria for support.

The trustees will establish a strategy to ensure community awareness of the fund.

The trustees will continue to apply for third party funding to add to the fund.

The trustees will continue the partnership with Culross Community Council in the Abbey Project

Donated Services and Facilities

The Trust are very grateful for the support of volunteers in the community without whose support, the various supported projects could not be undertaken.

Reserves Policy

Owing to very limited resources, the charity only undertakes capital activities as and when funds become available. It is the trust policy, at this time, to maintain a reserve of three months running costs for the combined trust activities.

Reserves at the year end were £10,979 (2024: £2,200) which is above the target. In addition,restricted funds held for various supported projects were £15,000 (2024: £0)

Future Plans

Our plans for 2025/26 include:­

Going forward into year three for the charity, the trustees intend to put the fund on a firm financial footing and advise the community at large that small grants will be available for community projects from August 2025

The trustees will continue to support West Fife Community Trading Limited (a community benefit society) where the trust hold the anchor share and from who the majority of the fund will originate.

The trust will continue the Culross Abbey Project and possibly move to the next stage of a community buy out in partnership with Culross Community Council

The trustees will make themselves aware of other funding sources that may add support to projects the charity is committed to supporting and advise applicants to best ensure positive outcomes for supported projects.

The trustees will add to the membership and make the trust more inclusive in accord with the amended constitution.

FOR THE YEAR ENDED 31 July 2025

Independent Examiner's Report to the Trustees of Culross and West Fife Community Charitable Trust

I report on the accounts of the charity for the year ending 31 July 2025

Respective Responsibilities of Trustees and Examiner

The charity's trustees are responsible for the preparation of the accounts in accordance with the terms of the Charities and Trustee Investment (Scotland) Act 2005 ("the 2005 Act") and the Charities Accounts (Scotland) Regulations 2006 (as amended) ("the 2006 Regulations"). The trustees consider that the audit requirement of regulation (10) (1) (d) of the 2006 Regulations do not apply.

It is my responsibility to examine the accounts under section (44) (1) (c) of the 2005 Act and to state whether particular matters have come to my attention.

Basis of Independent Examiner's Statement

My examination is carried out in accordance with Regulation 11 of the 2006 Regulations. An examination includes a review of the accounting records kept by the charity and a comparison of the accounts presented with those records. It also includes consideration of any unusual items or disclosure in the accounts, and seeks explanations from the trustees concerning any such matters. The procedures undertaken do not provide all the evidence that would be required in an audit, and consequently I do not express an audit opinion on the views given by the accounts.

Independent Examiner's Qualified Statement

In connection with my examination, no matter came to my attention:

  1. which gives me reasonable cause to believe that in any material respect, the requirements

  2. to keep accounting records in accordance with section (44) (1) (a) of the Act 2005 and Regulation 4 of the 2006 Regulations, and

  3. to prepare accounts which accord with the accounting records and comply with Regulation 9 of the 2006 Regulations

have not been met, or

  1. to which, in my opinion, attention should be drawn in order to enable a proper understanding of the accounts to be reached.
