Structure, Governance & Management
Governing Document
Walkerburn Public Hall registered with OSCR and was recognised on the 5th June 2023 as a
SCIO {Scottish Charitable Incorporated Organisation). It is governed by a constitution as
required.
Trustee Recruitment & Appointment
Trustees must already be Members and may be elected by the Members at the AGM, or,
appointed by the Board at any time. Trustees are elected or appointed for a period of 1 year
and must stand down at the next AGM, but may stand for re-election.
Objectives & Activities
The Charity's Charitable Purpose:
As set out in the 'Constrtution' and The Charities and Trust& Investments (Scotland) Act
2005, the purpose(s) of Walkerbum Public Hall are the following:
the advancement of citizenship or community development
the provision of recreational facilities, or the organisation of recreational activities,
with the object of improving the conditions of life for the persons for whom the
facilities or activities are primarily intended
Any other purpose that may reasonably be regarded as analogous to any of the pre￿dIng
purposes.
Summary of the main activities in relation to these objectives:
The organisation's purposes are:
(a) To provide and maintain Walkerbum Public Hall as a community facility for benefit of
the inhabitants of Walkerbum and environs in the Scottish Borders, as defined by the
EH43 postcode area and in addition those sections of the Walkerburn and District
Community Council area out with the EH43 postcode area without prejudi￿ regarding
any group or individual characteristics or opinions, for recreation, leisure and
educational purposes of all kinds with the object of improving the wellbeing of the said
inhabitsnts.
(b) To promote citizenship and communrty development in the area of benefit defined in
clause 4 (a).

Achievement & Performance for 2024-25
Walkerburn Public Hall SCIO was incorporated on 5 June 2023 and is designed to repla
Walkerburn Public Hall Trust so that the hall can operate under a modern constitution
{SCIO) rather than an old Trust Deed thus giving the trustees more flexibility and options to
improve the service to the beneficiaries. The transition from the old Walkerburn Public Hall
Trust to the Walkerbum Public Hall SCIO is a work in progress.

Financial Review
statement of Reserves Pollcy:
The Trustees consider it desirable that annual expenditure is met out of annual income. It is
the objective of the Trustees to achieve as nearly as possible a small surplus each year,
however, a previous Board of Trustees felt that they should not build up reserves unless
there was a specific known need in the future. The new Board of Trustees have over-turned
this policy since it is obviousty drficult to know what the future will bring. The new Board
believes that it is sensible to revert to previous practice and maintain a comfortable reserve
for emergencies thus an attempt to do this will be made ovei the next 5 years.
Detalls of any deficlt:
There was no financial deficit this year.
Details of Donated Facilities & Services:
The Charity benefts from the time given by all the Trustees to the running of the Charity, and
from members of the Management Committee who manage the Hall on a daily basis. The
Hall has also beneffted from the voluntary time given by an experienced treasurei to prepare
this account.
Staternent of Trustees Responsibilities
The members of the Charity must prepa￿ financial statements which give sufficient detail to
enable an appieciation of the transactions of the Charity during the financial year. The
members of the Charity are responsible for keeping proper accounting records which, on
request, must reflect the financial position of the Charty at that time. This must be done to
ensuie that the finanGial Statements comply with the Charities and Trustee Investment
(Scotland) Act 2005, the Charities Accounts (Scotland) Regulations 2006.
They are also responsible for safeguarding the assets of the Charity and must take
reasonable steps for the prevention an(Vor detection of fraud and other irregularities.

Respective responsibilities of trustees and examiner
The charity's trustees are responsible for the preparation of the a￿OUnts in accordance with
the terms of the Charities and Trustee Investment (Scotland) 2005 Act and the Charities
Accounts (Scotland) Regulations 2006. The charity trUSt￿S consider that the audtt
requirement of Regulation 10(1) (d) of the Accounts Regulations does not apply. It is my
responsibility to examine the accounts as required under section 44(1 > (c) of the Act and to
state whether particular matters have come to my attention.
Basis of independent examinerfs statement
My examination is (2rried out in accordan￿ with Regulation 11 of the Charities Accounts
(Scotland) Regulations 2006. An examination includes a review of the accounting records
kept by the charity and a comparison of the accounts presented wtth those records. It also
includes considerats'on of any unusual items or disclosures in the accounts and seeks
explanations from the trustees Con￿rning any such matters. The prC￿edureS undertaken do
not provide all the eviden￿ that would be required in an audit and. consequently. I do not
express an audit opinion on the accounts.
Independent examinerfs statement
In the course of my examination. no matter has come to my attents'on
which gives me reasonable cause to believe that in any material respect the
requirements:
to k￿P accounting records in accordan￿ with section 44(1) (a) of the 2005 Act and
Regulation 4 of the 2(JJ6 Accounts Regulations. and
to prepare accounts which accord with the accounting records and comply with
Regulation 9 of the 2006 Accounts Regulations
have not been met. or
2. to which, in my opinion, attention should be drawn in order to enable a proper
understanding of the accounts to be reached.
