The Trustees, who are also directors of the charity for the purposes of the company law, have pleasure in presenting their annual report together with the unaudited financial statements of Braw Clan Limited for the year ended 31 July 2025

The financial statements comply with the Charities and Trustee Investment (Scotland) Act 2005 (as amended by the Charities (Regulation and Administration) (Scotland) Act 2023), the Charities Accounts (Scotland) Regulations 2006 (as amended), the Companies Act 2006 (as amended), the memorandum and Articles of Association and the Statement of Recommended Practice (applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Ireland (FRS 102)) issued in 2019.

OBJECTIVES AND ACTIVITIES

Objectives and Aims

Braw Clan is a Scots language theatre company making ambitious new plays for rural audiences in Clydesdale. We bring powerful stories and world-class performers to village halls.

Braw Clan has eight aims which we will work towards for the life of the company:

ACHIEVEMENTS AND PERFORMANCE

This was the fourth financial year in which the company delivered funded activity.

So Long, Wee Moon

So Long, Wee Moon, produced by Braw Clan in September 2024, is an example of new Scots language theatre developed with care for artists and commitment to delivering value for rural audiences. The play was a second hugely successful production for the company, playing to packed village halls, earning glowing reviews from audiences and the national press and attracting outstanding feedback from theatre makers.

Much of this success can be attributed to Braw Clan’s inclusive approach and time spent building connections with communities. Nearly 600 people saw the show in Crawfordjohn, Biggar, Leadhills, Crawford, Wiston, Roberton and Symington. It received stellar notices in the press, with The Scotsman calling it "an intensely dramatic story handled with terrific panache." Critic Dominic Corr described the piece as "a firm reminder of Braw Clan’s reputation as a vital creative house in the representation of our language and theatre formed outside the major cities."

Feedback from audiences was outstanding, with 91% rating it as 5 stars. The script of So Long, Wee Moon was published by Bloomsbury to coincide with the tour. The SQA asked to be sent a copy of the play for consideration as a future set text for Higher Drama.

Around the same time, Braw Clan won Community Project Of The Year at the Scots Language Awards, receiving more public votes than every other category winner combined.

Soup And A Story

SSE Renewables granted us nearly £60,000 over three years for a package of activity. This fully funds three autumn play tours to village halls in Clydesdale and co-funds three seasons of Soup And A Story, our popular community programme, in Roberton and Symington, up to May 2028.

We delivered Soup And A Story sessions in Lanark, Biggar, Roberton, Skirling, Annan, Johnstonebridge, Eskdalemuir, Moffat and Sanquhar, offering older rural adults a hot meal in a warm hall, good company and a live performance of a Scots story by a professional actor.

Unlocking Scots

Our Unlocking Scots development programme, funded by the National Lottery’s Extended Programme Fund, continued. From a pool of 250 applicants, we invited 28 actors to attend two unique Scots Toolkit workshops at the Corn Exchange in Biggar. They received three days of training in performing in Scots and were paid for their time. Scots Toolkit is an example of Braw Clan’s commitment to emerging artists. Our rehearsed readings of A Christmas Sang, The Severed Lug and Drookit! all sold out and attracted outstanding feedback.

ACHIEVEMENTS AND PERFORMANCE

Supporting emerging artists

We were invited to run mock auditions for the BA Acting and Musical Theatre courses at New College Lanarkshire, working with 70 students.

The Needle Room

We ran an audience pledge campaign for The Needle Room, our third full production, in January 2025. The results significantly exceeded the results of the previous year, bolstering our application to Creative Scotland.

Our application was successful and work began on The Needle Room in June 2025. The play will tour to Carnwath, Lanark, Leadhills, Coulter, Crawfordjohn, Symington and Biggar in September 2025.

Sound + Lighting Equipment

South Lanarkshire’s Community Led Local Development Fund granted us funds to buy our own lighting and audio equipment, reducing our carbon footprint and increasing the quality of experience for audiences.

SUMMARY

Braw Clan creates safe, nurturing, inclusive environments that empower everyone in the room to talk about Scots, as demonstrated by the popularity of our post-show discussions. We use gripping, life-affirming stories to ignite people's passion for the words, and to immerse them in the power of Scots-driven drama. In our experience, people often have a deep connection with the language but lack the confidence to use it in their work and daily lives.

2024-2025 was an exhilarating year which saw us deliver a range of activity and forge relationships with funders, artists, communities and audience members. Across all projects, Braw Clan performed to around 1500 people in this period. The Needle Room will help us tap into that connection once again, or spark it for the first time, to get people’s hearts, minds and imaginations racing.

FINANCIAL REVIEW

For the period to 31 July 2025, the charity had total income of £263,311 (£235,384 in previous year) and total expenditure of £227,386 (£62,290 in previous year). Therefore, the charity had a surplus of £35,924 (£173,094 in previous year).

£235,851 of our income came from Grants and Donations with the remainder coming from charitable activities (ticket sales of £6,209), other trading activities (sales of merchandise of £509) and other income (accrued theatre tax relief of £20,569). Income from Grants totalled £211,876 of which £160,692 was restricted and £51,184 was unrestricted in nature.

Reserves Policy

The Trustees aim to keep a level of unrestricted reserves that would allow it to continue to operate for 12 months, should income cease. As the charity has no employed members of staff, these costs have been calculated as being minimal (circa £5,000). During the financial year, this target was met.

STRUCTURE, GOVERNANCE AND MANAGEMENT

Constitution

The charity is a company limited by guarantee, not having share capital and is governed by memorandum and articles of association. The liability of members is £1. The company is accepted as a charitable body by HMRC (Reference ST05019).

Method of appointment or election of Trustees

Under the requirements of the memorandum and articles of association, the Trustees are responsible for the running of the charity. The Trustees are elected by members.

FOR THE YEAR ENDED 31 JULY 2025

I report on the accounts of Braw Clan Limited for the year ended 31 July 2025 which are set out on pages 9 to 16.

Respective responsibilities of the Trustees and Examiner

The Trustees (who are also the directors of the company for the purposes of company law) are responsible for the preparation of the accounts in accordance with the terms of the Charities and Trustee Investment (Scotland) Act 2005 (as amended by the Charities (Regulation and Administration) (Scotland) Act 2023) and the Charities Accounts (Scotland) Regulations 2006 (as amended). The Trustees consider that the audit requirement under Regulation 10(1) (a) to (c) of the 2006 Accounts Regulations does not apply.

Having satisfied myself that the charity is not subject to audit under company law, and is eligible for independent examination, it is my responsibility to:

Basis of Independent Examiners Report

My examination was carried out in accordance with Regulation 11 of the Charities Accounts (Scotland) Regulations 2006 (as amended). An examination includes review of the accounting records kept by the charity and a comparison of the accounts presented with those records. It also includes consideration of any unusual items or disclosures in the accounts, and seeking explanations from the trustees concerning such matters. The procedures undertaken do not provide all the evidence that would be required in an audit and, consequently, I do not express an audit opinion on the view given by the accounts.

Independent Examiners Statement

In the course of my examination, no matter has come to my attention:

  1. Which gives me reasonable cause to believe that in any material respect:

  2. accounting records were not kept in accordance with s44(1)(a) of the 2005 Act and Regulation 4 of the 2006 Regulations, and

  3. the accounts prepared do not accord with the accounting records and comply with Regulation 8 of the 2006 Accounts Regulations

  4. the accounts were not prepared in accordance with the methods and principles of the Statement of Recommended Practice for accounting and reporting by charities applicable to charities preparing their acounts in accordance with Financial Reporting Standard applicable in the UK (FRS 102)

  5. To which, in my opinion, attention should be drawn in order to enable a proper understanding of the accounts to be reached.

1 ACCOUNTING POLICIES

Basis of Preparation

The financial statements have been prepared in accordance with Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective 1 January 2019) - (Charities SORP (FRS 102), the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) and the Companies Act 2006.

Braw Clan meets the definition of a public benefit entity under FRS 102.

Going Concern

The Trustees have a reasonable expectation that the charity has adequate resources to continue to operate for the foreseeable future. For this reason, they continue to adopt the going concern basis in preparing the financial statements.

Fund Accounting

Unrestricted funds can be used in accordance with the charitable objectives at the discretion of the Trustees.

Restricted funds can only be used for particular retricted purposes within the objects of the charity. Restrictions arise when specified by the donor or when funds are raised for particular restricted purposes.

Further explanation of the nature of each fund is included in the notes to the financial statements.

Income

All income is recognised in the Statement of Financial Activities once the charity has entitlement to the funds, it is probable that the income will be received and the amount can be measured reliably.

Expenditure

Liabilities are recognised as expenditure as soon as there is a legal or constructive obligation committing the charity to that expenditure, it is probable that a transfer of economic benefits will be required in settlement and the amount of the obligation can be measured reliably. Expenditure is accounted for on an accruals basis and has been classified under headings that aggregate all costs related to the category. All expenses including support costs and governance costs are allocated to the applicable expenditure headings.

Fixed Assets

Items of a capital nature, costing over £500, are fully capitalised as fixed assets at cost. Depreciation is provided at rates calculated to write off the cost, less estimated residual value, of each asset over its expected useful life on the following basis :

SO LONG WEE MOON

Funded by Creative Scotland and SSE, this project concluded in 2024/25 with an overspend of £5,731 which was funded from our unrestricted reserves. Ticket sales from the production (£6,208), which were accounted for as unrestricted, more than covered the shortfall.

SAAS 3 (SOUP AND A STORY)

Funded by Foundation Scotland (£6,550), the Hugh Fraser Foundation (£5,000) and the Sir Iain Stewart Foundation (£500), this project concluded during the financial year with a small underspend (£292) which was transferred to the next stage of the project (SAAS 4).

SAAS 4 (SOUP AND A STORY)

Funded by SSE, who have committed to providing funding from 2025 to 2028, this project continues.

TEA AND A TALE (RESTRICTED)

Funded by a donation from Skirling Community Council, this project concluded during the financial year with a small underspend (£63) which, as permitted in our agreement with Skirling Community Council, was transferred to unrestricted funds.

TEA AND A TALE 2 (FORTH)

Funded by the William Syson Foundation, this project concluded during the financial year with a small overspend of £16 which was funded from unrestricted reserves.

TEA AND A TALE 3 (DUMFRIES)

Funded by Dumfries and Galloway Arts Festival, this project concluded during the financial year with a small overspend of £98 which was funded from unrestricted reserves.

UNLOCKING SCOTS

Funded by Creative Scotland, this project continues into financial year 2025/26.
