Structure, Governance and Management

Governing Documents

Cumbrae Aspires SCIO was established as a charity on 26 January 2022 and is registered with the Office of the Scottish Charity Regulator (Charity No. SC051547). The charity is a Scottish Charitable Incorporated Organisation (SCIO) and is governed by its constitution. The charity changed its name from The Cumbrae WAVE to Cumbrae Aspires on 31 July 2025. This change does not affect the charity’s legal status or registration.

Recruitment and appointment of new trustees

Trustees are elected by the charity’s members at general meetings. Where particular skills or experience are identified as lacking on the Board, additional trustees may be co-opted by the existing trustees to ensure the Board maintains an appropriate balance of expertise and knowledge. The charity's trustees are responsible for it's effective running, serve on a voluntary basis and are fully committed to make good decisions in the best interest of Cumbrae Aspires.

Objectives and activities

Charitable Purpose

To regenerate and preserve the historic environment of The College of the Holy Spirit providing leisure activities and facilities for the benefit of inhabitants and visitors of the Isle of Cumbrae. The current activities of the charity on focused on developing the vision for this important historic site, identifying support and funding to bring the building back into good repair.

Achievements and Performance

During 2024 the charity, which had been dormant during the previous 18 months began work on developing a vision for the college of the Holy Spirit. The trustees agreed new purposes with OSCR and began work on a major feasibility study to see if a financially viable future could be possible for this important historic site that surrounds the cathedral of the isles.

During 2024 we developed a tender brief, which included the results of a number of community consultation meetings, and after successfully applying to North Ayrshire Council for round 1 repurposing funds we appointed John Renshaw Architects to complete a feasibility study. This was completed in November 24 and the results were shared with the local community.

During this period we were also working with the Diocese of Argyll and the Isles to move the Cumbrae Trust into a modern charitable vehicle to enable governance of the site to be modernised and clarified. This work is still ongoing.

In January 25 once we realised that the project was likely to be possible in the longer term we strengthened the trustee board and appointed a number of locals with the skills and experience that we are likely to need for the future.

Respective responsibilities of trustees and examiner:

The charity’s trustees are responsible for the preparation of the accounts in accordance with the terms of the Charities and Trustee Investment (Scotland) 2005 Act and the Charities Accounts (Scotland) Regulations 2006. The charity trustees consider that the audit requirement of Regulation 10(1) (d) of the Accounts Regulations does not apply. It is my responsibility to examine the accounts as required under section 44(1) (c) of the Act and to state whether particular matters have come to my attention.

Basis of Independent Examiner's statement:

My examination is carried out in accordance with Regulation 11 of the Charities Accounts (Scotland) Regulations 2006. An examination includes a review of the accounting records kept by the charity and a comparison of the accounts presented with those records. It also includes consideration of any unusual items or disclosures in the accounts and seeks explanations from the trustees concerning any such matters. The procedures undertaken do not provide all the evidence that would be required in an audit and, consequently, I do not express an audit opinion on the accounts.

Independent Examiner's statement:

In the course of my examination, no matter has come to my attention:

  1. Which gives me reasonable cause to believe that in any material respect the requirements to:

  2. keep accounting records in accordance with section 44(1) (a) of the 2005 Act and Regulation 4 of the 2006 Accounts Regulations, and

  3. prepare accounts which accord with the accounting records and comply with Regulation 9 of the 2006 Accounts Regulations

have not been met, or

  1. To which, in my opinion, attention should be drawn in order to enable a proper understanding of the accounts to be reached.

Cumbrae Aspires SCIO ("the charity") is a scottish charitable incorporated organisation and governed by its constitution. It was registered as a charity in Scotland (registered number SC051547) on 26 January 2022. Its registered address is College of the Holy Spirit, College Street, Millport, Isle of Cumbrae, KA28 0HE. The charity changed its name from The Cumbrae WAVE to Cumbrae Aspires on 31 July 2025. This change does not affect the charity’s legal status or registration.
