Structure, Governance and Management

The charity had been an association until 1st December 2021 when it became a company limited by guarantee, and governed by its Memorandum and Articles of Association. At that time, Friends of Howwood Park Ltd sought and obtained permission from OSCR to become registered as a charity in Scotland, under charity number SC051509, and a such, continues to operate under the dual regulation and legal regimes of being both a registered charity and limited company.

Upon registration with Companies House, three new trustees were appointed as detailed above. These remain unchanged during the year, but in the event of a new trustee being required, the recruitment process remains unchanged. Trustees are recruited by way of nomination by the existing trustees. The Board advise new trustees of their main roles, duties and responsibilities as well as advising on background information on the charity.

Objectives and Activities

The objective of Friends of Howwood Park is to help ensure Howwood Park is a well maintained and safe public site which can enhance the quality of life for local people by improving their physical and mental health and act as a focus for bringing people together, in particular;

  1. The advancement of environmental protection and improvements of Howwood Park, for the benefit of the public, now and in the future;

  2. The advancement of citizenship or community development (including rural or urban regeneration) to promote community sustainability and participation by linking with others to develop skills and experience allowing them to undertake activities or deliver initiatives as well as promoting, encouraging partnership, and offering networking opportunities for local people;

  3. The organisation and provision of recreational and leisure facilities and activities with the objects of improving the conditions of life for people of all abilities for which the facilities and activities are primarily intended, encouraging correct use of the facilities and engagement in activities appropriate to the environment, and benefitting and further protecting and improving the Park.

Reserves

Unspent funding is reserved to be spent on the purpose for which it was granted.

The trustees consider that the current level of reserves is sufficient for the organisation, but will continue to review on a regular basis throughout the year.

Trustees' responsibilities

The trustees are responsible for preparing the Trustees Annual Report and the financial statements in accordance with applicable law and United Kingdom Accounting Standards (United Kingdom Generally Accepted Accounting Practice).

The law applicable to charities in Scotland requires the Trustees to prepare financial statements for each financial year which give a true and fair view of the state of affairs of the organisation and of the incoming resources and application of resources of the the organisation for that year. In preparing these financial statements, the Trustees are required to:

The Trustees are responsible for keeping sufficient accounting records that disclose with reasonable accuracy at any time the financial position of the the organisation and enable them to ensure that the financial statements comply with the Charities and Trustee Investment (Scotland) Act 2005, the Charities Accounts (Scotland) Regulations 2006 (as amended) and the provisions of the trust deed. They are also responsible for safeguarding the assets of the the organisation and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities. The Trustees' report was approved by the Board of Trustees.

Each person who was a director at the time this report was approved confirms that:

I report on the accounts of the charity for the period ended 31st December 2024 which are set out on pages 8 to 9.

Respective responsibilites of trustees and examiner

The charity's trustees are responsible for the preparation of the accounts in accordance with the terms of the Charities and Trustee Investment (Scotland) Act 2005 and the Charities Accounts (Scotland) Regulations 2006 (as amended). The charity trustees consider that the audit requirement of Regulation 10(1) (a) to (c) of the 2006 Accounts Regulations does not apply. It is my responsibility to examine the accounts as required under section 44(1)(c) of the Act and to state whether particular matters have come to my attention.

Basis of independent examiner's statement

My examination is carried out in accordance with Regulation 11 of the 2006 Accounts Regulations. An examination includes a review of the accounting records kept by the charity and a comparison of the accounts presented with those records. It also includes consideration of any unusual items or disclosures in the accounts, and seeks explanations from the trustees concerning any such matters. The procedures undertaken do not provide all the evidence that would be required in an audit, and consequently, I do not express an audit opinion on the view given by the accounts.

Independent examiner's statement

In the course of my examination, no matter has come to my attention

You consider that the organisation is exempt from an audit for the period ended 31st December 2024. These responsibilities include preparing accounts that give a true and fair view of the state of affairs of the company at the end of the financial year and of its profit or loss for the financial year.

1 Accounting policies

Charity information

Friends of Howwood Park Ltd is a private company limited by guarantee without share capital incorporated in Scotland. The registered office is 41 Linister Crescent, Howwood, PA9 1DS.

Basis of preparation

The accounts have been prepared under the historical cost convention with items recognised at cost or transaction value unless otherwise stated in the relevant notes to these financial statements.

The financial statements have been prepared in accordance with the Statement of Recommended Practice: Accounting and Reporting by Charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102, as applied to small entities by section 1A of the standard, effective 01 January 2019), the Charities and Trustee Investment (Scotland) Act 2005 and the Charities Accounts (Scotland) Regulations 2006 (amended). The charity constitutes a public entity body defined by FRS 102.

The Trustees consider that there are no material uncertainties on the charity's ability to carry on as a going concern.

Turnover

All incoming resources are included when the charity is legally entitled to the income and the amount can be quantified with reasonable certainty.

Tangible fixed assets

Tangible fixed assets are measured at cost less accumulative depreciation and any accumulative impairment losses. Depreciation is provided on all tangible fixed assets, other than freehold land, at rates calculated to write off the cost, less estimated residual value, of each asset evenly over its expected useful life, as follows:

Debtors

Short term debtors are measured at transaction price (which is usually the invoice price), less any impairment losses for bad and doubtful debts.

The charity is exempt from corporation tax on its charitable activities.

Fund accounting

Unrestricted funds are available for the use at the discretion of the trustees to further any of the charity's activities. Restricted funds are subjected to retractions on their expenditure declared by the donor or through the terms of an appeal.

7 Directors' emoluments and expenses

The trustees are considered to be the key management personnel of the charitable company. The total amount paid to key management personnel during the year was £1,246 (2023: £2,782), with amounts paid to trustees shown below.

Chairperson was reimbursed expenses totalling £75 (2023: £2,782) in connection with undertaking the company’s charitable activities to reimburse for running costs incurred, as well as being paid £691 (2023: £0) for services provided in the functioning of groups within the facility.

Trustee, , was paid amounts totalling £766 (2023: £0) for services provided in the functioning of groups within the facility.

There were no other related party transactions during the year.
