Structure, Governance and Management

The charity is governed by a constitution which was adopted in 2021. The charity is a Scottish Charitable Incorporated Organisation. All trustees are appointed or reappointed by members at our Annual General Meeting which is held each year.

There is no formal induction programme or training for new trustees, although guidance is given by current trustees.

The trustees keep under review the major risks to which it may be exposed.

Objectives and Activities

The aims of the charity include the following:

  1. The advancement of education 2. The advancement of the arts, heritage, culture or science

  2. To encourage and develop a spirit of voluntary commitment and co-operation to assist with its objectives

  3. The provision of recreational facilities, or the organisation of recreational activities 5. To promote and Carry out research & surveys, and develop initiatives and projects 6. Toconstruct, conserve and maintain the charity property

Firstly, it is a listed building if immense historical Significance, so we would like to see it used as a resource for local historical research and possibly to link with other local history groups. Educationally, we hope our local Primary school and other young people would become involved with researching the history of this building, the graveyard and the local area, thereby ensuring their future interest in its historical significance and its place in local, familial and national history.

Secondly, by maintaining and preserving the building, we hope to provide a local community venue for various events for local artists, musicians, crafts peoples, etc including musical performances, exhibitions, workshops etc.

Thirdly, as a venue for life events such as non-denominational weddings, naming ceremonies, renewal of vows, humanist funerals etc. We would hope to widen its present use so that folk of other religious faiths, or with no religious allegiance will feel welcome to visit and to celebrate important life events there.

In short, we hope to provide a facility which is cherished and useful to our community, and to visitors to the area as well.

Achievements and Performance

Firstly, as the newly elected chair | would like to express my thanks to Iris Ritchie the outgoing chair for all her hard work in the setting up of this SCIO during its first 3 years. The current status of The Old Kirk building is that the congregation have approved its sale, and the process of evaluation has been completed by the Church of Scotland. Therefore, we will have an opportunity to purchase the building for the community, this is still in the planning and discussion stage.

The Board of Trustees are continuing to meet and raise awareness amongst the local and wider communities to build support for the future of the Old Kirk as a community venue. During the year we organised 2 fundraising events ~in July 2024 we supported the Open Garden Scheme by hosting afternoon teas in the Community Hub Building and a Bingo night in October 2024 both events were successful and enjoyable.

Progress and the future of our work to secure the Old Kirk for the Community continues to be our focus and we thank those who have shown their support during this time.

Public benefit

The trustees have referred to the guidance contained in the Office of the Scottish Charity Regulator’s general guidance on public benefit when reviewing their objectives and in planning their future activities. In particular, the trustees consider how planned activities will contribute to the objectives they have set.

KIRKMAIDEN OLD KIRK

Trustees Annual Report for the year ended 30 April 2025 (Cont)

Financial Review

The charity had a surplus for the year of £1,398 (2024: surplus £891).

Unrestricted cash funds at the year end amounts to £8,906 (2024: £7,508).

Reserves policy

The charity aims to hold reserves of approximately three months running costs so that in the event of a drop in income the charity can maintain its current level of activities for a reasonable period until replacement funding is obtained. At the year end the charity had reserves in excess of this policy.

Future plans

We hope to plan cleaning, maintenance and lay out of the Building of the Old Kirk once acquired.

We hope to expand the programme of events once the building and Old Kirk designated funds have been passed over to us by The Church of Scotland.

The trustees declare that they have approved the trustees report above.

Signed on behalf of the charity’s trustees

Independent Examiner’s Report to the Trustees

| report on the accounts of the charity for the period ended 30 April 2025, which are set out on pages 5 to 7.

Respective responsibilities of trustees and examiner The charity’s trustees are responsible for the preparation of the accounts in accordance with the terms of the Charities and Trustee Investment (Scotland) 2005 Act and the Charities Accounts (Scotland) Regulations 2006. The charity trustees consider that the audit requirement of Regulation 10(1)(d) of the Accounts Regulations does not apply. It is my responsibility to examine the accounts as required under section 44(1)(c) of the Act and to State whether particular matters have come to my attention.

Basis of independent examiner’s statement

My examination is carried out in accordance with the Regulation 11 of the 2006 Accounts Regulations. An examination includes a review of the accounting records kept by the charity and a comparison of the accounts presented with those records. It also includes consideration of any unusual items or disclosures in the accounts and seeks explanations from the trustees concerning any such matters. The procedures undertaken do not provide all the evidence that would be required in an audit, and consequently | do not express an audit opinion on the accounts.

Independent examiner's statement

In the course of my examination, no matter has come to my attention:

  1. which gives me reasonable cause to believe that in any material respect, the requirement - to keep accounting records in accordance with Section 41(1) (a) of the 2005 Act and Regulation 4 of the 2006 Accounts Regulation and,

  2. to prepare accounts which accord with the accounting records and comply with Regulation 9 of the 2006 Accounts Regulations.

have not been met

  1. to which, in my opinion, attention should be drawn in order to enable a proper understanding of the accounts to be reached.
