Structure, governance and management

The affairs, property and funds of the Company shall be directed and managed by a Board of Trustees. The Board may exercise all such powers of the Company, and may on behalf of the Company do all acts as may be exercised and done by the Company, other than those required to be exercised or done by the Ordinary Members in a General Meeting, and subject always to these Articles and to the provisions of the Act.

The members of the Company shall consist of the Subscribers, who are Ordinary or Junior Members. Ordinary Members are over 16, resident in the Community, are on the electoral register and who support the purposes of the company. Junior Members are aged between 12 and 15, resident in the community and who support the purposes of the company.

The annual membership fee is £1 for life. The company currently has around 120 residents listed as Ordinary Members.

Reserves

The policy of the charity is to retain sufficient funds required to meet ongoing running costs in respect of mainly items like insurance and governing costs.

Objectives and activities

Aims and objectives

The company's main purposes are; sustainable development; the advancement of environmental protection or improvement; the advancement of citizenship or community development; the provision of recreational facilities or the oragnisation of recreational activities, all with relation to the land and woodlands of the Morvern peninsula.

Achievements and performance

The financial year from December 2024 to November 2025 saw a substantial increase in grant funding for the organisation as a result of the Lochaline Community Forest Project, with grants from the Scottish Land Fund, the Highland Council Regeneration Fund, the Community Led Development Fund and the Pebble Trust.

Overall running costs for the organisation increased slightly whilst fundraising revenue was substantially down. The trustees are committed to rectifying this in the new financial year, in order not to deplete funds long term, and will be looking at ways to save costs and raise more revenue that is directly for the running of the organisation. It is important that the overall health of the organisation is not detrimentally affected by taking on such a large project.

The grant funding however, resulted in the commissioning of a robust and detailed feasibility survey for the community forest project which has been vital for moving forward with plans and will be a useful document for the project for the next few years. It also covered community consultation on

our plans and most importantly the cost of staff time working on the project on a freelance self employed basis increasing MCW's organisational capacity. The project has been successful in the Community Asset Transfer application and Forest and Land Scotland awarded a discount of £177,000 on the purchase price. We are hoping the funding MCW has secured and the many hours of work that has gone into the project will help ensure we are able to purchase this area of forest as a fantastic resource for future generations.

I report on the financial statements of Morvern Community Woodlands for the period ended 30th November 2025, which comprises the statement of financial activities, the balance sheet and the related notes. These financial statements have been prepared in accordance with the Financial Reporting Standard 102 (effective January 2016), under the historical cost convention and the accounting policies set out therein.

Respective responsibilities of directors and independent examiner

The charity's trustee's (who are also the directors of the company for the purposes of company law) are responsible for the preparation of the accounts in accordance with the terms of the Charities and Trustee Investment (Scotland) Act 2005 and the Charities Accounts (Scotland) Regulations 2006 (as amended). The charity's trustees consider that the audit requirement requirement of Regulation 10(1)(a)t (c )of the 2006 Accounts Regulations does not apply. It is my responsibility to examine the accounts as required under section 44(1)(c )of the Act and to state whether particular matters have come to my attention.

Basis of independent examiner's statement

My examination is carried out in accordance with Regulation 11 of the 2006 Account (Scotland) Regulations. An examination includes a review of the accounting records kept by the charity and a comparison of the accounts presented with those records. It also includes

consideration of any unusual items or disclosures in the accounts, and seeks explanations from the trustees concerning any such matters. The procedures undertaken do not provide all the evidence that would be required in an audit, and consequently I do not express an audit opinion on the view given by the accounts.

Independent examiner's statement

In connection with my examination, no matter has come to my attention

(i) which gives me reasonable cause to believe that in any material respect the requirements

to keep accounting records in accordance with section 44 (1) (a) of 2005 Act and Regulation 4 of the 2006 Accounts Regulations, and

to prepare accounts which accord with the accounting records and to comply with Regulation 8 of the 2006 Accounts Regulations

have not been met, or

(ii) to which, in my opinion, attention should be drawn in order to enable a proper understanding of the accounts to be reached.

1 General information

The charity is a public benefit entity and a private limited company limited by guarantee, registered in Scotland, and a registered charity in Scotland. The address of the registered office is Rhemore, Drimnin, PA80 5XZ.

2 Statement of compliance

These financial statements have been prepared in compliance with FRS 102, 'The Financial Reporting Standand applicable in the UK and the Republic of Ireland', the Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and the Republic of Ireland (FRS 102) (Charities SORP (FRS 102)) and the Companies Act 2006.

3 Accounting policies

Basis of preparation

The financial statements have been prepared on the historical cost basis.

The financial statements are prepared in sterling, which is the functional currency of the entity.

Going concern

There are no material uncertainties about the charity's ability to continue.

Fund accounting

Unrestricted funds are available for use at the discretion of the trustees to further any of charity's purposes.

Restricted funds are subject to restrictions on their expenditure declared by the donor.

Income

All income is included in the statement of financial activities when entitlement has passed to the charity, it is probable that the economic benefits associated with the transaction will flow to the charity and the amount can be reasonably measured. The following specific policies are applied to particular categories of income;
