Structure Governance & Management
Constitution
The charity is an unincorporated association. It is governed by its constitutior which was adopted on
c￿ March 2012. The 85s)ciotion wos granted tharitible statu5 by OSCR Dn 29 November 2012.
Apy)intment of Trustees
In accordance with the constitution the management cornmittee 15 made up of trustees and there
must be a minimum of 4 elected trustees to take up the roles of Chair, Vice-chair, Secretary and
Tre85urer. The committee may co-opt further trustee5 if they consider it to be in the interest of the
association. The managenEnr committee were elecred at AGM hel(J on 11 December 2024.
A communication is sent to all residents approximately three heeks before the AGM to ask if any
resident5 would like to become Trustees and / or be considered for elethon for Dne of the
CDrnmittee rDles.
Changes to Trustees

trustees were elerted

Managernent
The trustees are responsible forthe running of the association and mana&4ng the communty facility.
The day to day running of the association is carried out on a voluntary basis by the committee.
Objectives and Attivitie5
Charitable Purpose$
To promote the well-being of the ￿mMUniry and the Inhabr(ants of the island of Egilsay and its
environs by the provision of recrean.onal facilities to allow the organisaion to assist in or to
establish. maintain. manage and develop a community centre and associated facilities for activities
promoted by the Association to further the health and wellbeing of the whole cornmunily, from
children to the elderty including disabled and people suffering Irom mental heatth issue5 through the
provision of sports. music. drama and arry other recreational activity to further advance community
wellbeing.
Activltles
Our activities are primarily based around retaining a community facilityfoT the benefit of all
resident5 and visitors to Eeilsay. This includes..
Repairs. cleaning, maintenance and decoration of the communlry bullolng.
Liaising with Orkney Islands Counol for repairs to the fabric of the building and the main
utilitie5 which remain the ￿spOnsIbl11ty of Orkney Islands Council underthe cur￿nt lease.
• Taking re5ponsibiiity for the comrr,unity turbine it5 mointenance and repair and managing
the revenue created through the FITS payment scheme.
Provision of èquipment for the purpose of leisure and recreational activities.
Holding communty social events.
Partnership workin8 With other or8anisations to arrange events and enhance facilthes on
E8i15ay.
Ensuring approprote insurance and I￿enCeS are in pl&e.
Holding committee meetings asappropriate and the AGM.
Achievements and Performance
A new committee assumec responsibility in December 2023 and vie '.vere JeligFted to welcorne ihe
Since then, the new committee ha5 focused Its efforts on rei'italising the sense of community on
Egilsay by repurposing the community centre to better serve the needs of resident5. As part of this
effort, we reintroduced some items of recreati)nal eouipment Itable tenni4 and pool tablel to
provide more options for residents and Msitors to use of the community centre.
A key component of this year's work plan has been artivety organising social gatherings ané aCtI￿tieS
to facilitate opportunities for residents to meet and to tsn¢ourage use of the community centre. Oui
SOC121 evensngs are open to all residents, visitors and RSPB volunteers and are free to attend. The
events 'Nere initially held [nO￿thty, moving to a weekly schedule during tht wntèr months. This
programme of activities extends our mission to advance the health and wellbeing of the whole
community, trom children to the elderly including disabled and peDple <uflering from mental health
issues through the provision of sport5, music, drama, games and any other recreational actNity that
advances community wellbeing.

Importantly, these social events help to reduce isolation and provide a friendly Space for residents to
meet. This year's event calendar has featU￿d catering by residents, craft demonstrations and talks.
We have continued to maintain the communty centfe as a clean and inviting space for residents and
visitors alike. In the new year of 2024. we reduced costs by moving to a volunteer-led cleaning
roster. We also reduced costs on grass tutting in the summer of 2024 by collaborating with Egi15ay's
RSPB warden on the creation of a low-maintenBnce wildflower meadow and seatirsg area in the
grassed area at the front of the community centre. New displays, sFgnage and a lockable dofiatFon
box have also been introduced at the community centre for the benefit of visitors.
This year the Rousay, Egilsay & Wyre Development Trvst IREWDTI kindly provided a computer and
printer workstation for use by residents and vi5itor5. The computer is now installed in the lounge of
the community centre.
The new board worked at establishing contact with OIC and SLF to enable progress towards the
acqui51tion of the Egilsay School and Schoolhouse site.
This report is focussed on actNities since the new board was elette(l in December 2023. Due to a
complicated transitional process, it has not been possible to provide a comprehensive report on the
full year of attivities. Community consultations regarding the acquisition of the community hall and
school house were held in June and September 2023 by the previous ECA board.
Community Facilities
Hire Rates for the Hall-these remain unchanged and are as follows:
The Main Hall (groups up to approx. 40 people) £25 per hour
The Classroom Igroups up to approx 12 people) £15 per hour
The Main Hall and Classroom together £30 per hour
It was also decided that the￿ would be no hall hi￿ charge for non-commercial tommunity events
that are open to all islanders. regardless of which i51ander organised it or how many islanders choose
to attend.
Repairs
No major repairs have taken place at the community hall between December 2023 and May 2024.
Due to a full change in the board. we have been unable to confimi about any work done between
June 2023 and November2023.
Cleaning
Since January 2024 the hall is checked and cleaned by volunteers and stocks of consumables and
cleaning materials are purthased as required.
Financial Review
Payments to individuals (including charity trustees and connected persons)
As part of our application to become a charity the ECA informed OSCR that EC4 intended to pay
nominal amounts to inhabitants of Egilsay for work undertaken at the community facility on the
Associations behalf. It was agreed that it was important to get work done by the community for the
ommunity avoiding the high costs of importing labour from mainland Orkney. It was agreed at the
AGM 17 July 2012 that to eomplement the voluntary work already undertaken nominal payments for
small jobs on an ad-hoc basis was acceptable on the following grounds. Work 15 undertaken on
behalf of the community and for which the association is responsible. E.g. Grass cuttin& decorating

and maintenance, cleaniw book-keepinpjaccounts and ad-hoc requirements decided and agreed by
the committee. Work can be carried out on a self-employed basis payable on invoices received.
However, the new board has aimed to reduce the amount of this spend and increase the level of
volunteering to reduce expense5 for the charity-

Bookkeeping has been carried out by the treasurer and submitted to the approved accountant.
Foubister and Bain have provided pro bono support for the 2023124 accounts and produced the
independent examiners report.
All monies paid will be recorded in the Egilsay Community Association accounts. Any paid work will
be minuted and a summary presented in the Trustees Annual Report and at each AGM.

The trustee's wlicy is to retain sufficient fvnds to cover its leasehold responsibilttre5 to Orkney
Islands Council such as ad hoc maintenance, internal repairs and decoration and ongoing liabilities
such as turbine maintenance. insurance, licences. telephone and broadbaid and the annual fee for
the Ot*ney Communities website and irKlependent examination of accounts_ The trustees also wrsh
to retain sufficient funds to repair or replace equipment owned by the association. Around £5C4)0
held as a reserve is thought to be a ￿alIStiC amount to cover this.
Plans for future perlods
The main focus going forward is for trustees to rnaintain and develop the %cility for the benefit of
the community and they will actively seek suggestions for revitalising and rejuvenating the
communty facility 35 Part of community engagement for the second phase of the Scottish Land Fund
application. We will continue to consult with OIC. VAO. SLF and other parties to devek)p this project
through the comirkg year.

## **1dependent Examiner's Report to the Trustees of Egilsay Community Association SCIO.** 

I report on the accounts of the charity for the year ended 31 May 2024. 

## **Respective responsibilities of trustees and examiner** 

The charity's trustees are responsible for the preparation of the accounts in accordance with the tenns of the Charities and Trustee Investment (Scotland) Act 2005 and the Charities Accounts (Scotland) Regulations 2006. The Charity trustees consider that the audit requirement of Regulation l 0(l )(d) of the Accounts Regulations does not apply. It is my responsibility to examine the accounts as required under section 44(1)(c) of the Act and to state whether particular matters have come to my attention. 

## **Basis of independent examiner's statement** 

My examination is carried out in accordance with Regulation 11 of the Charities Accounts (Scotland) Regulations 2006. An examination includes a review of the accounts records kept by the charity and a comparison of the accounts presented with those records. It also includes consideration of any unusual items or disclosures in the accounts, and seeks explanations for the trustees concerning any such matters. The procedures undertaken do not provide all the evidence that would be required in an audit, and consequently I do not express an audit opinion on the view given by the accounts. 

## **Independent examiners statement** 

In the course ofmy examination, no matter has come to my attention. 

- l. Which gives me rea.ronable cause to believe that in any material respect the requirements: 

   - to keep accounting records in accordance with Section 44(l)(a) of the 2005 Act and Regulation 4 of the 2006 Accounts Regulations, and 

   - to prepare accounts which accord with the accounting records and comply with Regulation 9 of the 2006 Accounts Regulations 

have not been met, or 

2.  to which, in my opinion, attention should be drawn in order to enable a proper understanding of the accounts to be reached.
