Status of Charity and Governing Document
Braes Greenspace – Shieldhill Hillcrest was established by Constitution and incorporated with OSCR as a SCIO on 30 July 2020 (SC050334). The Charity is in the process of being wound up with OSCR.
Objectives and principal activities
The organisation’s main purpose is consistent with furthering the achievement of sustainable development, specifically:

The provision of recreational facilities and the organisation of recreational activities, with the object of improving the conditions of life for the persons for whom the facilities or activities are primarily intended; and

The advancement of citizenship and community development including rural or urban regeneration and the promotion of civic responsibility, volunteering and the voluntary sector.
Trustees and Office Bearers
Management of the Charity remains with the trustees. The Office Bearers and Trustees who served until the date of this report are:

Appointment, induction and training of Charity Trustees
The minimum number of Charity Trustees is 3 and the maximum number is 12. Of these:
-
Up to 7 can be elected by the ordinary members of the Charity, and must always make up a majority of the Board);

Up to 2 can be appointed by Shieldhill and California Community Council; and
-
Up to 3 can be co-opted to ensure a spread of skills and experience on the Board.
One third of all Trustees shall retire from office each year and are eligible for re-election for a further term. Trustees can serve two consecutive terms in office but must step down for at least one year before being eligible to serve for a further term. A person is eligible for appointment to the Board if they support the charitable purposes of the organisation and are proposed by two members.
Shieldhill and California Community Council may appoint or remove its appointed trustees at any time by written notice. New trustees are inducted and trained by the existing Trustees to ensure awareness and understanding of their responsibilities and of the structure, finances and plans of the Charity.
Achievements and performance
As reported last year, the Charity is in the process of being wound up.
We reported last year that BG-SH has seen membership fall away to the point that the three remaining Trustees were the only members. We tried to secure new membership, a management committee and full complement of Trustees to take forward the recommendations/proposals and ensure BG-SH is viable going forward, but unfortunately, the lack of response has meant Trustees reluctantly made the decision to close the charity.

Having made this difficult decision BG-SH obtained permission from Constantine Wind Energy to transfer the remaining Shieldhill and Californian Future Generation award to Shieldhill Primary School to benefit village youth. They also gave permission to use £200 of the residual award to partly cover the Independent Examiners fee.
BG-SH have applied to wind up the charity and await confirmation from OSCR that this can now be completed.
Financial review
The financial statements for the period are set out on pages 4 to 5. The Receipts and Payments Account on page 4 reflects a deficit of £3,875 (2022: deficit of £3,875).
Reserves
It is the policy of the Charity not to hold a fixed level of reserves. Services are only contracted for when the Charity holds sufficient funds to meet those costs. Total reserves amounted to nil.

I report on the accounts of the charity for the year ended 31 December 2023 which are set out on pages 4 to 5.
Respective responsibilities of Trustees and Examiner
The charity’s trustees are responsible for the preparation of the accounts in accordance with the terms of the Charities and Trustee Investment (Scotland) Act 2005 and the Charities Accounts (Scotland) Regulations 2006 (as amended). The charity trustees consider that the audit requirement of Regulation 10(1)(d) of the Accounts Regulations does not apply. It is my responsibility to examine the accounts as required under section 44(1)(c) of the Act and to state whether particular matters have come to my attention.
Basis of Independent Examiner’s statement
My examination is carried out in accordance with Regulation 11 of the Charities Accounts (Scotland) Regulations 2006 (as amended). An examination includes a review of the accounting records kept by the charity and a comparison of the accounts presented with those records. It also includes consideration of any unusual items or disclosures in the accounts, and seeks explanations from the trustees concerning such matters. The procedures undertaken do not provide all the evidence that would be required in an audit, and consequently I do not express an audit opinion on the view given by the accounts.
Independent Examiner’s Statement
In the course of my examination, no matter has come to my attention

which gives me reasonable cause to believe that in any material respect the requirements:

to keep accounting records in accordance with Section 44(1)(a) of the 2005 Act and Regulation 4 of the 2006 Accounts Regulations (as amended), and
-
to prepare accounts which accord with the accounting records and comply with Regulation 9 of the 2006 Accounts Regulations (as amended)
have not been met, or
- to which, in my opinion, attention should be drawn in order to enable a proper understanding of the accounts to be reached.
