Objectives and activities
4 The organisation’s purposes are: The objects of the Trust shall be to promote and secure by charitable means but not otherwise the following:
4.1 To assist where practically possible in the restoration, maintenance and the management of these buildings and the surrounding landscape and watercourses.
4.2 To stimulating public interest and civic pride in saving the Hamilton Mausoleum, Keepers Lodge, and surrounding landscape through; publication and promotion within local and national newspapers; organising volunteer groups to tackle physical and theoretical improvements to the buildings and landscape; assisting the development of educational programmes for all age groups; developing and delivering a dedicated communication platforms via website and social media; improving the interpretation of the site via exhibitions, lectures, competitions, improved signage, and pamphlets
4.3 To provide assistance to any public museum or public-owned collection of antiques relating to the history of the Hamilton Mausoleum and Keeper’s Lodge.
4.4 To assist charitable and cultural activities within and around the Hamilton Mausoleum and Keeper’s Lodge for the benefit of the local community and visitors alike.

Structure, governance and management

1 The structure of the organisation consists of the BOARD - who hold regular meetings, and generally control the activities of the organisation; for example, the board is responsible for monitoring and controlling the financial position of the organisation.

2 The board also appoints charity trustees to fill vacancies, and the people serving on the board (in their capacity as members of the organisation - see clauses 3 and 5) have power to make changes to the constitution itself.

3 The people serving on the board are referred to in this constitution as CHARITY TRUSTEES - and they are also the MEMBERS of the organisation for the purposes of the Charities and Trustee Investment (Scotland) Act 2005.

4 Under the provisions of this constitution, no-one can be a member unless they are also a charity trustee of the organisation.

5 The Charities and Trustee Investment (Scotland) Act 2005 requires certain decisions to be taken by the charity trustees in their capacity as members of the organisation.
Trustee recruitment and appointment

6 The board may at any time appoint any person to be a charity trustee - by way of a resolution passed by majority vote at a board meeting.

7 At the conclusion of the first AGM, one third (to the nearest round number) of the charity trustees shall retire from office; the question of which of them is to retire shall be determined by some random method.

8 At the conclusion of each AGM (other than the first)
-
8.1 any charity trustees appointed during the period since the preceding AGM (but excluding those re-appointed under clause 10 during that period) shall retire from office;
-
8.2 out of the remaining charity trustees, one third (to the nearest round number) shall retire from office.

9 The charity trustees to retire under paragraph 20.2 shall be those who have been longest in office since they were last appointed or re-appointed; as between persons who were last appointed/re-appointed on the same date, the question of which of them is to retire shall be determined by some random method.

10 A charity trustee who retires from office under clause 7 or 8 at the conclusion of an AGM shall be eligible for re-appointment under clause 6 at the next board meeting.

11 A charity trustee vacating office at the conclusion of an AGM will be deemed to have been re-elected at the board meeting which next follows unless:
-
11.1 they advise the board that they do not wish to be re-appointed; or
-
11.2 a resolution for the re-appointment of that charity trustee was put to the board meeting and was not carried.
Termination of office

12 A charity trustee will automatically cease to hold office if: -
-
12.1 they become disqualified from being a charity trustee under the Charities and Trustee Investment (Scotland) Act 2005;
-
12.2 they become incapable for medical reasons of carrying out their duties as a charity trustee - but only if that has continued (or is expected to continue) for a period of more than six months;
-
12.3 they become an employee of the organisation;
-
12.4 they give the organisation a notice of resignation, signed by them;
-
12.5 they are absent (without good reason, in the opinion of the board) from more than three consecutive meetings of the board - but only if the board resolves to remove them from office;
-
12.6 they are removed from office by resolution of the board on the grounds that they are considered to have committed a material breach of the code of conduct for charity trustees (as referred to in clause Error! Reference source not found. );

12.7 they are removed from office by resolution of the board on the grounds that they are considered to have been in serious or persistent breach of their duties under section 66(1) or (2) of the Charities and Trustee Investment (Scotland) Act 2005; or
-
13 A resolution under paragraph 12.6 or 12.7 shall be valid only if: -
-
13.1 the charity trustee who is the subject of the resolution is given reasonable prior written notice of the grounds upon which the resolution for their removal is to be proposed;
-
13.2 the charity trustee concerned is given the opportunity to address the meeting at which the resolution is proposed, prior to the resolution being put to the vote; and

- 13.3 at least two thirds (to the nearest round number) of the charity trustees then in office vote in favour of the resolution.

Achievements and performance
The Trust successfully campaigned for South Lanarkshire Council to commit urgent repair funds for the Mausoleum roof.
The Trust successfully held an exhibition of the international design competition at the Lower Parks Museum looking for proposals to reinvigorate the wider site and adjacent Keepers Lodge Building.
The Trust undertook a bat survey.
The Trust undertook a survey of all trees and geo tagged all significant species.
The Trust has built a working relationship with the South Lanarkshire Leisure Trust and the Park Rangers.

To date the Trust has managed to progress its aims without the immediate need to gain or spend any cash. To be clear there has been no financial activity as yet with this newly formed Trust.

Future plans
Gain Park Rangers permission to hold a community clear out of the site.
Seek to enter a memorandum of understanding with South Lanarkshire Council that our shared goal is to find a solution to save the Keeper’s Lodge.
Work to develop a materplan for the wider site.
