## **Structure, Governance and Management** 

## **Constitution** 

The charity is a Scottish Charitable Incorporated Organisation (SCIO).  It was registered on 20th May 2020.  Our governing document is its constitution which was approved by the Scottish Charitable Regulator (OSCR), as effective from 20 May 2020.  It has a single tier structure and as such the trustees are the members of the charity. 

## **Appointment of trustees** 

The board may at any time appoint any person to be a charity trustee - by way of a resolution passed by majority vote at a board meeting.  There must be a minimum of three and a maximum of five trustees.

## **Objectives and Activities** 

## **Charitable purposes** 

The organisation’s purposes are: 

The advancement of environmental protection and improvement for public benefit by: 

- Promoting sustainable use of material goods and resources through repair, reuse, reclamation, recycling, use of recycled products and use of surplus and leftover materials. 

- Reducing the carbon emissions linked to production and consumption by encouraging reuse and reduction of consumption 

The advancement of education of the public about all aspects of waste generation, waste management, repair, re-use, and recycling by, for example: 

- Increasing the awareness of the public’s knowledge and understanding about aspects of waste management, repair, reuse, and recycling by: 

   - ✓ Supporting skills sharing, development and training 

   - ✓ Working in partnership to develop repair and reuse services 

- Organising workshops to educate people in repair and upcycling to divert them from landfill and introduce sustainable behaviour back into society. 

- Organising workshops to educate and improve skills in making re-usable items to replace single-use items. 

- Bringing the community together through the sharing of skills and knowledge and encouraging the sharing of intergenerational knowledge and skills. 

## **Activities** 

Despite the significant impact of Covid during the year (See detail in Achievements and performance below) a successful pilot woodwork workshop was completed over a six-week period. It was facilitated by a volunteer trainer and attended by two trustees and two members of the local community. The feedback received helped development of proposed workshops for 2022. 

## **Achievements and Performance** 

During the period 20 May 2020 to 31 May 2021, Covid had a significant impact on the startup and performance of our new charity.  We did not receive notification of registered status until late August 2020.  In September 2020 the charity applied for a bank account, at which time banks were estimating a set up time of 3 months due to their own Covid challenges.  A bank account was eventually opened in September 2021.  Without a bank account, the charity was unable to apply for any funding during its first year. 

In the latter half of 2020, as lockdown restrictions eased, we held a successful pilot woodwork workshop. During lookdowns the trustees focused on the setting up of the charity website and social media accounts and network building. 

## **Plans for future period** 

The trustees intend to continue to develop workshops and projects, secure funding and fundraise. Securing premises and recruitment of staff are a priority in order to kickstart projects and engage local community.

## **Financial review** 

The implications of Covid caused delays in opening a bank account for the charity.  As a result, no grant applications were able to be submitted, and no fundraising was carried out. 

## **Reserves policy** 

A reserves policy will be agreed by Trustees by next AGM (2022). 

## **Donated facilities and services** 

The charity has been supported by local company Charleston Engineering and Training who have provided workshop space and use of tools FOC to enable the charity to carry out a pilot workshop. They also provide office space on an ad hoc basis FOC.
