The trustees present their report with the financial statements of the charity for the year ended 31 August 2025. The trustees have adopted the provisions of Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland (FRS 102) (effective | January 2019).

OBJECTIVES AND ACTIVITIES

Objectives and aims

The organisation's purposes are to promote solely through pursuing charitable objectives the general good of the community represented by Foveran Community Council, Aberdeenshire, and its environs and, without prejudice to the foregoing generality, to assist the work of statutory authorities and voluntary organisations engaged in advancing education, the provision of recreational facilities, the organisation of recreational activities, and the conservation of the cultural, historic and natural heritage of the area with the object of improving the conditions ef life for the persons for whom the facilities or activities are primarily intended furthering good health outcomes. and recreation.

ACHIEVEMENTS AND PERFORMANCE

Charitable activities

Artist in Residence The Trust grant aidedFs a wildlife artist, to undertake a year’s artist in residence to paint the wildlife of the Ythan estuary. The residency will culminate in an exhibition of 16 ofJJ paintings at an exhibition in Newburgh Village Hail from 21-23 November 2025. In addition to assisting with meeting the cost of art materials, the grant covers the cost of bus transport.

Newburgh Seal Viewing Experience Report

The popularity of the Newburgh Seal Viewing Experience Project continues to grow with some 50,000 vehicle movements to and from the Newburgh Beach Road Car Park. In addition to a growing number of cars using Beach Road, there has been an increase in pedestrians walking along Beach Road from the A975 Aberdeen to Cruden Bay road. The increase is mostly due to visitors using public bus transport from Aberdeen and those coming from or going to the Newburgh Inn.

The Trust was awarded a grant from Aberdeenshire Council Local Action Group to undertake an outline design of a combined cycleway and footpath from the Newburgh [nn to the Beach Road Car Park. This was completed in the autumn of 2024 and the Trust is presently discussing svith landowners consent for construction of the path across their fand. The aim of the project is to provide a safe active travel route for pedestrians and cyclists to and from the A975 road fo the Beach Road Car Park.

James McBey Project

The Trust, in conjunction with the James McBey Project Team, undertook detailed planning of an exhibition of paintings of the artist James McBey whose childhood home was in Newburgh. The emphasis is on the international paintings and etchings to include his famous painting, 'Zorah: Moroccan Girl Sleeping’. The exhibition took place from 19-21 September and some 300 people viewed the paintings.

Newburgh Lifeboat Building

The largest and most complex project for 2024/25 was undertaking a feasibility study on the restoration of the Newburgh Lifeboat building (buiit in 1877) and repurposing it as a maritime museum telling the story of the oldest lifeboat station in Scotland {established in 1828) and the once busy port of Newburgh in the nineteenth and the first half of the twentieth century. The Trust were successful in obtaining a grant from the Architectural Heritage Fund to support a structural survey, a flood Management/mitigation plan and an outline design and costing for the restoration. In summary the feasibility study found that the resloration is feasible and the next stage is to apply for a conservation grant from the National Lottery Heritage Fund (NLHF) to undertake a conservation plan, a detailed costed design for restoration and fit-out as a maritime museum and a business plan for its management. The detailed design will be included in a planning application for consent to restore and repurpose the life building as a maritime museum. The final phase of works will involved a further grant application to the NLHF for a delivery grant to undertake the restoration and fit out. The timeline for completion is late 2027.

Running in paralle] with the feasibility study the Trust is negotiating a long term lease on the lifeboat building with the owners, the Udny Trust. A letter of support was received from the owners as part of the grant application to the Architectural Fund, and given that restoration is feasible, the Trust is currently negotiating the terms and conditions of the 40 year lease with the owners. This fs required to be in place before a development grant from the NLHF can be awarded.

Governance : Since the 2023/24 annual report there have been 3 meetings of the Trust to include its annual general meeting on 29 November, an ordinary meeting on the same date. and one further ordinary meeting on 7 January 2025. There has been no changes in the governance of the Trust with all 5 trustees continuing in office together with the respective roles of chairperson, secretary and treasurer.

FINANCIAL REVIEW

Reserves policy

At present the Trust does not have a policy on reserves but one will be put in place as part of the Trust's first 5 year forward strategy and operational plan 2020-2025.

STRUCTURE, GOVERNANCE AND MANAGEMENT

Governing document

The charity is controlled by its governing document, a deed of trust and constitutes a Scottish Charitable Incorporated Organisation (SCIO).

Recruitment and appointment of new trustees In accordance with the charity's deed of trust a maximum of 5 and minimum of 3 trustees may be appointed at any given time. A person shall not be eligible for cicction/appointment to the board of trustees unless they are a member of the organisation; a person appointed to the board on the basis that they have specialist experience and/or skills which could be of assistance to the board need not, however, be a member ofthe organisation.

At each AGM. the members may elect any member to be a charity trustee. The board may at any time appoint any member to be a charity trustee. At cach AGM, all of the charity trustees elected/appointed shall retire from office - but shall then be eligible for re-election. A charity trustee retiring at an AGM wil! be deemed to have been re-elected unless they advise the board prior to the conclusion of the AGM that they do not wish to be re-appointed as a charity trustee; or an election process was held at the AGM and they were not among those elected/re-elected through that process; or a resolution for the re-election of[that][charity][trustee][was][put] to the AGM and was not carried.

The charity’s trustees are responsibie for the preparation of the accounts in accordance with the terms of the Charities and Trustee Investment (Scotiand} Act 2605 and the Charities Accounis (Scotland) Regulations 2006 (as amended). The charity’s trustees consider that the audit requirement of Regulation 10(1){a) to (c) of the Accounts Regulations does not apply. It is my responsibility to examine the accounts as required under Section 44(1)(c) of the Act and to state whether particular matters have come to my attention. Basis of the independent examiner's report My examination was carried out in accordance with Regulation |] of the Charities Accounts (Scotland) Regulations 2006. An examination includes a review of the accounting records kepf by the charity and a comparison of the accounts presented with those records. It also includes consideration of any unusual items or disclosures in the accounts, and seeking explanations from you as trustees concerning any such matters. 1, ACCOUNTING POLICIES

Basis of preparing the financial statements The financial statements of the charity, which is a public benefit entity under FRS 102, have been prepared in accordance with the Charities SORP (FRS 102} ‘Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard applicable in the UK and Republic of Ireland {(FRS 102) (effective 1 January 2019), Financial Reporting Standard [02 'The Financial Reporting Standard applicable in the UK and Republic of Ireland’ and the Charities and Trustee Investment (Scotland) Act 2005. The financiat statements have been prepared under the historical cost convention.

Income

All income is recognised in the Statement of Financial Activities once the charity has entitlement to the funds, it is probable that the income will be received and the amount can be measured reliably.

Expenditure

Liabilities are recognised as expenditure as soon as there is a legal or constructive obligation committing the charity to that expenditure, it is probable that a transfer of economic benefits will be required in settlement and the amount of the obligation can be measured reliably. Expenditure is accounted for on an accruals basis and has been classified under headings that aggregate all cost related to the category. Where costs cannot be directly attributed to particular headings they have been allocated to activities on a basis consistent with the use of resources,

Tangible fixed assets

Depreciation is provided at the following annual rates in order to write off each asset over its estimated useful life.

The charity is exempt from tax on its charitable activities.

Unrestricted funds can be used in accordance with the charitable objectives at the discretion of the trustees,
