## **Structure, Governance and Management**

## _Governing Document_

Tondra Community Centre was established as a charity on 10th January 2019 and is registered with the Office of the Scottish Regulator Charity No SC048947. The charity is a Scottish Charitable Incorporated Organisation (SCIO) and is governed by its constitution.

## _Key Management Remuneration_

## **Objectives and Activities**

## _Charitable Purposes_

The provision of recreational facilities, or the organisation of recreational activities, with the object of improving the conditions of life for the persons for whom the facilities or activities are primarily intended

## _Significant Activities_

The SCIO owns and manages the Trondra Community Centre. A small resource Centre located in the Queenslie / Wellhouse locality of Easterhouse Glasgow. The Centre was gifted to the SCIO from Jobs and Business Glasgow (J&BG) who held ownership of the building after themselves being gifted the centre from the church of Scotland. The Centre owned by the SCIO provides a base for Glasgow East Alcohol Awareness Project (GEAAP) and Glasgow North East Carers Centre (GNECC). Both organisations have an office base in the centre and deliver services from the building for the benefit of the local community. Both organisations also pay a yearly rent to the SCIO to cover all running costs.

The SCIO has power to do anything which is calculated to further its purposes or is conducive or incidental to doing so. The structure of the SCIO consists of the BOARD - who hold regular meetings, and generally control the activities of the organisation; for example, the board is responsible for monitoring and controlling the financial position of the organisation. The board also appoints charity trustees to fill vacancies, and the people serving on the board have the power to make changes to the constitution itself. Individuals serving on the board are referred to as CHARITY TRUSTEES - and they are also the MEMBERS of the organisation for the purposes of the Charities and Trustee Investment (Scotland) Act 2005. Under the provisions of this constitution, no-one can be a member unless they are also a charity trustee of the organisation. The maximum number of charity trustees is 6, the minimum number of trustees is 4.

## **Respective responsibilities of trustees and examiner:**

The charity’s trustees are responsible for the preparation of the accounts in accordance with the terms of the Charities and Trustee Investment (Scotland) 2005 Act and the Charities Accounts (Scotland) Regulations 2006. The charity trustees consider that the audit requirement of Regulation 10(1) (d) of the Accounts Regulations does not apply. It is my responsibility to examine the accounts as required under section 44(1) (c) of the Act and to state whether particular matters have come to my attention.

## **Basis of Independent Examiner's statement:**

My examination is carried out in accordance with Regulation 11 of the Charities Accounts (Scotland) Regulations 2006. An examination includes a review of the accounting records kept by the charity and a comparison of the accounts presented with those records. It also includes consideration of any unusual items or disclosures in the accounts and seeks explanations from the trustees concerning any such matters. The procedures undertaken do not provide all the evidence that would be required in an audit and, consequently, I do not express an audit opinion on the accounts.

## **Independent Examiner's statement:**

In the course of my examination, no matter has come to my attention:

1. Which gives me reasonable cause to believe that in any material respect the requirements to:

- keep accounting records in accordance with section 44(1) (a) of the 2005 Act and Regulation 4 of the 2006 Accounts Regulations, and

- prepare accounts which accord with the accounting records and comply with Regulation 9 of the 2006 Accounts Regulations

have not been met, or

2. To which, in my opinion, attention should be drawn in order to enable a proper understanding of the accounts to be reached.
