Constitution
The Charity is a Scottish Charitable Incorporated Organisation (SCIO). It was registered in its current legal form on the 31 August 2017.
The structure of the organisation consists of the members who have the right to attend members’ meetings and have important powers under the constitution, in particular, the members appoint people to serve on the board and take decisions on changes to the constitution itself. The Board who hold regular meetings, and generally control the activities of the organisation; for example, the board is responsible for monitoring and controlling the financial position of the organisation.
Appointment of Trustees
The management committee, which normally meets once a month, are the charity’s trustees. Membership of the management committee is open to all aged 16 and over who are residents of the Willowpark and Meadowview estates.
Trustees are elected at the annual general meeting which are held around April. No valid decisions can be taken at any members’ meetings unless a quorum is present. The quorum for a members meeting is 33% members, present in person. Objectives and Activities Charitable Purpose
The organisations purposes are:
The advancement of the environmental protection or improvement by clearing, enhancing, and maintaining the community woodland for the benefit of all residents of Willowpark and Meadowview estates.
The advancement of environmental protection or improvement by ensuring the preservation and conservation of the natural environment and the conservation or protection of indigenous wildlife within this woodland.
The advancement of environmental protection or improvement by enabling members and residents to come together as a community and protect this valuable biodiverse environmental green space.
Activities
Hogganfield Community Trust, "Natures Haven" has been set up to take ownership of a large area of green space which was historically privately owned but which has now to be gifted and transferred to the Meadowview and Willowpark estates, Hogganfield. This is possibly the largest ever transfer of green space currently privately owned but to be gifted to a community. As a trust we will run with a Chairperson, RG, Treasurer, SY and Secretary, SY and trust members who will be invited to join for a notional fee of £1.00 per year. Trust members will live within the Meadowview and Willowpark estates.
This land over the past 20 years has become a beautiful little nature reserve in its own right important for the conservation of waterholes, bats and other indigenous wildlife. It now provides homes for over 40 species of bird, watervoles, stoat, deer, badger, fox, bats, many smaller mammals and a multitude of insects. It also has habitats for many wildflowers too as well as being mostly a peat bog which in itself is an important biodiverse environment for wildlife.
Over the years our Community at times as had housing applications for this land and fearing for the wildlife we as a community stood up for that wildlife and opposed any application.
We were then approached by the current landowner who offered the land to us as part of another housing application for a piece of this land which was confirmed not to be as beneficial to the environmental biodiversity of the area. We as a community decided this was a great opportunity to secure the largest piece of this green belt land, around 31acres, and to ensure it remained as a nature reserve for our Community and for future generations to come. The entire surrounding area has and is still undergoing huge housing development with much of the surrounding greenbelt and farmland being turned over to housing which in itself made it more important we secured this land to give some wildlife a wildlife corridor or their own little Haven.
The area over the years has been largely untouched so our intentions as a Community is to clean the area of debris, clear the watercourses for the benefit of the watervoles and other wildlife, thin out the trees as there are many dead, dying or fallen trees and then maintain this area for the wildlife alone. This in turn ensures the preservation and enhancement of the natural habitat for indigenous wildlife.
Now in our eighth year 31st August 2024 to 31st August 2025 and in April 2025 we officially received the land and we now have finally taken ownership of the land from the current owner, we have the legal Disposition but the title deeds to the land may take up to three to five years to receive due to backlogs at the Land Registry Scotland.
Financial Review
Finances within the charity will come via a five year maintenance fund of £30k which we received along with transfer of the title deeds/disposition of the land to the charity from the current owner. Any future funding for any required work within the nature reserve will be raised by the trustees and members of the trust and funding requests through SCVO.

Reserves policy
The trustees policy will be to retain enough of any maintenance fund to accommodate the costs of any intended work. This will be reviewed and monitored once the land and maintenance fund have been received and is need to pay for works required. |
Plans for the Future
Finally now in our eighth year 31st August 2024 to 31st August 2025 we received ownership of the land in April 2025 from the current owner, our Lawyers are currently awaiting the title deeds to the land due to a long back log of work within registers of Scotland but we do have the legal disposition proving ownership for the Trust. Now that the land legally belongs to our Community we will of course engage with other relevant organisations, nature groups to promote pamernie working aimed at benefitting the area but most of any required work will be completed by our Trust members under the guidance of individuals |with experience in this field.
The trust will be managed in accordance with current legislation with regard to holding the status of being a Scottish Charitable Incorporated Organisation all of which is detailed in our Constitution.
We will have too source funding for any jobs deemed to benefit the area for the wildlife if we do not have the finances available.
Our vision is to encourage Community spirit within our local area, bring people together to realise this valuable resource on their doorstep, to become active in any of the work required and to feel the well documented benefits to both mental and physical wellbeing of enjoying the natural world. And to encourage a sense of pride within the Community that they are conserving a valuable environmental and biodiverse natural habitat for the indigenous wildlife.
With regards to public benefit it will offer good air quality because of the woodland in these days of toxic air pollution within our towns and cities. It will encourage community cohesion, a place to walk dogs responsibly, bird watch or wildlife watch. It will offer a beautiful tranquil space for walking enthusiasts or just a place for individuals who are in need of quiet contemplation. Overall giving community and public a better quality of life within a safe natural environment.

1. Accounts for Year Ended 31/08/25
Now that we have ownership of the land the Accounts have been prepared showing receipt of the £30k maintenance budget in accordance with the requirements of the S75 legal agreement. It also shows some funding received which has gone some way to paying our legal fees although we still have not received Enough funding to pay the remaining balance of £1,590.60 but are hopeful some of our funding requests may still come to fruition 2025/26.
2. Basis of Accounting
These accounts have been prepared on the receipts and payments basis in accordance with the Charities & Trustee Investment (Scotland) Act 2005 and the Charities Accounts (Scotland ) Regulations 2006 (as amended).
- Nature and Purpose of Funds Unrestricted funds are those that may be used at the discretion of the trustees in furtherance of the objectives of the charity. The Trustees maintain a single unrestricted fund for the day-to-day running of the charity.
Restricted funds may only be used for specific purposes. Restrictions arise when specified by any donor or when funds are raised for specific projects or purposes.

Independent Examiners report to The trustees of Natures Haven
Hogganfield
| report on the accounts of the charity for the year end 31*t August 2025, which are set out on pages one to seven.
Respective responsibilities of the trustee’s examiner.
The charities trustees are responsible for the preparation of the accounts in accordance with the terms of the Charities and Trustees’ investment (Scotland) Act 2005 and the charities accounts Scotland Regulations 2006. The charity trustees consider that the audit requirement of regulation 10 (1) (D) of the 2006 Account regulations does not apply. It is my responsibility to examine the accounts as required under section 44 (1) © the act to state whether matters have come to my attention.
Basis of the independent examiners statement
My examination is carried out in accordance with Regulation 11 of the 2006 Accounts Regulation. An examination includes a review of the accounting records kept by the charity and a comparison or the accounts presented with those records. It also includes consideration of any unusual items or disclosures in the accounts and seeks explanations from the trustees concerning such matters. The procedures undertaken do not provide all the evidence that would require an audit and consequently | do not express an audit option on the view given by the accounts,
It was also noted that the £30.000 credit balance, obtained when the Land was transferred from JB Properties.

| just wanted to include further explanation to our trusts current position for 2024-20285.
The Trust finally received ownership of the land in April 2025 along with the agreed Maintenance fund of £30k legally requested through the S75 agreement, this fund is for and can only be used for maintenance on the land once the developer has carried out his obligations with the habitat and woodland plans imposed on him by Glasgow City Council planning dept as part of his housing development application.
The developer had agreed to pay the Trust legal fees as we had no funds, but then withdrew this offer restricting the amount he would pay to £3k, the Trusts legal fees came in at £6;847.20, he paid £3k leaving the Trust with £3,847.20 to find, through funding | was able to get 2,260.00 which we have paid but which has left us with an outstanding balance of £1,587.20, which has risen to £1,590.80 as the lawyers are now adding a small admin fee as it is an outstanding balance.
We do currently have five outstanding funding requests in with various funding trusts to try and get the funds to cover the trusts legal fees but so far we have had no luck so the Trustees and Committee will meet in October to decide how we address this whether we put the money in ourselves as some sort of loan to our charity in the hope we get funding for the charities administration charges in future so they can get their money back? All costs incurred by the charity in the last eight years has been paid by the Chairperson as we have no funds; so we do have receipts for costs incurred.
This has been a long process trying to secure this land for the community and for wildlife as it is one of the only places left for wildlife in this area due to massive infrastructure and housing developments within this and the surrounding area for miles. We now have to allow the developer the five year time slot he received to complete the woodland and habitat plans before we as a community can gain true access to the land and start realising our dream to turn this area into Natures Haven.
Hope this helps to cover the reasons why our trust has yet to fulfil its ambition.
