The Trustees have pleasure in presenting their report for the year to 31st December 2024

Reference and administrative details are shown in the schedule of members of the board and professional advisers on page 1 of the financial statement.

The Trustees who served the charity during the year were as follows: - 


## **Structure Governance and Management** 

## **Governing Document** 

Ayr Art Circle is an unincorporated charity governed by its constitution and is registered as a charity under number SC047658. 

## **Appointment of Trustees** 

The Trustees shall be entitled by way of resolution passed by a majority vote at a meeting of the Trustees to appoint any individual as a Trustee. 

## **Trustee Induction and Training** 

New members undergo induction and training to brief them on their legal obligations under charity law, the contents of the constitution, the leadership team and decision making process, the business plan and the recent financial performance of the organisation. 

## **Organisation** 

The Trustees administer the charity.   A meeting of the Trustees is held at least once each year with any Trustee being in a position to call a meeting in addition to this. 

No Trustee may serve as an employee of the charity nor be entitled to any remuneration but trustees may be reimbursed for expenses reasonably incurred by them whilst carrying out their duties.

## **Risk Management** 

The Trustees have a risk management strategy which comprises: - 

- An annual review of the risks the charity may face. 

- The establishment of systems and procedures to mitigate those risks and 

- The implementation of procedures designed to minimise any potential impact on 

   - the charity should those risks materialise. 

## **Objectives and Activities** 

The organisations’s purposes are the advancement of the arts. 

## **Achievement and Performance** 

**T** he club was again able to arrange a full syllabus this year. 

**Crit Nights** - The club arranged five crit nights.   It is one of the standing rules in the club that a painting must receive critical appraisal before it may be exhibited in a club exhibition. 

**Professional Critique -** A professional critique was arranged when a professional artist is asked to critique members paintings. 

**Demonstrations -** Four professional demonstrations were held during the year.   At such meetings a professional artist is invited to demonstrate his/her personal skills in front of an audience of members. 

**Life Classes -** Four Model classes were held during the year in the Studio at the Alloway Church Halls.   At such classes a model is hired to hold a pose for the members to draw or paint with a professional tutor offering advice and assistance. 

**Painting en plein aire** -   Plans to paint outside at Dumfies House had to be cancelled owing to a lack of interest. 

**Exhibitions -** Our hospital exhibition this year ran throughout May and June.   The club hung 73 paintings and the hospital was able to sell 17 paintings yielding £1600 for our artists and nearly £530 for the NHS.  Additionally we were able to operate an exhibition at Ayr’s Cutty Sark Centre where the club hung over 100 -paintings and sold 12 paintings. 

**Club Outing** - Our club outing, planned for Castle Kennedy had to be cancelled owing to lack of support.

Club Supper- Every year the club arranges a supper at a local hotel where members sociallse
away from the distractions of canvas and pant. This year the supper was held a the Chestnuts
Hotel in November
Studio
The club owns a small studio in Main Street, Ayr where members are free at any time to go and
paint. On regLtlar evenings during the week small groups of members assemble to paint and
chat and help each other. In Ihe Aututrin, member5 were invitsj lo aflernoon painting to
th@m8 on a Thursday afternoon.
Web Site - The club 0￿rateS a web site which has been completely revised Ihis year. We also
have a facthok pa￿ and these two portals result in a number ol new members coming to the
club.
Membership - The club currently has some 47 memlxrs and rtEmbership has deGlined
throughout the year. there has als0 been a noticable Teduction in attendances.
Annual General Meeting.- The club held it's Annual General Meeting in February as usual. At
this meeling, members are updated on the clubs financial status and receive the syllabus for the
new year as well as paying their membership fees. mem￿￿rS are also given the oprK)rtunity to
vote on whether Trustees sholsld remain in place.
Plan for 2025- The trustees have again organi￿￿ a full Spring Glub syllabus which will
commence after this years AGM.
Financial Review
The Receipts and Payments Account of Activities for the period shows total income of £3,000
and total expenditure of 2,936 which resulted in a surplus of £64. The club had a year end
bank balance of £3.86Q.
Plans tor Future Perlods
The trustees plan to manage the charity throughout the forthcoming year.
Rès8rves Policy
The trustee aim to maintain free reserves in unrestricted funds to enable the Gharity to meet its
short term obligations.

consideration of any unusual items or disclosures in the accounts and seeks explanations from
the trustees concemiry any s￿h ffotters. Th8 procedures undertaken do not provide all the
evidence that would be rg4uired in an audit army consequently I do not express an audil opinion
on the view given by the accounts.
