2 STRUCTURE, GOVERNANCE AND MANAGEMENT
Digital Xtra is a recognised Scottish Charitable Incorporated Organisation (SCIO), incorporated on 23 March 2017 and operates under the rules of its constitution.
Trustee recruitment and appointment
The Trustees of the Charity for the purposes of Charity Law are also members of the SCIO’s Board with one member appointed Chair, one appointed Finance Officer, and one appointed Secretary to the Trustees. Due to the nature of the Charity’s objectives, Board members include representatives from both Industry and the Education/Skills sector. The number of Trustees shall be no less than 3 (three) and no more than 9 (nine) at any given time.
Under the SCIO’s current articles of association, at the conclusion of each AGM, any Charity Trustees appointed during the period since the preceding AGM shall retire from office. Out of the remaining Charity Trustees, the 3 (three) longest serving Trustees shall also retire from office. Any Trustee who retires from office at the conclusion of an AGM shall be eligible for re-appointment by majority vote.
Through open recruitment and networking within Industry and the Education/Skills sector, the Charity seeks strong potential candidates to become members of the Board to help guide the Charity’s strategy and use their experience and connections to assist the Charity in achieving its aims. The Board is also particularly keen to maintain an equal gender balance across the Trustees as well as a range of backgrounds and ages.
It is important to the Charity’s relevance and sustainability to maintain industry representation among the Trustees. Business management, marketing, and IT skills are well represented on the Board. These are further enhanced by other members of the Board having extensive experience in the fields of charitable enterprises, support for young people, and education. Trustees are not remunerated.
Charity Management
The Board is committed to ensuring that proper standards of governance operate and has established procedures and policies that are considered appropriate to the nature and size of the Charity. The Board directs the SCIO’s activities in an effective manner through meetings held approximately every two months and monitors performance through timely and relevant reporting procedures. Where it is deemed necessary, the Board can request reports on specific areas outwith the normal reporting regime.
Digital Xtra currently employs one Partnerships & Development Manager whose primary purpose is to promote the Charity to current and potential new partners and supporters from industry and government. Digital Xtra’s partners and supporters provide financial support as well as participating in the Grant Application Evaluation Panel alongside other key stakeholders. The P&D Manager oversees the Charity’s annual grant awards programme, administers all grant payments and reporting, directs Digital Xtra’s marketing and communications strategy, and ensures proper organisational policies and controls are maintained.
During the 2024/25 financial year, the Charity also employed a Community & Grants Officer whose primary purpose was to aid grant recipients as needed and monitor the delivery of supported initiatives. The C&G Officer also facilitated increased engagement between grant recipients and industry as well as assisting the P&D Manager with delivery of the annual grant awards programme, marketing and communications, and various reporting duties.
Most of the Charity’s operations and services are provided through remote channels including staff working and Board meetings with occasional in-person meetings and travel. Other ad hoc administrative and marketing support is provided from companies or individuals on a consultancy, part-time, or in-kind basis when required.
Risk Management
The Charity’s Trustees consider any risks to which Digital Xtra is exposed as part of regular review. Internal risks are minimised with control procedures for all transactions and projects, and by ensuring

appropriate people, policies, and practices are in place. Dual authorisation for all financial transactions is required. The Charity also maintains a secondary bank account to increase overall financial protection provided under the Financial Services Compensation Scheme (FSCS).
The Charity’s Trustees and management undertake regular risk assessments on the delivery of services, the safety of staff and stakeholders, and the financial risk to the Charity. These measures will be annually reviewed by the Trustees to ensure that the Charity can maintain services safely and without financial risk. The most material risk is the availability and access to recurring funding.
3 OBJECTIVES AND ACTIVITIES

Digital Xtra’s goal is for every young person in Scotland to have access to innovative, meaningful, and creative extracurricular computing activities regardless of their gender, background, or where they live

Inspire
Inspire the next generation to understand and innovate with technology, not simply use it, by increasing the provision of high-quality extracurricular digital skills activities and helping young people understand the breadth of career opportunities these skills can provide
Enable
Enable exciting, meaningful digital skills activities for young people across Scotland with a particular focus on groups underrepresented in the digital technologies sector or areas often excluded through lack of resources or local facilities
Engage
Engage industry partners in supported activities, giving industry experts and young people the opportunity to connect in informal and creative settings. Digital Xtra’s partners also contribute expertise as part of the Charity’s Grant Application Evaluation Panel
Main Activities

To raise funds through donations, sponsorship, and grants from private, public, or third sector organisations and then distribute these funds by way of a grant awards programme to eligible organisations who are working to boost interest and skills in computing, AI, and digital technologies amongst young people aged 16 and under in Scotland. Organisations eligible to apply include any UK registered company, registered charity, chartered body, Local Authority, school, college, or university actively involved in the provision of computing science or digital technologies related activities for young people

To enhance the learning and development of Scotland’s young people by supporting innovative, meaningful, and exciting computing, AI, and digital technology related activities which help develop their skills, capabilities, and capacities

To improve diversity and inclusion within the computing science and digital technologies sectors by actively encouraging young people from groups underrepresented in these sectors, especially girls and young women, to participate in computing and technology related activities
4 ACHIEVEMENTS AND PERFORMANCE
The four key objectives for Digital Xtra during the 2024/25 financial year were:
1. Renew previous partnerships while also generating new income
Digital Xtra maintained relationships with most of its private sector partners and supporters during the 2024/25 financial year. Support from the public sector for the Round X grant awards cycle was also reinstated following the 2023/24 financial year which saw large reductions in support across the Scottish third sector due to a £1.5bn budget shortfall within the Scottish Government. Continued supported from industry and the public sector ensured Digital Xtra once again successfully delivered a strong Round X grants cycle while also maintaining a positive income stream heading into future grant cycles.
With the renewal of most partnerships and reinstated support from the public sector, the Board feels the charity has maintained a sufficient level of financial security heading into the 2025/26 financial year. However, uncertainty caused by the reduction in public sector support the previous financial year meant the Charity began exploring other strategies to achieve its charitable aims which would potentially be more sustainable long-term.
2. Secure additional support for Digital Xtra’s new strategy
In addition to securing support for the Round X grant awards, further funding from the Scottish Government was secured for a new strategy which will replace Digital Xtra’s grant awards programme for the foreseeable future following the Round X grants cycle.
Digital Xtra will work with selected delivery partners to develop a national network of community coding hubs. Each hub will support the growth of grassroots coding, AI, and tech activities in their local area by:

providing extracurricular coding and tech activities for the local community
-
offering instruction and guidance for educators and club leaders to develop confidence delivering engaging and meaningful tech activities
-
acting as a lending library with equipment and resources helping other grassroots clubs and organisations diversify and attract new participants
Planning and preparation for this new strategy, known as Code Xtra, will take place throughout the 2025/26 financial year and will be publicly announced in early 2026.
3. Successfully launch a Round X (2025/26) Grant Awards Cycle
On 30 January 2025, Digital Xtra opened applications for the Round X grant awards cycle which was the charity’s tenth grants cycle overall and eighth as a registered charity. Applications closed on 27 March 2025 with 103 applications received from a variety of registered companies, charities, schools, colleges, and community/educational organisations. Applications were assessed by an Evaluation Panel made up of over 40 volunteers from industry and the education/skills sectors using a set scoring and evaluation methodology. Following this application process, 27 initiatives were selected to receive support from Digital Xtra during the ensuing 2025/26 academic year (i.e. from 1 July 2025 to 30 June 2026). The breakdown of grant recipients includes 10x Primary Schools, 10x Secondary Schools, 2x ASN Schools, 2x Educational Organisations, 2x Councils, and 1x College. This breakdown reflects the high percentage of applications from schools; however, the Board was pleased to see the ratio of grant awards for Primary Schools and Secondary Schools was more equal than in previous years.
A sample of Round X (2025/26) grant recipients includes:

a. Annick Primary School in North Ayrshire will engage older learners using Sphero BOLT+ coding robots while younger learners will learn screenless coding using Sphero indi cars. After participants complete the 8-week club, they will achieve the title of ‘Coding Coach’ and help deliver taster sessions, with support from digital teachers, for classes across the school. Older Coding Coaches will also help plan and deliver lunch time clubs for younger learners after the Christmas break.

b. Turriff Academy is a rural secondary school in Aberdeenshire which will explore the real-world application of drone technology, particularly in a rural setting. Students in S1 to S3 will have an opportunity to code and pilot drones, conduct data collection, create digital maps, and perform environmental analysis. They will capture aerial imagery and gather environmental data to track changes in vegetation, litter accumulation, and wildlife presence throughout the year.

c. Dundee & Angus College will host the 2025/26 FIRST LEGO League Challenge regional tournament for Dundee and Angus. Over 200 young people will take part, developing key skills such as problem-solving, design, programming, engineering, and testing. The grant will help cover participation costs for several schools (including three new participant schools), purchase two practice kits, and allow College staff to deliver support sessions for participant schools in preparation.

d. West Lothian Council’s Digital Learning Team will collaborate with three primary schools to offer a Technology and Coding Club for learners in P6-P7 over a six-week period. Participants will work together using LEGO Education SPIKE Prime kits. They will define a problem and success criteria; design, build, and code various solutions; establish testing procedures; and analyse results to improve their solutions. Following this, the DLT will offer training for other teachers in West Lothian.
This is just a selection of the 2025/26 grant recipients to demonstrate the wide range of extracurricular initiatives supported across Scotland. By providing financial and intellectual support while also connecting like-minded schools, organisations, and businesses to share ideas and best practice, including previous and current grant recipients, the Charity continues to develop a strong and diverse

ecosystem of clubs and initiatives that positively engage young people in tech and help inspire the next generation of developers, designers, and digital leaders.
4. Continue to develop and introduce the Charity’s updated branding
The previous branding for Digital Xtra was created in 2017 with the aim of having an identity that portrayed both professionalism, representing the charity’s relationships with industry and government; and playfulness, expressing Digital Xtra’s support for digital tech activities for young people which are both exciting and relevant. Both these elements are still key to Digital Xtra’s identity and are reflected in the Chairty’s brand refresh which began in 2023/24. Ongoing development and introduction of this new identity in the form of new digital and physical assets was continued throughout 2024/25. Included in the brand refresh is the extensive task of designing a new website based on the new look and feel as the current site, which was launched in 2016, and some of its underlying technology will soon reach its end of life.
As part of the brand refresh, the charity’s name was also officially shortened from ‘Digital Xtra Fund’ to simply ‘Digital Xtra’ to reflect the Charity’s new strategy of developing a network community coding hubs versus funding a variety of individual activities. This change was recorded with OSCR on 25 March 2025.
5 FINANCIAL REVIEW
Total income for the period amounted to £214,422 (2024 - £170,918) with the largest contributions provided by the Scottish Government, Baillie Gifford, Blackadders LLP, CGI, Chroma Ventures (4J Studios), Cirrus Logic, Heriot-Watt University, and Skyscanner.
After accruing for charitable activities (see table of grant recipients above), the Charity is showing a surplus of £18,614 (2024 - £20,731) for the year. The information outlined in pages 12 to 17 provides more detail of the charity’s financial position.
Reserve Policy
Aside from retaining a prudent amount in reserve equating to at least three months running costs and redundancy payments to staff, the remainder of the funds are to be spent on short term projects and the Charity has therefore not made provision for an investment policy at this point.
Plans for Future Periods
Quality Plan and Budget (QPB) for 2025/26:
Digital Xtra is in a strong position heading into the 2025/26 financial year as key partnerships continue to be upheld; there is increased recognition of the charity amongst industry, government, other stakeholders, and beneficiaries; and sufficient reserves are maintained. In addition, while the reduction in government funding for the 2023/24 financial year was a setback at the time, this instigated the Board to consider other strategies to achieve the Charity’s aims which has led to new opportunities for the Charity to achieve its charitable aims in 2025/26. The Scottish Government’s decision to once again support Digital Xtra’s grant awards programme for Round X plus award additional support to help develop the new Code Xtra strategy is a testament to the value and importance of Digital Xtra’s work facilitating high-quality, meaningful tech activities for young people.
Nevertheless, the ongoing political uncertainty in Westminster and abroad, as well as the upcoming 2026 Scottish elections, continue to create challenges and unknowns for Digital Xtra and its partners and stakeholders. How this might impact future fundraising efforts or government support is still not clear. However, the increasing focus amongst industry and government to support digital skills - as well as a rising need for young people to be knowledgeable and confident using Machine Learning (ML) and Articificial Intelligence (AI) - speaks to the ongoing and evolving need for Digital Xtra and the initiatives it enables.
The Trustees also made a conscious decision to carry forward a notable Reserves of £110,746, including charitable reserves, to provide additional financial insulation for the future, should it be required. As such, the Charity’s Trustees continue to be optimistic heading into 2024/25.

STATEMENT OF TRUSTEES’ RESPONSIBILITIES
The Trustees are required to prepare Financial Statements for each financial year which give a true and fair view of the charity and of the incoming resources and application of resources of the charity for the year. In preparing these Financial Statements the Trustees are required to:

Select suitable accounting policies and then apply them consistently

Observe the methods and principles in the Charities SORP 2019 (FRS 102)

Make judgements and estimates that are reasonable and prudent

State whether applicable UK Accounting Standards have been followed, subject to any material departures disclosed and explained in the Financial Statements

Prepare the Financial Statements on the going concern basis unless it is inappropriate to presume that the charity will continue in operation.
The Trustees are responsible for keeping proper accounting records which disclose with reasonable accuracy at any time the financial position of the charity and enable them to ensure that the Financial Statements comply with the Charities and Trustee Investment (Scotland) Act 2005 and the Charities Accounts (Scotland) Regulations 2006. They are also responsible for safeguarding the assets of the charity and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities.
This report has been prepared in accordance with the Statement of Recommended Practice – Accounting and Reporting by Charities (January 2019) applicable to charities preparing their accounts in accordance with FRS 102 and in accordance with the special provisions of Part 15 of the Companies Act 2006 relating to small entities.

Respective responsibilities of trustees and examiner
The Charity’s trustees are responsible for the preparation of the accounts in accordance with the terms of the Charities and Trustee Investment (Scotland) Act 2005 and the Charities Accounts (Scotland) Regulations 2006. It is my responsibility to examine the accounts as required under section 44(1) (c) of the Act and to state whether particular matters have come to my attention.
Basis of independent examiner’s report
My examination was carried out in accordance with Regulation 11 of the 2006 Accounts Regulations. An examination includes a review of the accounting records kept by the charity and a comparison of the accounts presented with those records. It also includes consideration of any unusual items or disclosures in the accounts and seeking explanations from the trustees concerning any such matters. The procedures undertaken do not provide all the evidence that would be required in an audit, and consequently | do not express an audit opinion on the view given by the accounts.
In the course of my examination, no matter has come to my attention:

e which gives me reasonable cause to believe that in any material respect the requirements to keep accounting records in accordance with section 44(1) (a) of the 2005 Act and Regulation 4 of the 2006 Accounts Regulations; and

e to prepare accounts which accord with the accounting records and comply with Regulation 8 of the 2006 Accounts Regulations
have not been met; or
- to which, in my opinion, attention should be drawn in order to enable a proper understanding of the accounts to be reached.

1 ACCOUNTING POLICIES
The principal accounting policies are summarised below. The accounting policies have been applied consistently throughout year.
(a) Basis of preparation and assessment of going concern
The Financial Statements have been prepared under the historical cost convention with items recognised at cost or transaction value unless otherwise stated in the relevant note(s) to these accounts. The financial statements have been prepared in accordance with the Charities SORP (FRS 102) that applies the provision of Section 1A “Small Entities” of Financial Reporting Standard 102 and the Financial Reporting Standard applicable in the United Kingdom and Republic of Ireland (FRS 102), the Charities and Trustee Investment (Scotland) Act 2005 and the Charities Accounts (Scotland) Regulations 2006 (as amended).
The trustees consider that there are no material uncertainties about the Trust’s ability to continue as a going concern.
(b) Cashflow
The charity has taken advantage of the exemption from the requirement to produce a cashflow statement in accordance with the Financial Reporting Standard for Smaller Entities (effective January 2019).
(c) Fund accounting
Unrestricted funds are available for use at the discretion of the Board of Trustees in furtherance of the general objectives of the charity.
Designated funds are funds which are to be used in accordance with specific restrictions imposed by the donor.
(d) Income recognition
All incoming resources are included in the statement of financial activities when the charity is entitled to the income, it is probable that the income will be received and the amount can be quantified with reasonable accuracy.
(e) Expenditure recognition
Liabilities are recognised as expenditure as soon as there is a legal or constructive obligation committing the charity to that expenditure, it is probable that settlement will be required and the amount of the obligation can be measured reliably.
All expenditure is accounted for on an accruals basis. Expenditure includes any VAT which cannot be fully recovered, which is reported as part of the expenditure to which it relates
(f) Tangible Fixed Assets and Depreciation
Tangible fixed assets are stated at cost less accumulated depreciation. Depreciation is provided at rates calculated to write off the cost less residual value of each asset over its expected useful life.
