Structure, governance and management Type of governing document The Vernon, May and Joyce Cohen Charitable Trust was established under the Will of the latehi Nineteen hundred and eighty. Trustee recruitment and appointment The Trust is administered by the Trustees acting from time to time. Any changes in Trustees are effected by means of the appropriate Deed of Assumption and /or Minute of Resignation, duly signed by the acting Trustees and such Trustees being appointed and/or resigning under such Deed/Minute. Objectives and activities Charitable purposes The Trust's constitution provides that the Trust's funds may be used for any charitable purpose (within the meaning of the word "charitable" ascribed to it for the purposes of the Charities and Trustee Investment (Scotland) Act 2005 and also the Income and Corporation Taxes Act 1988) as the Trustees in their uncontrolled discretion shall from time to time think fit. Notwithstanding the foregoing generality, the Trustees have focused on the charitable purposes noted in the constitution by way of guidance to the Trustees and/or those which were particularly pertinent to the late Joyce | Cohen, under whose Will the Trust was set-up | Summary of the main activities in relation to these objects With advice from stockbrokers, the Trustees administer a portfolio of stocks and shares to generate an income from which to make grants to charitable causes. Depending on demands made on the Trust's funds, the Trustees may encroach on capital if this will enhance the efficacy of the Trust's activities.

A deficit of £48,530 arose in the year, predominantly from a higher level of re-investments compared to proceeds from investments disposed of as well as overall expenses exceeding income in the year. The deficit was funded by cash reserves which were reduced from £96,494 to £47,964.
