COMMENCEMENT OF - ACTIVITIES Am Fasgadh Regeneration Company (Kingussie) Limited by guarantee was incorporated on 18" May 2011 and commenced activities on 9" October 2012. The company was granted charitable status under the Charities and Trustee Investment (Scotland) Act 2005 on 31* July 2015 and further converted to a SCIO on 8" July 2021. The Charity changed name to “ARC — Kingussie” on 4" December 2024.

The Trustees have prepared accounts in accordance with the terms of the Charities and Trustee Investment (Scotland) Act 2005 and the Charities Accounts (Scotland) Regulations 2006. The financial report is for the year ended 31%* May 2025.
OBJECTIVES AND ACTIVITIES
Objective and Aims
The charity’s purpose is to benefit the community of Kingussie through maintenance, regeneration and improvement of physical, economic, social and cultural infrastructure, and through advancement of education and training, arts, culture, heritage and recreation and environmental improvement.
Significant activities
In mid 2024 we installed permanent screening equipment in the foyer of Talla nan Ros which was funded through the film club income. This has significantly improved the visual quality of the films and has eliminated the weekly use of our portable equipment. We are now planning to improve the acoustics of Talla nan Ros, which have always been an issue, by the installation of acoustic panelling and have started Fundraising for this. Having installed the cinema equipment in Talla nan Ros the Badenoch Film Club is going from strength to strength with attendance numbers on the increase with the average attendance now being in the region of 25 people. The film club remains ARCs main fund raising vehicle. The move to Talla nan Ros has been nothing but a benefit to the Club as well as bringing the use of Talla to a wider public. Our 2025/2026 Badenoch Film Club Season began on the on 29"" September 2025 with 34 people in attendance. The film club helped finance ARC’s The Festival of Words and the ARC Kingussie Food on Film Festival (KFFF) with the fund raising evenings specifically targeted for these Events with having increased footfalls showing the continued strong support of ARC members. The Kingussie Shopping Sunday was a successful day and although the Family Ceilidh footfall was significantly down it was still enjoyed by the few that did. The Kingussie Food on Film Festival from the 6" — 8" February was enjoyed by an increasing number of locals and visitors alike. The Sunday Lunch film was not held this year but by popular request it is hoped to be reintroduce in 2027. The Festival of Words for 2024 took place in early June. This was a great success, seeing audiences increase by around 30% from the previous year across the programme. The speakers all gave great feedback about their experiences and expressed interest in returning in future years. The Festival of Words was set to run again this year between the 19th and 21st of June 2025. There was a wide programme set over multiple venues with speakers coming from out of the area to contribute. However, due to one of the main organisers sudden ill health it was decided to cancel the festival this year to allow him to focus on his recovery. One of the speakers subsequently agreed to appear instead at the Badenoch Heritage Festival 2025 on behalf of the Festival of Words.

EE tertained us again in October last year and she promises to return when she has a new recording to promote. The musical event in May 2025 “An Evening wi ee was well attended and the banter in between songs wit enjoyed by all. In June 2025 we had another musical evening when Came to entertain us. ARC continues to support the Cairngorm Sunday Market in the background by erecting signage advertising the event and posters and using social media for promotion.
Our Constitution was updated and changed to include residents in the post code PH20 as well as those in PH21 which allows our members from the PH20 area to be full members with voting rights. Thanks go to Nick Walker who did most of the work for this. Again, the biggest “Thank You” must go to our volunteers for help at the festivals, events and even weeding at Talla nan Ros. Thanks toPo who strims the North side of the building at the emergency exit.

Talla nan Ros is a well-used space by the community with activities ranging from talks to yoga and brownie meetings. ARC use the Foyer to show films on a regular basis during the winter months and also the main hall to hold concerts and also to show one off special films to a bigger audience using the portable cinema equipment. The acoustics of the main hall but particularly the Foyer have quite an unpleasant reverberation problem making unamplified speech echo, bass sound boom and some films impossible to hear properly.
ARC is pursuing improving the acoustics of Talla nan Ros by installing acoustic panelling. We have had quotations for wall panelling, an acoustic ceiling raft and an acoustic analysis of the spaces.
ARC is proud to work closely with the staff of the Badenoch Centre’s High Life Highland staff in helping to maintain Talla nan Ros and to keep running costs as low as practical by monitoring the central heating settings. The Staff are all helpful and courteous and contribute greatly to the success of ARC events.
FINANCIAL REVIEW
Financial position
Our income/donations were significantly increased this year, with the installation of the new permanent cinema equipment in the Foyer of Talla nan Ros contributing to that increase. ARC is now registered for Gift Aid which means we can claim 25 % of all donations over £30 for the first two years of being registered before claiming on all donations. This will significantly boost our fund raising.
Reserves Policy
OSCR’'s basic definition of a reserve is that Unrestricted Income minus Expenses is considered the Reserve. ARC holds restricted funds for the K6 Memorial Fund and for the Architectural Heritage Fund and designated funds for the KFFF and the FoW. Some historical restricted funds have been derestricted this year to tidy up the accounts. ARC (Kingussie) has committed to a reserve of £1500 which would cover our trading expenses for a year should our income/donation stream be reduced.

STRUCTURE, GOVERNANCE AND MANAGEMENT
Governing document
The Charity is a Scottish Charitable Incorporated Organisation (SCIO) governed by its constitution and regulated by Office of the Scottish Charity Regulator. Originally established on 18" May 2011 as a Company Limited by Guarantee, the organisation was recognised as a Scottish Charity on 31% July 2015; the company converted to a SCIO on 8" July 2021. The Constitution was updated accepted by OSCR on 4'" December 2024.
Recruitment and appointment of new Trustees
The constitution requires a minimum of five and a maximum of twelve Trustees who may be elected or appointment. Elected Trustees, who are Members of the charity Board of Trustees. Appointed Trustees may be appointed by the Board of Trustees between AGMs but Appointed Trustees must also be Members. Any Ordinary Member may stand for election to be a Trustee. All Trustees retire at each AGM.

Respective responsibilities of trustees and examiner
The Charity’s trustees are responsible for the preparation of the accounts in accordance with the terms of the Charities and Trustee Investment (Scotland) Act 2005 and the Charities Accounts (Scotland) Regulations 2006.
The charity trustees consider that the audit requirement of Regulation 10(1)(d) of the Accounts Regulations does not apply. It is my responsibility to examine the accounts as required under section 44(1)(c) of the Act and to state whether particular matters have come to my attention.
Basis of independent examiner’s statement
My examination is carried out in accordance with Regulation 11 of the Charities Accounts (Scotland) Regulations 2006. An examination includes a review of the accounting records kept by the charity and a comparison of the accounts presented with those records. It also includes consideration of any unusual items or disclosures in the accounts and seeks explanations from the trustees concerning any such matters. The procedures undertaken do not provide all the evidence that would be required in an audit, and consequently | do not express an audit opinion on the view given by the accounts.

In the course of my examination of the accounts for the year ended 31st May 2025 no matter has come to my attention
