Other optional information

In 2014 the Trustees progressed a change to the legal status of the existing Charity — Brunton Theatre Trust (SCO225422) from an unincorporated Trust to a Scottish Charitable Incorporated Organisation (SCIO). This change was approved by OSCR on 1 September 2014. The Trustees agreed that this was a more suitable legal entity for the Trust.

During 2023, following the recovery period from the Covid pandemic, work on the proposed transfer of services to the Trust Trustees including the plan for the transfer of assets over to the SCIO progressed slowly. The discussions involve complex issues. Such has been the complexity of the discussions that the work to transfer the assets has progressed at a much slower pace than anticipated.

In March 2023 to add to the complexity of the issue, the Council discovered RAAC in the roof of the Brunton building. This necessitated a closure of the performance spaces in the building and a transfer of all Brunton Theatre Trust performances from The Brunton to a range of alternative venues in the county which although successfully implemented proved challenging to manage.

The Council had previously established a Project Team in order to agree the services to be delivered by the Trust and to progress the transfer of assets from the Council to the Trust. Due to the complexity of various legal and financial issues and then in 2024, the permanent closure of the Brunton building, discussions have been paused.

The charity’s trustees are responsible for the preparation of the accounts in accordance
with the terms of the Charities and Trustee Investment (Scotland) 2005 Act and the
Charities Accounts (Scotland) Regulations 2006 (as amended). The charity trustees
consider that the audit requirement of Regulation 10(1) (d) of the Accounts Regulations
does not apply. It is my responsibility to examine the accounts as required under section

Basis of independent
examiner’s statement
My examination is carried out in accordance with Regulation 11 of the 2006 Accounts
Regulations. An examination includes a review of the accounting records kept by the
charity and a comparison of the accounts presented with those records. It also includes
consideration of any unusual items or disclosures in the accounts and seeks
explanations from the trustees concerning any such matters. The procedures undertaken
do not provide all the evidence that would be required in an audit and, consequently, I do
