## STRUCTURE, GOVERNANCE AND MANAGEMENT 

## CONSTITUTION 

The Charity is a Scottish Charitable Incorporated Organisation (SCIO) and was registered in its current legal form on 19 December 2013.  It has a single tier structure and as such the trustees are members of the Charity. 

## APPOINTMENT OF TRUSTEES 

The members of the Board are the Charity's trustees.  Membership of the Board is open to all members of the Charity, provided they are not an employee of the Charity  and have not been disqualified from being a Charity trustee. 

Trustees are elected at the annual general meeting of the Charity, or may be appointed by the Board. There must be a minimum of three and a maximum of eight trustees.

## OBJECTIVES AND ACTIVITIES 

## CHARITABLE PURPOSES 

The Charity's purposes are: 

The preservation, restoration and conservation of St Nicholas Church in the parish of Holm, Orkney, for the benefit of the public in general. 

The provision of facilities for the improvement of the quality of life for the people of Holm, Orkney. 

## PRINCIPAL ACTIVITIES 

Following the success of previous years, the Trustees were able again to arrange a photographic exhibition of items relating to the construction of the Churchill Barriers, with 2025 marking the 80th anniversary of the offical opening of the Barriers. This was in addition to the regular display of items from the heritage archives. Also, a new exhibition on the 2023 Northwest Passage Expedition was held, from the viewpoint of one of the rowers on the team with family links to Holm. 

The Christmas concert was once again held in the Kirk and following this, the Kirk was kept open until the end of the year, to offer a space for contemplation. 

Meanwhile, significant work has been carried out with regards the project for improvements to the Kirk building, engaging previously identified suppiers required for the first phase of the project and succesfully obtaining funding to meet the bulk of the cost of this phase. Requests for tender were also sent out for the second phase of the project, with a local building firm identified as the most appropriate. Potential sources of funding for the second phase of the project were also identified. 

In the forthcoming period, it is hoped, funding allowing, that the second phase in the building improvement project will commence. 

The charity was also invited to join the Holm Parish steering committee for the OICs Local Place Plan project, the initial meeting taking place in December, with further meetings to be held in the first quarter of 2026. 

In 2026, activity within the Kirk will depend on the progress of the building improvement project. On the assumption the building will be available from May to September, there will again be the Churchill Barriers exhibition. The Trustees also hope that there will be a display based on items from the old Post Office and shop.  There will also be displays of additional items from the Heritage archives on other aspects of parish life. 

Work will be carried out to update and consolidate the archive material and inventory, ensuring full digital records are held.

## NOTES TO THE FINANCIAL STATEMENTS FOR THE YEAR ENDED 31 DECEMBER 2025 

## 1.       BASIS OF ACCOUNTING 

These accounts have been prepared on the receipts and payments basis in accordance with the Charities & Trustee Investment (Scotland) Act 2005 and the Charities Accounts (Scotland) Regulations 2006 (as amended). 

## 2.       NATURE AND PURPOSE OF FUNDS 

Unrestricted funds are those that may be used at the discretion of the Trustees in furtherance of the object of the Charity. 

Restricted funds may only be used for specific purposes. Restrictions arise when specified by the donor or when funds are raised for specific purposes. During the year the Charity received restricted funds of £16,558.01 which were for professional fees in relation to Phase 1 of the building project. The funds were fully utilized for this during the year. 

## 3.       RELATED PARTY TRANSACTIONS 

No remuneration was paid to the Trustees. 

## 4.       COST OF CHARITABLE ACTIVITIES 

All payments relate to charitable activities. 

## 5.       GOVERNANCE COSTS 

There were no costs relating to governance in 2025 (2024: £62.40). A belated charge for the 2025 AGM is expected in 2026.
